INSURANCE NOT Rl: X1IRAE <br />WORK MAY PROCEED <br />CLERK OF COUNCIL <br />A?'C <br />MAR Q 9 201 <br />:C &oe�rtc l�Pt;� <br />A-2018-022 <br />This Amendment No. I hereby amends the Consultant Agreement ("Agreemene' dated June 21, <br />2010 by and between Keenan & Associates and the City of Santa Ana as follows (hereafter referred <br />to collectively as "Parties'): <br />WHEREAS, the current term of the Agreement expired or will expire on June 20, 2018; and <br />WHEREAS, the Parties desire to continue their relationship and to provide for additional services <br />subject to the terms and conditions outlined in the Agreement; <br />NOW, THEREFORE, the parties agree as follows: <br />1. Renewal. The Parties agree to extend the term of the Agreement for an additional three (3) <br />year term beginning on July 1, 2018 and ending on June 30, 2021 ("Renewal Term") as <br />provided for in Section 3 of the Agreement. <br />2. Dental Plan Services. In addition to the services describedIn the Agreement, Keenan shall <br />perform the following services: <br />a. Broker of Record. <br />• Effective January 1, 2018,• Keenan shall become the Broker of Record for <br />,Client's Dental PPO plan, currently through Delta Dental and <br />• Effective July 1, 2018 Keenan shall become the Broker of Record for Client's <br />Dental DHMO plan, currently with MetLife. <br />• As Broker of Record, Keenan shall market both Keenan's PPO and DHMO <br />plans for the plan year beginning January 1, 2019. <br />b. Ongoing Support Services: Effective as of the date that that Keenan becomes the Broker <br />of Record for such pian, Keenan shall perform the following services for Clicat's each of <br />the Client's dental plans: <br />• Provide continued analysis of benefit plan design and performance noting <br />available alternatives as appropriate; <br />• Provide direction and support with claims resolution and other related issues; <br />• Review of claims experience and trends; <br />• Provide support with bUngJelioi(ity concerns; <br />• Act as a liaison between Client and carriers and vendors and serving as a <br />proactive Client advocate; <br />• Respond to day -today benefit questions from Client; <br />• Assist Client with governmental reporting and filings (e g., 5500's and Summary <br />Annual Reports), as applicable; <br />• Provide information concerning current developments and trends in employee <br />benefits and new legislation that may affect Client's plans; <br />Keenan&Aasociatca — License#0451271 U). <br />Amendment toC:onsultingSmices Att, cement EXHIBIT 3 <br />ranUendid inhumation Pabw 1 of 3 11121(2017 <br />25C-97 <br />
