of final payment to TASC under this Agreement. <br />12. Conflict of Interest Clause <br />TASC covenants that it presently has no interests and shall not have interests, direct or <br />indirect, which would conflict in any manner with performance of services specified under this <br />Agreement. <br />13. Discrimination <br />TASC shall not discriminate because of race, color, creed, religion, sex, marital status, <br />sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by <br />applicable law, in the recruitment, selection, training, utilization, promotion, termination or other <br />employment related activities. TASC affirms that it is an equal opportunity employer and shall <br />comply with all applicable federal, state and local laws and regulations. <br />14. Defense of Legal Actions <br />TASC shall notify the Plan Sponsor of any legal action arising with respect to the Plan of which <br />TASC becomes aware. Other than a regulatory claim that is defended by TASC under an applicable <br />Audit Guarantee provided to the Plan Sponsor in writing from TASC, the defense of any legal actions <br />shall be the responsibility of and be undertaken at the expense of the Plan Sponsor, it being understood <br />and agreed that TASC shall cooperate with and assist the Plan Sponsor in said defense, at Plan <br />Sponsor's expenses, to the extent that the Plan Sponsor reasonably may require. <br />15. Limitations of Warranties and Liabilities <br />A. Except as expressly set forth in this Agreement, TASC disclaims any and all express <br />warranties, warranties of fitness for a particular purpose and implied warranties of <br />merchantability.
