result in an excise tax, penalty, or claims liability, all obligations of the non - <br />defaulting party shall cease. No term of this Agreement can be read to extend the <br />term of this Agreement beyond the day that a Party discovers such non- <br />compliance. At the non -defaulting party's discretion, this Agreement can be <br />continued upon satisfaction that the non-compliance has been rectified and the <br />effected persons made financially whole by the non-compliant defaulting Party. <br />C. TASC shall have no additional duties under this Agreement related to a Plan <br />Sponsor who institutes proceedings under Chapter 7 of the Bankruptcy Code, or <br />makes an appointment of a trustee or receiver for the disposition of their assets or <br />properties, or an assignment of assets for the benefit of creditors, or an admission <br />of its inability to pay Its debts as they become due. TASC will continue to <br />administer services for such a Plan Sponsor through the earlier of the date on which <br />the Plan Sponsors Plans terminate entirely, the date the Plan Sponsor is no Ionger <br />able to continue their business, or the last period that TASC has been paid for its <br />services. <br />D. For all other incidents of default, the non -defaulting party may, at its option and <br />by written notice to the other party, terminate this Agreement if the default remains <br />uncured for thirty (30) days after the non-detaulting party provides written notice <br />to the defaulting party of such default. If such default remains uncured, the <br />termination is effective as explained below. Any termination shall be without <br />prejudice to any other rights and remedies, which the non -defaulting party may <br />have against the defaulting party with respect to such default TASC's obligations <br />are subject to the Plan Sponsor's timely performance of its obligations and <br />7 <br />
