IV. <br />MISCELLANEOUS <br />A. The provisions of this Agreement shall constitute covenants, conditions, and <br />restrictions which shall run with the land, and shall inure to the benefit of and be binding upon <br />the Developer, its successors and assigns in interest as successive owners of the Project, as <br />provided herein. Any sale, transfer, or lease of the Project shall be deemed to be made and <br />accepted upon and subject to the covenants, conditions and restrictions and provisions hereof <br />whether or not referred to in the instrument of sale, transfer or lease. <br />B. Developer is, and shall be deemed to be, an independent contractor and not an <br />employee of City and shall not become an agent of City. <br />C. Any notices, requests or approvals given under this Agreement from one party to <br />another may be personally delivered or deposited with the United States Postal Service for <br />mailing, postage prepaid, registered or certified mail, return receipt requested, to the address of <br />the other party as stated in this paragraph, and shall be deemed given at the time of personal <br />delivery or at the time of deposit for mailing. In the event legal action is brought to enforce any provisions hereof, the <br />prevailing party shall be entitled to reasonable attorney's fees, together with other legally <br />allowed costs. <br />E. Upon issuance of building permits for the Project, this Agreement shall be <br />recorded in the official records of Orange County, California.
