Home My WebLink AboutORANGE, COUNTY OF (57) - 2016Return ORIGINAL Executed Copyto COTC (M -30/T11) SECOND AMENDMENT TO CONTRACT #16-28-0039-RWS BETWEEN THE COUNTY OF ORANGE AND CITY OF SANTA ANA FOR REGIONAL WORKFORCE SERVICES PROFESSIONAL A-2016-305-02 [CFDA 17.258 WIOA Adult Programs; CFDA 17.259 WIOA Youth Activities; CFDA 17.278 WIOA Dislocated Worker Formula Grants; WIOA Title I VEAP SFP; Governor's 25 % portion of Dislocated Worker Funds from Title I of the federal Workforce Innovation and Opportunity Act; other funding programs as granted by various agencies as needed] This AMENDMENT to Contract #16-28-0039-RWS, hereinafter referred to as "CONTRACT," is made and entered into as of the date fully executed by and between the County of Orange, a political subdivision of the State of California; hereinafter referred/to as "COUNTY," and City of Santa Ana, a municipal corporation in the State of Califon ia, DUNS Number 083153247 with a place of business at 20 Civic Center Plaza, Santa Ana, CA 92701-4058 hereinafter referred to as "CONTRACTOR," with COUNTY and CONTRACTOR sometimes referred to as "PARTY," or collectively as "PARTIES." RECITALS: WHEREAS, COUNTY and CONTRACTOR entered into Contract Number 16-28- 0039-RWS (hereinafter referred to as "Original Contract"), for the provision of Professional Services activities commencing July 1, 2016 and terminating June 30, 2018 in the amount of $500,000.00 and WHEREAS, on April 17, 2018, the PARTIES authorized the execution of the First Amendment to the original CONTRACT and replaced Attachment A "General Program Requirements" with Attachment A-1 and replaced Attachment C "Budget", with Attachment C-1; the net change to the CONTRACT is $0; and County of Orange Page 9 of 3 City of Santa Ana OC Community Resources AMENDMENT., WIOA Programs Contract #16-28-0039-RWS WHEREAS, the PARTIES desire to renew CONTRACT term for an additional one- year period, effective July 1, 2018 through June 30, 2019; and revise Paragraph 3 of the Contract to reflect the new CONTRACT term; and WHEREAS, the COUNTY desires to replace Attachment A-1 "General Program Requirements" with Attachment A-2 and replace Attachment C-1 "Budget', with Attachment C-2; the net change to the contract is $0; and WHEREAS, CONTRACTOR is performing satisfactory as required by the CONTRACT; NOW, THEREFORE, in consideration of the mutual obligations set forth herein, both PARTIES mutually agree to amend as follows: 1. Paragraph 3. Of the CONTRACT shall be amended in its entirety to read "Term of Contract: The effective term of this CONTRACT shall commence on July 1, 2016 and terminate on June 30, 2019, subject to the provisions of this CONTRACT; however, CONTRACTOR shall perform such duties extending beyond this term, including but not limited to obligations with respects to indemnification, audits, monitoring, reporting and accounting. Pursuant to the provisions contained herein, the CONTRACT may be terminated earlier." 2. Attachment A-1, "General Program Requirements" is replaced with Attachment A-2. 3. Attachment C-1, "Budget' is replaced with Attachment C-2. Except as otherwise expressly set forth herein, all terms and conditions contained in the Original Contract, including any amendments/modifications, are hereby incorporated herein by this reference as if fully set forth herein and shall remain in full force and effect. Community Resources AMENDMENT.• W10A Programs Contract # 18-28-0d8g-RWs p"�CtFbt��R° GENERAL PROGRAM REQUIREMENTS REGIONAL WORKFORCE SERVICES Attachment A-2 The General Program Requirements have been designed to provide the framework wherein the CONTRACTOR will provide workforce services identified in Attachment B. Governance CONTRACTOR agrees to comply, remain informed, and deliver services consistent with the provisions of the Workforce Innovation and Opportunity Act (WIOA), Orange County Development Board (OCDB) Policies, Orange County Region Strategic Five -Year Plan, applicable sections of the Welfare and Institutions Code, the California Education Code, the Rehabilitation Act, negotiated Memoranda of Understanding, Title V of the Older Americans Act, federal and state governance documents and/or any other appropriate statutes or requirements, related to the services provided in this CONTRACT. Where local policy has not been set, CONTRACTOR agrees to adhere to state or federal policy, as appropriate. 2. Governance References A. Each project description and corresponding budget under this CONTRACT shall be mutually determined and agreed upon by COUNTY and CONTRACTOR. Project descriptions shall be in Attachment B, herein and corresponding project budgets shall be listed in Attachment C-2 herein. Activities FY 2018-19 Regional Planning and Implementation Up to $130,000 Workforce Development Services/Regional Training Up to $220,000 Special Projects' Up to $150,000 *Note: Special projects will be project specific and will have their own established budgets as mutually agreed upon by COUNTY and CONTRACTOR.
