Consultant shall perform those services as set forth in Exhibit A to this Agreement.
2. COMPENSATION
a. City agrees to pay, and Consultant agrees to accept as total payment for its services-thn
rates and charges identified in Exhibit B. The total sum to be expended under this
Agreement shall not exceed $500,000 during the term of this Agreement.
b. Payment by City shall be made within forty-five of days (45) days following receipt of
proper invoice evidencing work performed, subject to City accounting procedures.
Payment need not be made for work that fails to meet the standards of performance set
forth in the Recitals which may reasonably be expected by City.
3. TERM
This Agreement shall commence on the date first written above and terminate on October 21,
2018, unless terminated earlier in accordance with Section 15, below, The term of this Agreement may
be extended for one (1) two-year period upon a writing executed by the City Manager and the City
Attorney.

Re: Extension of Agreement #A-2015-236 to provide engineering, technical and administrative support
services.
Dear Mr. Cooper:
Pursuant to Section 3 ("TcnW) of Agreement No. A-2015.236, entered into by and between PENCO
Engineering, Inc. ("Consultant") and the City of Santa Ana, dated October 21, 2015, the time period of said
Agreement is hereby extended for an additional one (1) year period, from October 21, 2018 to October 20,
2019, The insurance certificates are required to be extended and/or renewed to cover this extension. All
other terms and conditions of said Agreement remain unchanged and in full farce and effect.
