Hulzar Pursuant to Section 2(b) ("Term of Agreement") of the Exclusive Negotiation Agreement, No. A-2018-117, entered into by and between THRIVE Santa Ana, Inc. and the City of Santa Ana, dated May 1, 2018, the time - period for said Agreement is hereby extended for an additional one -hundred and eighty (180) day period through April 26, 2019. Additionally, Exhibit C, Exclusive Negotiating Agreement Timeline and Milestones, shall be replaced with the new Exhibit C attached herewith and incorporated by reference. All other terns and conditions of said Agreement remain unchanged and in full force and effect. By November 30, 2018 Initial Pro Forma Developer will submit initial pro forma for the proposed 7/2/18 development. Project Developer will submit projected construction schedule for the Development proposed development. 7/2/18 Schedule Due Diligence Developer will provide written determination of property's physical suitability for development, taking into account relevant regulatory 7/2/18 and environmental conditions. Full Project Developer will submit site plans and all relevant applications and Submittal fees By December 30, 2018 Plan Review Staff will review plans for compliance with applicable codes and regulations. Project Manager will submit a letter summarizing staff comments to the Developer. Economic Subsidy Submit a preliminary market assessment containing a forecast of Report and/or regional and local real estate market conditions and anticipated 8/14/18 Community Benefit performance of project. Report By January 30, 2019 Revised Site Plans Developer will submit revised site plans to City staff. Funding Partners Developer will submit letter identifying lenders, investment and Structure partners, and proof of ability to obtain financing. By February 15, 2019 2nd Plan Review Staff will review plans for compliance with applicable codes and regulations. Project Manager will submit a letter summarizing staff comments to Developer. By March 15, 2019 Draft DDA Parties will complete negotiations and draft Disposition and Development Agreement, Final Revisions Parties will finalize revisions to development proposal and all relevant materials. By April 16, 2019 City and Hearings Developer and Staff will present development proposal and DDA to City for final review and approvals by governingbodies.
