Pursuant to Section 2(c) ("Terni of Agreement") of the Second Amended and Restated Exclusive Negotiation Agreement No. A-
2018-002 entered into by and between Caribou Industries, Inc. and the City of Santa Ana, the parties opted on July 11, 2018, to
extend the Agreement for an additional three (3) month period through October 30, 2018.'1"hereafter, on September 24, 2018, the
parties again opted to extend the Agreement for another three (3) month period through January 28, 2019. The parties, by
operation of (xis letter, now choose to exercise their option for a third extension of the Agreement for an additional ninety (90)
day period until April 28, 2019. All other terms and conditions of said Agreement remain unchanged and in fall force and effect.
