This Amendment to original CONTRACT Number 16-28-0039-RWS, hereinafter
referred to as "CONTiRACT," is made and entered into as of the date fully executed by
and between the County of Orange, a political subdivision of the State of California;
hereinafter referred to as "COUNTY," and City of Santa Ana, a municipal corporation in
the State of California, DUNS Number 08-315-3247 with a place of business at 20 Civic
Center Plaza, Santa Ana, CA 92701-4058 hereinafter referred to as "CONTRACTOR,"
With COUNTY and CONTRACTOR sometimes referred to as "PARTY,' or collectively as
"PARTI ES."
RECITALS:
WHEREAS, COUNTY and CONTRACTOR entered into CONTRACT Number 16-
28-0039-RWS (hereinafter referred to as "original CONTRACT"), for the provision of
Professional Services activities commencing July 1, 2016 and terminating June 30, 2018
in the amount of $500,000.00 and
WHEREAS, the PARTIES authorized the execution of the First Amendment to the
original CONTRACT and replaced Attachment A "General Program Requirements" with
Attachment A-1 and replaced Attachment C 'Budget", with Attachment C-1; the net
change to the CONTRACT was $0;' and

WHEREAS, the PARTIES authorized the execution of the Second Amendment to
the original CONTRACT and renewed CONTRACT term for an additional one-year
period, effective July 1, 2018 through June 30, 2019; and revised Paragraph 3 of the
Contract to reflect the new CONTRACT term and replaced Attachment A-1 "General
Program Requirements" with AttachmentA-2 and replaced Attachment C-1 "Budget", with
Attachment C-2; the net change to the CONTRACT was $0; and
WHEREAS, the PARTIES authorized the execution of the Third Amendment and
replaced Attachment C-2 "Budget," with Attachment C-3; the net change to the
CONTRACT was $0; and
WHEREAS, the COUNTY now desires to amend the original CONTRACT to
extend the term of the CONTRACT for an additional one-year period, effective July 1,
2019 through June 30, 2020; and replace Attachment A-2, "General Program
Requirements", with Attachment A-3 and replace Attachment B, "Scope of Services-, with
Attachment B-1 and replace Attachment C-3, "Budget", with Attachment C-4; the net
change to the CONTRACT is $0; and
NOW, THEREFORE, in consideration of the mutual obligations set forth herein,
both PARTIES mutua'll agree'to'� 'mehd as follows:.::.

July 1, 2019 through June 30, 2020.

2:' 'Attachment A-2; "General Program Requirements" shall be replaced with
Attachment A-3.
3. Attachment B, "Scope of Services" shall be replaced with Attachment B-1.
4. Attachment C-3, "Budget" shall be replaced with Attachment C-4.
Except as otherwise expressly set forth herein, all terms and conditions contained in the
original CONTRACT, including any amendments/modifications, are hereby incorporated
herein by this reference as if fully set forth herein and shall remain in full force and effect.

The General Program Requirements have been designed to provide the framework wherein the
CONTRACTOR will provide workforce services Identified in Attachment B-1.
1. Governance
CONTRACTOR agrees to comply, remain informed, and deliver services consistent with
the provisions of the Workforce Innovation and Opportunity Act (WIOA), Orange County
Development Board (OCDB) Policies, Orange County Region Strategic Five -Year Plan,
applicable sections of the Welfare and Institutions Code, the California Education Code,
the Rehabilitation Act, negotiated Memoranda of Understanding, Title V of the Older
Americans Act, federal and state governance documents and/or any other appropriate
statutes or requirements, related to the services provided In this CONTRACT.
Where local policy has not been set, CONTRACTOR agrees to adhere to state or federal
policy, as appropriate.

SCOPE OF SERVICES
REGIONAL WORKFORCE SERVICES
1. PURPOSE
Attachment 13-1
The purpose of this CONTRACT is to provide services that support federally funded
services offered through the Workforce Innovation and Opportunity Act (WIOA) and by the
Orange County Development Board (OCDB) and its CONTRACTORS for Professional
Consulting Services In the Orange County Region.
2, SERVICES
CONTRACTOR may be called upon to serve one or more or a combination of One -Stop
Centers, Business Services, and Youth programs, Special Workforce Development
Projects, and other projects and programs to support regional workforce development as
funding allows.
A. CONTRACTOR will be provided access to the Project Manager who will assist with
the scheduling and information: needed to complete the required deliverables for
said services and projects pertaining to the Orange County Regional Planning Unit.
B. Monitoring and Evaluation Services will also be available, if needed.
3. DELIVERABLES
A. CONTRACTOR will be called upon to provide at minimum but not limited to
the following services on an as -needed basis:
Regional Training Coordinator 1 & 1.5 (RTC 1 & 1.5,j
a. Assist with the preparation of the CC Regional Plan and establish
regional service strategies
b, Participate in the development and Implementation of sector initiatives
for in -demand industry sectors.
ii. Regional Implementatlon and Innovation (RII)
a. Collaborate with the Orange County Development Board in establishing
and facilitating regional goals and objectives; developing regional
strategies, policies and programs as part of regional planning and
infrastructure development; focus on strategic activities as a key
partner identified by the state, per the state mandate, as a part of the
Orange County Regional Planning Unit.

b. Increase capacity and coordination among local boards to Incorporate
strategies for system alignment, services and complementary
Investment strategies across programs and agencies.
M. SlingShot Initiative (SlingShot)
a. Work with partners and OC Region local boards to evaluate and
analyze current and existing OC Region workforce infrastructure to
Identify assets and gaps in the system regionally and create a strategic
regional plan to build capacity as needed to support a regionally aligned
workforce system.
b. Collaborate to align policies, programs, and services to increase
access and quality of regional workforce programs
c. Assist in the development and design of the apprenticeship pathways
project pilot and execute its launch.
Iv. Regional Implementation and Innovation 2 (RII 2)
a. Analysis and coordination of policies and operations to work towards
regional alignment with the Orange County Development Board and
Anaheim Workforce Development Board.
b.. Assist the Regional Planning Unit to increase capacity/local technical
assistance, planning and local board development to incorporate
strategies for system alignment.
o. Coordinate with regional efforts of state partners, career pathways,
community college and adult education consortia to execute
implementation of the Orange County regional plan.
Regional Training Coordinator 2 fRTC 2)
a. Support the Regional Training Coordinator to facilitate training, capacity
building, and customer centered design implementation
b. Participate in supporting staff development for the Regional Planning
Unit as stated in the Regional Plan.
A. Regional Plan Implementation (RPI)
a. Identify and establish High Value sector association In Orange County;
identify priorities for each High Value sector; and target special
resources to support advanced manufacturing sector.
b. Align business engagement; increase quality and quantity of grant
partnerships; and meet and exceed performance accountability
measures based on WIOA performance indicators.
vii. Prison to Employment (P2E)
a. Assist with determining relevant stakeholders including education,
workforce, and community -based organizations that provide reentry
services to formally incarcerated and justice -involved populations in the
region

b. Convene regional stakeholders to discuss how to provide seamless,
Integrated, and effective services to the formerly incarcerated and other
justice -involved individuals
viii. Regional Organizers/Regional Training Coordinators (ROIRTC)
a. Responsible to help meet the deliverables in the Scope of Work
provided by the State.
B. Invoices are due on the 2011 of each month for previous month's expenditures in
accordance with the OC Community Resources Contract Reimbursement Policy
attached herein as Exhibit 7 of this CONTRACT.
C. Due dates of project and program development activities will be project specific
and will be determined at the time of the project assignment.

corresponding budget under this CONTRACT shall be mutually determined and agreed
