1996 REVENUE BONDS
CERTIFICATE REGARDING PRELIMINARY OFFICIAL STATEMENT
The undersigned hereby states and certifies
(i) that he is the duly appointed, qualified and acting Treasurer of the Countywide
Public Financing Authority,a joint powers authority duly organized and existing under the laws
of the State of California (the "Authority"), and as such, is familiar with the facts herein
certified and is authorized and qualified to certify the same;
(ii) that there has been delivered to Stone & Youngberg LLC, as underwriter (the
"Underwriter") of the captioned bonds, a Preliminary Official Statement, dated July 10, 1996,
including the cover page and all appendices thereto (the "Preliminary Official Statement"),
which the undersigned, on behalf of the Authority, deems final as of its date for purposes of
Rule 15c2-12 promulgated under the Securities Exchange Act of 1934 ("Rule 15c2-12"), except
for information permitted to be omitted therefrom by Rule 15c2-12;
(iii) that the Authority hereby approves of the use and distribution by the Underwriter
of the Preliminary Official Statement;
(iv) that the Authority will cooperate with the Underwriter in transforming the
Preliminary Official Statement into a final Official Statement; and
(v) that the Authority will cause a sufficient quantity of final Official Statements to
be delivered to the Underwriter within seven (7) business days after the execution of the Bond
Purchase Agreement, dated July 16, 1996, by and between the Underwriter and the Authority,
so as to allow the Underwriter to comply with its continuing obligations under Rule 15c2-12.
