("Contractor"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). Z. N RECITALS a A. On February 19, 2020, the City issued Request for Proposal No. 20-027, by which it sought a qualified engineering firm to provide a structural analysis of the Civic Center Plaza of the Flag and Plaza of the Fountain. B. Contractor submitted a responsive proposal that was selected by the City. Contractor represents that it is able and willing to provide the services described in the scope of work that was included in RFP No. 20-027. C. In undertaking the performance of this Agreement, Contractor represents that it is knowledgeable in its field and that any services performed by Contractor under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional contracting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Contractor shall perform the services described in the scope of work that was included in RFP No. 20-027 and that is attached as Exhibit A, and as further delineated in Contractor's proposal, which is attached as Exhibit B and incorporated in full. 2. COMPENSATION a. City agrees to pay, and Contractor agrees to accept as total payment for its services under this Agreement, the rates and charges identified in Exhibit C. The total sum to be expended under the term of this Agreement, including any extension periods, shall not exceed $49,920. This sum is comprised of (1) the base amount of $41,600 and (2) a contingency in the amount of $8,320 for additional services at the City's sole discretion. b. Payment by City shall be made within forty-five (45) days following receipt of proper invoice evidencing work performed, subject to City accounting procedures. Payment need not be made for work which fails to meet the standards of performance set forth in the Recitals and Scope of Work, which may reasonably be expected by City. Page 1 of 8 3. TERM This Agreement shall commence on the date first written above and terminate on April 30, 2021, unless terminated earlier in accordance with Section 17, below. The term of this Agreement may be extended for two 1-year periods upon a writing executed by the City Manager and City Attorney. 4. PREVAILING WAGES Contractor is aware of the requirements of California Labor Code Section 1720, et seq., and 1770, et seq., as well as California Code of Regulations, Title 8, Section 16000, et seq., ("Prevailing Wage Laws"), which require the payment of prevailing wage rates and the performance of other requirements on "public works" and "maintenance" projects. If the services being performed are part of an applicable "public works" or "maintenance" project, as defined by the Prevailing Wage Laws, and the total compensation is $1,000 or more, Contractor agrees to fully comply with such Prevailing Wage Laws. Contractor shall defend, indemnify and hold the City, its elected officials, officers, employees and agents free and harmless from any claim or liability arising out of any failure or alleged failure to comply with the Prevailing Wage Laws. 5. INDEPENDENT CONTRACTOR Contractor shall, during the entire term of this Agreement, be construed to be an independent contractor and not an employee of the City. This Agreement is not intended nor shall it be construed to create an employer -employee relationship, a joint venture relationship, or to allow the City to exercise discretion or control over the professional manner in which Contractor performs the services which are the subject matter of this Agreement; however, the services to be provided by Contractor shall be provided in a manner consistent with all applicable standards and regulations governing such services. Contractor shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 6. OWNERSHIP OF MATERIALS This Agreement creates a non-exclusive and perpetual license for City to copy, use, modify, reuse, or sublicense any and all copyrights, designs, and other intellectual property embodied in plans, specifications, studies, drawings, estimates, and other documents or works of authorship fixed in any tangible medium of expression, including but not limited to, physical drawings or data magnetically or otherwise recorded on computer diskettes, which are prepared or caused to be prepared by Contractor under this Agreement ("Documents & Data"). Contractor shall require all subcontractors to agree in writing that City is granted a non-exclusive and perpetual license for any Documents & Data the subcontractor prepares under this Agreement. Contractor represents and warrants that Contractor has the legal right to license any and all Documents & Data. Contractor makes no such representation and warranty in regard to Documents & Data which were provided to Contractor by the City. City shall not be limited in any way in its use of the Documents and Data at any time, provided that any such use not within the purposes intended by this Agreement shall be at City's sole risk. INSURANCE Prior to undertaking performance of work under this Agreement, Contractor shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance as described below: a. Commercial General Liability Insurance. Contractor shall maintain commercial general liability insurance naming the City, its officers, employees, agents, volunteers and representatives as additional insured(s) and shall include, but not be limited to protection against claims arising from bodily and personal injury, including death resulting therefrom and damage to property, resulting from any act or occurrence arising out of Contractor's operations in the performance of this Agreement, including, without limitation, acts involving vehicles. The amounts of insurance shall be not less than the following: single limit coverage applying to bodily and personal injury, including death resulting therefrom, and property damage, in the total amount of $1,000,000 per occurrence, with $2,000,000 in the aggregate. Such insurance shall (a) name the City, its officers, employees, agents, volunteers and representatives as additional insured(s); (b) be primary with respect to insurance or self-insurance programs maintained by the City; and (c) contain standard separation of insureds provisions. b. Business automobile liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non -owned automobiles. C. Worker's Compensation Insurance. In accordance with the California Labor Code, Contractor, if Contractor has any employees, is required to be insured against liability for worker's compensation or to undertake self-insurance. Prior to commencing the performance of the work under this Agreement, Contractor agrees to obtain and maintain any employer's liability insurance with limits not less than $1,000,000 per accident. d. If Contractor is or employs a licensed professional such as an architect or engineer: Professional liability (errors and omissions) insurance, with a combined single limit of not less than $1,000,000 per claim with $2,000,000 in the aggregate. e. The following requirements apply to the insurance to be provided by Contractor pursuant to this section: (i) Contractor shall maintain all insurance required above in full force and effect for the entire period covered by this Agreement. (ii) Certificates of insurance shall be furnished to the City upon execution of this Agreement and shall be approved by the City. (iii) Certificates and policies shall state that the policies shall not be cancelled or reduced in coverage or changed in any other material aspect, by contractor, without thirty (30) days prior written notice to the City. (iv) Contractor shall supply City with a fully executed additional insured endorsement. Page 3 of 8 f If Contractor fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the City with required proof that insurance has been procured and is in force and paid for, the City shall have the right, at the City's election, to forthwith terminate this Agreement. Such termination shall not affect Contractor's right to be paid for its time and materials expended prior to notification of termination. Contractor waives the right to receive compensation and agrees to indemnify the City for any work performed prior to approval of insurance by the City. 8. INDEMNIFICATION Contractor agrees to defend, and shall indemnify and hold harmless the City, its officers, agents, employees, contractors, special counsel, and representatives from liability: (1) for personal injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including death, and claims for property damage, which may arise from the negligent operations of the Contractor or its subcontractors, agents, employees, or other persons acting on their behalf which relates to the services described in section 1 of this Agreement; and (2) from any claim that personal injury, damages, just compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects arising from this Agreement. This indemnity and hold harmless agreement applies to all claims for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to have been suffered, by reason of the events referred to in this Section or by reason of the terms of, or effects, arising from this Agreement. The Contractor further agrees to indemnify, hold harmless, and pay all costs for the defense of the City, including fees and costs for special counsel to be selected by the City, regarding any action by a third party challenging the validity of this Agreement, or asserting that personal injury, damages, just compensation, restitution, judicial or equitable relief due to personal or property rights arises by reason of the terms of, or effects arising from this Agreement. City may make all reasonable decisions with respect to its representation in any legal proceeding. Notwithstanding the foregoing, to the extent Contractor's services are subject to Civil Code Section 2782.8, the above indemnity shall be limited, to the extent required by Civil Code Section 2782.8, to claims that arise of, pertain to, or relate to the negligence, recklessness, or willful misconduct of the Contractor. 9. INTELLECTUAL PROPERTY INDEMNIFICATION Contractor shall defend, indemnify and hold harmless the City, its officers, agents, representatives, and employees against any and all liability, including costs, and attorney's fees, for infringement of any United States' letters patent, trademark, or copyright contained in the work product or documents provided by Contractor to the City pursuant to this Agreement. 10. RECORDS Contractor shall keep records and invoices in connection with the work to be performed under this Agreement. Contractor shall maintain complete and accurate records with respect to the costs incurred under this Agreement and any services, expenditures, and disbursements charged to the City for a minimum period of three (3) years, or for any longer period required by Page 4 of 8 law, from the date of final payment to Contractor under this Agreement. All such records and invoices shall be clearly identifiable. Contractor shall allow a representative of the City to examine, audit, and make transcripts or copies of such records and any other documents created pursuant to this Agreement during regular business hours. Contractor shall allow inspection of all work, data, documents, proceedings, and activities related to this Agreement for a period of three (3) years from the date of final payment to Contractor under this Agreement. 11. CONFIDENTIALITY If Contractor receives from the City information which due to the nature of such information is reasonably understood to be confidential and/or proprietary, Contractor agrees that it shall not use or disclose such information except in the performance of this Agreement, and further agrees to exercise the same degree of care it uses to protect its own information of like importance, but in no event less than reasonable care. "Confidential Information" shall include all nonpublic information. Confidential information includes not only written information, but also information transferred orally, visually, electronically, or by other means. Confidential information disclosed to either party by any subsidiary and/or agent of the other party is covered by this Agreement. The foregoing obligations of non-use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the Contractor disclosed in a publicly available source; (c) is in rightful possession of the Contractor without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e) is independently developed by the Contractor without reference to information disclosed by the City. 12. CONFLICT OF INTEREST CLAUSE Contractor covenants that it presently has no interest and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 13. NOTICE Any notice, tender, demand, delivery, or other communication pursuant to this Agreement shall be in writing and shall be deemed to be properly given if delivered in person or mailed by first class or certified mail, postage prepaid, or sent by fax or other telegraphic communication in the manner provided in this Section, to the following persons: To City: Clerk of the City Council City of Santa Ana 20 Civic Center Plaza (M-30) P.O. Thereafter, any communication shall be addressed and transmitted to the new address. If sent by mail, communication shall be effective or deemed to have been given three (3) days after it has been deposited in the United States mail, duly registered or certified, with postage prepaid, and addressed as set forth above. If sent by fax, communication shall be effective or deemed to have been given twenty-four (24) hours after the time set forth on the transmission report issued by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating these timeframes, weekends, federal, state, County or City holidays shall be excluded. 14. EXCLUSIVITY AND AMENDMENT This Agreement represents the complete and exclusive statement between the City and Contractor regarding the subject matter herein, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the City and by an authorized representative of Contractor. The parties agree that any terms or conditions of any purchase order or other instrument that are inconsistent with, or in addition to, the terms and conditions hereof, shall not bind or obligate Contractor or the City. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein. 15. ASSIGNMENT Inasmuch as this Agreement is intended to secure the specialized services of Contractor, Contractor may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the City and any such assignment, transfer, delegation or subcontract without the City's prior written consent shall be considered null and void. Nothing in this Agreement shall be construed to limit the City's ability to have any of the services which are the subject to this Agreement performed by City personnel or by other contractors retained by City. 16. WAIVER No waiver of breach, failure of any condition, or any right or remedy contained in or granted by the provisions of this Agreement shall be effective unless it is in writing and signed by the party waiving the breach, failure, right or remedy. No waiver of any breach, failure or right, or Page 6 of 8 remedy shall be deemed a waiver of any other breach, failure, right or remedy, whether or not similar, nor shall any waiver constitute a continuing waiver unless the writing so specifies. 17. TERMINATION This Agreement may be terminated by the City upon thirty (30) days written notice of termination. In such event, Contractor shall be entitled to receive and the City shall pay Contractor compensation for all services performed by Contractor prior to receipt of such notice of termination, subject to the following conditions: a. As a condition of such payment, the Executive Director may require Contractor to deliver to the City all work product completed as of such date, and in such case such work product shall be the property of the City unless prohibited by law, and Contractor consents to the City's use thereof for such purposes as the City deems appropriate. b. Payment need not be made for work which fails to meet the standard of performance specified in the Recitals of this Agreement. 18. NON-DISCRIMINATION Contractor shall not discriminate because of race, color, creed, relation, sex, marital status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities or in connection with any activities under this Agreement. Contractor affirms that it is an equal opportunity employer and shall comply with all applicable federal, state and local laws and regulations. 19. JURISDICTION -VENUE This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. 20. PROFESSIONAL LICENSES Contractor shall, throughout the term of this Agreement, maintain all necessary licenses, permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder and required by the laws and regulations of the United States, the State of California, the City of Santa Ana and all other governmental agencies. Contractor shall notify the City immediately and in writing of its inability to obtain or maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be cause for termination of this Agreement. Page 7 of 9 21. MISCELLANEOUS PROVISIONS a. Each undersigned represents and warrants that its signature herein below has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. b. All exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Agreement. Title: Associate Principal and Project Manager Page 8 of 8 EXHIBIT A Appendix ATTACHMENT 1 SCOPE OF WORK CITY OF SANTA ANA REQUEST FOR PROPOSALS FOR CIVIC CENTER PLAZA OF THE FLAG/FOUNTAIN STRUCTURAL ANALYSIS RFP NO.: 20-027 Introduction and Backl1round: The Civic Center Plaza of the Flag and Plaza of the Fountain were constructed in the early 1970s. The reinforced concrete decks have degraded to the extent where recurrent surface water and storm runoffs have infiltrated the slabs and the deteriorated existing pipe penetration core seals, resulting in undesirable nuisance leakages onto the parking garage below. Other observed deficiencies include spalled concrete, exposed and corroded steel reinforcing bars, and cracked decorative and plain finish surfaces. A structural analysis report is needed to provide cost estimates and recommendations for future repair to ensure public safety. The City is accepting proposals from experienced firms to provide their professional structural engineering expertise to determine the existing facilities' serviceability, the options available to return such facilities to its original intended functions, and the cost of such endeavors. Description of Work: The Consultant's responsibilities include the following, and shall consist of the followingproject tasks; Task I: Assessment of existing condition Review existing as-builts and compare with current Conduct field inspection of the structures including, but not limited to: o Parking garages o Structure deck slab layers, beams, joints, drainage, rebars, cracks,etc. o Drainage o Pedestrian bridge o Water fountains and planters o Miscellaneous features on the plaza decks Provide evaluation of potential project constraints and solutions. ➢ Deliverables shall include a Preliminary Report, including afield Site Reconnaissance memo which verifies the existing structure conditions and inventory of structure characteristics. Task 2: Inventory existing condition • Identify on a map locations of the deficiencies • Document all deficiencies with photographs • Identify the types of deficiency in a summary report • Perform a visual test of the structural slab, including but not limited to x-ray, to identify potential problem areas ➢ Deliverables shall include a summary offindings from the inventory existing condition. Task 3: Cost and analysis • Analyze the cause of the deficiencies • Analyze options for repair o Option 1: Minimal repair of the deficiencies with minimal aesthetic finish o Option 2: Fully repair/reconstruction to eliminate all deficiencies with new deck finish • Prepare detailed cost estimate for each option of repair for future construction budgeting purposes. Cost estimates shall include line item description, quantity, unit, and unit cost to arrive a total cost • Highlight a brief deseription/analysis for each type of repair ➢ Deliverables shall include a summary of the analysis and cost estimates and Task 4: Evaluation and Recommendations Based on accumulated research and field review, conduct and prepare written evaluation of both Plaza of the Flag and Plaza of the Fountain, which identifies and analyzes problems and deficiencies related to the overall parking structure and safety. Report shall include recommendations for repair that include: • Exhibit for each option of repair • Back up with structural calculations ➢ Deliverables shall include a technical report which summarizes and documents findings including all documents from tasks 1, 2, and 3. Fee Proposal: hi addition to Section III.B.3 (Submittal Requirements: Fee Proposal) fee schedule shall be structured to correspond to the above mentioned tasks as follows: Task 1: Research and Site Reconnaissance Task 2: Inventory existing condition Task 3: Cost and Analysis Task 4: Evaluation and Recommendations Total Fee: Fee schedule for each task should include an hourly breakdown that corresponds to the task total. Payment and Invoicing: Selected Consultant shall invoice the City based on time and material according to the City's standard invoice template. Tasks and hours shall be clearly identified and all rates must match those included in the approved agreement. City shall retain ten percent (10%) of the invoice amount from each payment until the completed Project has been accepted by the City. City Responsibilities The City will be responsible for providing as -built plans, base map layout of the decks, allow access to secured parking garage, and coordination with the Civic Center Authorities. (WJE) is well -qualified to provide professional services for the structural assessment of the Civic Center Plaza of the Flag and Plaza of the Fountain to the City of Santa Ana. WJE has extensive experience evaluating and providing repair design for parking structures and plazas, having successfully completed this type of work for hundreds of similar structures worldwide. Unlike other engineering firms, we offer the City of Santa Ana (City) an interdisciplinary approach combined with in-house laboratory facilities and nondestructive evaluation professionals. WJE specializes in problem -solving for existing structures. WJE is a national corporation, with twenty-six offices nationwide; the WJE branch office submitting this proposal is located at 225 South Lake Avenue, Suite 500, Pasadena, California. I am a registered engineer and an Associate Principal with WJE in our Pasadena office. I will be the project manager and principal -in -charge, the City's day-to-day contact, attending meetings, visiting the site, managing the assessment team, reviewing field and lab test data, and developing the deliverables. I will be responsible for oversight of this project for its duration. My work at WJE for the last fifteen years has included significant experience with parking structure and plaza assessments and managing projects of this size. Parking Structure Experience WJE has successfully completed investigation, testing, and repair projects involving a wide range of parking structure systems including those fabricated from precast and cast -in -place concrete using conventional, prestressed or post -tensioned reinforcement. The challenge in designing durable repairs for parking structures lies in correctly identifying the underlying cause(s) of distress or deterioration. To meet this challenge, WJE has applied the lessons learned from thousands of previous failure investigations and in-depth research into the corrosion behavior of embedded reinforcement, sealers, cement chemistry, repair methods and materials, and petrography to provide the best possible solutions for every client's parking structure problems. Work has included investigation of corrosion of embedded reinforcement which produces such visible effects such as cracking, delamination and spalling. We understand that this work is motivated by observed concrete damage and deficiencies as well as water infiltration into the garages. Project Methodology WJE's extensive experience in parking structure and plaza assessments will be leveraged in achieving the objectives of this project. We have developed a project approach that will yield cost- effective and prioritized repair and maintenance solutions founded on sound engineering judgment and a quantitative evaluation of the existing structures. A detailed project approach and scope is in Section 2: Scope of Services and Schedule. 1. Review pertinent documents. 2. Field Investigation: a. Visually assess structural and non-structural components. b. Identify structural or safety matters that require immediate attention. c. Perform nondestructive evaluation of elements to determine non -visible distress such as delaminations and to determine typical as -built condition of reinforcement. d. Create exploratory openings to confirm results of visual observations and nondestructive evaluation. e. Remove samples for laboratory testing as required to determine material composition and condition. 3. Repair Approach: a. Develop prioritized repair options, including one option for minimal repair and one option for full repair. b. Develop cost estimates for repair options. Project Deliverables Deliverables, to be provided at the completion of each task milestone, include the following: 1. Preliminary report summarizing existing conditions and characteristics of the parking garage structural components as well as plaza elements; 2. Memorandum summarizing observed deficiencies based on field assessment, including photos of deficiencies and a graphic mapping deficiency locations; 3. Memorandum summarizing recommended repair options and cost estimates for repairs; and 4. Formal report detailing all observations, findings, recommendations, repair options, and repair cost estimates. Project Challenges WJE has identified a few challenges associated with this project. To be able to provide the City witr sound and complete information regarding the condition of the garage and plazas and provide repair options, a multi -disciplinary approach to assess the garage and fountains is necessary. Fortunately, WJE is able to provide a multi -disciplinary team to support the City with assessment of structural components in the garage as well as planter, plaza, and fountain waterproofing and drainage evaluation. The proposed WJE project team includes not only structural engineers with experience at garages and plazas, but architects as well. In addition, WJE's in-house capability to perform non-destructive evaluation (NDE) as well as laboratory studies will streamline scheduling and coordination. The results of the NDE and laboratory studies will confirm as -built conditions and provide needed information to inform and guide the development of repair options to facilitate the continued service life of the garage and plazas. We assume that the garages are to remain open during the assessment. Therefore, coordination with the City for access to the garages and the plazas will need to be communicated effectively and scheduled efficiently to limit the potential down -time of any area. WJE will work outside normal business hours as necessary to reduce overall impact on use of the garage. WJE will utilize high - visibility vests and cones to delineate personnel and work areas during the assessment. Ann Harrer was the Project Manager. WJE's services included: field investigation and facade survey to identify concrete distress and deterioration of panels; concrete sampling, petrographic examination and chemical analysis of cores; development of repair options with various repair approaches; and construction period services to review mock-ups and submittals, and to verify the quality of the repairs. Completed in 2019. Ritz -Carlton, Laguna Niguel PT Concrete Repairs; Dana Point, CA l Mr. Mike Williams, Director of Engineering, (949) 240-2000 A stand-alone, three -level parking structure constructed in 1983 of post - tensioned (PT) slabs and beams supported by concrete cast -in -place columns was exhibiting localized spalling concrete, requiring closures. Ann Harrer led the project. WJE's services included: field investigation to diagnose surface and underlying issues and mechanisms of deterioration; a visual condition assessment; concrete sampling, petrographic examination, and chemical analysis of cores; construction documents to repair the post - tensioning tendons, concrete, cracks, waterproofing systems, and the expansion joint. Construction was coordinated with an occupied hotel and operational parking garage. A repair and priority schedule was provided to accommodate tenant activities. Completed in 2018. Crowne Plaza Redondo Beach Parking Structure Evaluation; Redondo Beach, CA Mr. Gabriel Toro, Project Manager, (770) 604-2123 This four-story beachfront parking structure was built in 1986, with one below -grade and three above -grade levels; it is post -tensioned concrete slab construction, with cast -in -place reinforced concrete columns and structural walls. A portion of the roof includes a swimming pool and spa vaults, tennis courts, and patio space. Water leaks, cracking, and spelling of the structural concrete elements were of concern. WJE's services included: visual observations, nondestructive testing, exploratory openings, and laboratory studies to determine as -built construction and the condition of the structural and waterproofing systems; concrete sampling, petrographic examination, and chemical analysis of cores; development of remediation program with comprehensive waterproofing and structural concrete repairs. Elements that will be inspected include but are not limited to: structure deck slab layers, beams, joists, drainage, rebar, cracks, pedestrian bridge, water fountains, planters, and miscellaneous features on the plaza decks. The location, extent, and nature of observable deterioration will be noted on field sheets developed using drawings provided by the City. Existing conditions will also be documented photographically. ■ Provide evaluation of potential project constraints and solutions - Based on an initial walkthrough of the structure with representatives from the City, WJE will provide an overview of existing conditions that may be potential project constraints and may require additional access and/or coordination for completion of our visual survey. WJE will coordinate with the City to resolve any constraints for successful completion of the visual survey. WJE No. 2020.1370 1 MARCH 11, 2020 Page 7 WJE Civic Center Plaza Structural Analysis Structural Analysis of Civic Center Plaza of the Flag/Fountain ■ Provide a preliminary repot, including a field site reconnaissance memo which verifies the existing structure conditions and inventory of structure characteristics - WJE will provide a preliminary memorandum after conducting our visual survey that will include a general overview of the existing conditions and characteristics of the structure. Task 2: Inventory Existing Condition ■ Identify on a map locations of the deficiencies - WJE will provide a graphic mapping the locations and type of deficiencies noted during our visual survey. We anticipate that this will be an annotated drawing or site plan with keyed information and descriptions of deficiencies observed. ■ Document all deficiencies with photographs - WJE will document existing conditions and all deficiencies noted during our visual survey with photographs. The locations of deficiencies will be noted on an annotated drawing as noted above. ■ Identify the types of deficiency in a summary report - WJE will present our findings in a summary report that will detail the types of deficiencies noted during our visual survey, including their locations and photographs of each. ■ Perform a visual test of the structural slab, including but not limited to x-ray, to identify potential problem areas - WJE will supplement our visual surveys with nondestructive evaluation techniques. These nondestructive evaluation techniques will include chain dragging and other accepted sounding methods to identify delaminations. Sounding at the underside of the concrete slabs will be limited to those areas where cracking, mineral staining, patching, or other evidence is present to indicate possible deterioration and/or delamination of the concrete surface. In addition, based on our visual assessment, selected additional techniques will be deployed and are anticipated to include ground penetrating radar (GPR), to better characterize the levels of delaminated concrete and non -visible distress. GPR will also be utilized to determine the as -built concrete reinforcement at localized areas. Specifically, GPR will be used to located embedded reinforcement steel and determine bar spacing and depth of cover. Delamination findings will be recorded on drawings provided by the City for later analysis and determination of repair quantities. The nondestructive evaluation will be conducted at localized areas throughout the garages; however, will be sufficient to provide information regarding the entire structure. ■ WJE will propose locations to make exploratory openings that will provide confirmation for the results of our visual survey and nondestructive evaluation. Exploratory openings will be performed by a qualified contractor. Samples will also be removed for limited laboratory studies to confirm characteristics of the concrete materials and to provide information to facilitate the development of repair options. Samples will be located by WJE and removed by a qualified contractor. Laboratory studies will be completed at up to 4 samples removed from the parking garage at locations identified by WJE and confirmed by the City. Samples will be sent to WJE's in-house, independent testing laboratory located in Northbrook, Illinois for petrographic and related laboratory testing. The following tests are anticipated to be completed. • Chloride Ion Testing. WJE proposes to develop chloride ion profiles through the concrete depth to ascertain the rate of chloride diffusion and hence the remaining time to corrosion initiation. (ASTM C1152) • Petrographic Examination and Testing. Petrography can include optical, infrared, and electron microscopy; and X-ray diffractometry and emission spectroscopy as required to fully WJE No. 2020,1370 1 MARCH 11, 2020 Page 8 WJE Civic Center Plaza Structural Analysis Structural Analysis of Civic Center Plaza of the Flag/Fountain characterize the chemistry and integrity of the sample, as well as any deterioration mechanisms that might be present. (ASTM C856) • Carbonation Testing. WE proposes to determine the depth of carbonation through the concrete depth; this test will be completed as part of the petrographic examination. ■ Deliverables shall include a summary of findings from the inventory existing condition - WJE will summarize our findings from the tasks above in a memorandum that will detail existing conditions and deficiencies noted during our visual survey, nondestructive evaluation, and laboratory studies. Task 3: Cost and Analysis ■ Analyze the cause of the deficiencies - WE will review information obtained in Tasks 1 and 2 and synthesize all the data to provide an opinion on the probable cause of each noted deficiency, based on our understanding of the structure and our visual observations. ■ Analyze options for repair • Option 1: Minimal repair of the deficiencies with minimal aesthetic finish • Option 2: Fully repair/reconstruction to eliminate all deficiencies with new deck finish WJE will develop options for repair, focusing on two different repair approaches. The first will be a minimal repair of the deficiencies with minimal aesthetic finish and the second will be to fully repair/reconstruction to eliminate all deficiencies with new deck finish. ■ Prepare detailed cost estimate for each option of repair for future construction budgeting purposes. Cost estimates shall include line item description, quantity, unit, and unit cost to arrive at a total cost - WJE will provide a detailed cost estimate for each repair option, including a description of the repair, estimated quantity based on our visual survey, unit cost for each repair, and total cost. WJE's cost estimate will be developed for general planning and budgetary purposes. ■ Highlight a brief description/analysis for each type of repair- WE will provide a description and analysis for each type of repair proposed. ■ Deliverables shall include a summary of the analysis and cost estimates - WJE will provide a summary of repair options and cost estimates. The various options for repair and maintenance will be summarized for short, mid-, and long-term strategies. The costs including initial and long- term maintenance expenditures, relative life span, and effectiveness for each option will be presented and contrasted. Task 4: Evaluation and Recommendations ■ Based on accumulated research and field review, conduct and prepare written evaluation of both Plaza of the Flag and Plaza of the Fountain, which identifies and analyzes problems and deficiencies related to the overall parking structure and safety. WJE will compile all information obtained in Tasks 1-3 for the purposes of developing a report for the City. This report will include photographs and annotated drawings identifying observed deficiencies and their locations, synthesis of visual, NDE, and laboratory study findings, opinions on causes of distress and deficiencies observed, as well as recommendations for repair to continue the service life of the garage within two general repair options as described above. The Consultant shall send to each labor union or representative of workers with which he/she has a collective bargaining agreement or other contract or understanding, a notice to be provided advising the said labor union or workers' representatives of the Consultant's commitments under this section, and shall post copies of the notice in conspicuous places available to employees and applicants for employment. 4. LIMITED ADVICE OF CANCELLATION PROVIDED VIA E-MAIL TO ENTITIES OTHER THAN THE NAMED INSURED (WORKERS' COMPENSATION ONLY) This policy is amended as follows In the event that the Insurer cancels this policy for any reason other than non-payment of premium, and 1. the cancellation effective date is prior to this policy's expiration date, 2 the Named Insured or, if applicable, any other employers named in Item 1 of the Information Page is under an existing contractual obligation to notify a certificate holder when this policy Is canceled (hereinafter, the " Certificate Holder(s)" ) and the Named Insured has provided to the Insurer, either directly or through Its broker of record, the email address of a contact at each such entity, and 3 the Insurer received this information after the Named Insured receives notice of cancellation of this policy and prior to this policy' s cancellation effective date, via an electronic spreadsheet that is acceptable to the Insurer, the Insurer will provide advice of cancellation (the " Advice" ) via e-mail to each such Certificate Holders within 30 days after the Named Insured provides such information to the Insurer, provided, however, that if a specific number of days is not stated above, then the Advice will be provided to such Certificate Holder(s) as soon as reasonably practicable after the Named Insured provides such information to the Insurer Proof of the Insurer emailing the Advice, using the information provided by the First Named Insured, will serve as proof that the Insurer has fully satisfied its obligations under this endorsement. This endorsement does not affect, in any way, coverage provided under this policy or the cancellation of this policy or the effective date thereof, nor shall this endorsement invest any rights in any entity not insured under this policy The following definitions apply to this endorsement: 1 Named Insured means the insured first named employer in Item 1 of the Information Page of this policy 2.
