INC. ®: PD TW THIS FIRST AMENDMENT to the above -referenced agreement is entered into on July 21, 2020, by and between GeoSpatial Inc. ("GST"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. The parties entered into Agreement No •=N-20E94--1.4&, dated August 3, 2019, by which GST agreed to maintain and license crime mapping software services to the City ("Agreement'). B. The term of the Agreement continues until August 2, 2020, with the option by the City to exercise up to two (2) one (1) year renewals. The Agreement is currently in effect. C. The City wishes to exercise the first of the one-year renewal option and the parties wish to amend and increase the compensation amount for the Agreement to cover costs for the additional one-year term. The Parties therefore agree: 1. Section 2, Compensation, is amended to increase the total compensation for services provided by all GST in the amount of $1050as provided in the July 15, 2020, invoice identified herein as Exhibit A-1 to-thiS-First Amendment to the Agreement. The total sum to be expended for this Agreementall not exceed $24,000, which includes, as part of the total, an additional contingency amount of $3,000 for services to be provided at the sole discretion of the City. 2. Section 3, Term, is extended until August 2, 2021. An additional one-year renewal remains available to be exercised at the option of the City as provided by the Agreement. 3. Except as modified by this First Amendment, all terms and conditions of the Agreement shall remain in full force and effect.
