THIS SECOND AMENDMENT TO AGREEMENT FOR LANDSCAPE
MAINTENANCE SERVICES FOR CITY OF SANTA ANA PARKS is made and entered into
this 9 h day of October, 2020, by and between DIAS Facility Services, LLC, a California Limited
Liability Company ("Contractor'), and the City of Santa Ana, a charter city and municipal
corporation organized and existing under the Constitution and laws of the State of California
("city").
RECITALS
A. City and Contractor entered into an Agreement dated January 21, 2020,
Agreement # A-2020-DOI, to provide landscape maintenance services for City
parks ("said Agreement").
B. On March 27, 2020, a special allocation of funds was authorized by the
Coronavirus Aid, Relief, and Economic Security Act ("CARES Acf'), Public Law
116-136, Section 601(a) of the Social Security Act, to prevent, prepare for, and
respond to the coronavirus ("COVM-19") pandemic.
C. City and Contractor entered into a First Amendment to Agreement dated August
31, 2020, Agreement # A-2020-001-01, to uses CARES Act Funds to provide
disinfection services for designated City facilities at City parks and the Civic
Center.
D. Contractor has now been selected by the City to receive additional CARES Act
Funds in order to provide disinfection services for designated City parks
playground and exercise equipment. Contractor represents that it is qualified and
willing to provide such services to the City, and certifies that the services
provided with hands under this Agreement will meet the CARES Act's objectives
to respond to this historic COVID-I9 public health crisis.
E. In accordance with the terms and conditions of said Agreement, the Parties desire
to amend Section I — Scope of Services, to expand the scope of disinfection
services to include playground and exercise equipment under said Agreement, and
Section 2 — Compensation, to increase the maximum amount of Compensation for
said Agreement.
NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the
terms and conditions of said Agreement, except as herein modified, the parties agree as follows:
I. Section 1, Scope of Work, shall be amended to append Exhibit A in said
Agreement to add Exhibit 1, Proposal to disinfect Parks Playground & Exercise
Equipment Monthly, attached hereto and incorporated herein by reference, which

shall be considered additional Disinfection Services under said Agreement, as
previously amended ("Additional Disinfection Services").
2. Section 2, Compensation, shall be amended to increase the maximum amount of
compensation by Eighty -Two Thousand Five Hundred Dollars ($82,500.00) for
the Additional Disinfection Services, to be billed according to the schedule of fees
identified in Exhibit 1, and paid using CARES Act Funds, such that the total sum
to be expended under said Agreement shall not exceed Fifteen Million, Four
Hundred and, Ninety -Two Thousand Five -Hundred and Ninety -Six Dollars
($15,492,596.00) during flre term of said, Agreement.
3. Except as hereinabove modified, all terns and conditions of said Agreement, a$
previously amended, shall remain in full force and effect.

IN WITNESS WHEREOF, the Parties have executed this Second Amendment to Agreement for
Landscape Maintenance Services for City of Santa Ana Parks the date and year first above
written.

Dear Ron,
DMS Facility Services, Inc. [DMS] is please to submit our proposal to Disinfect
playground & Exercise equipment at Parks Monthly service at the above property.
All labor, materials, equipment and supervision are included in the bid price.
Scope of work is to follow the City spec's given to DMS by City of Santa Ana.
• Disinfect the Playground & Exercise equipment at Parks 3 x per week.
• Costs includes all labor, materials and supervision.
Monthly Total: $ 29,655.00
