Yt. THIS SECOND AMENDMENT TO AGREEMENT, dated as of this 4s' day of
December, 2020 by and between Friends of the Santa Ana Zoo, a California non-profit public
benefit corporation, organized for the purpose of supporting the operation, maintenance and
expansion of the Santa Ana Zoo at Prentice Park through charitable fund-raising (hereinafter
"FOSAZ"), and the City of Santa Ana, a charter city and municipal corporation organized and
existing under the Constitution and laws of the State of California (hereinafter "City"), collectively
"the Parties".
RECITALS
A. The Parties entered into Agreement #A-2016-035, dated March 1, 2016, ("said
Agreement") by which City and FOSAZ outlined the terms of their agreement to support
the operation, maintenance and expansion of the Santa Ana Zoo at Prentice Park through
charitable fundraising;
B. The Parties entered into a First Amendment #A-2016-035-01 to said Agreement on July
31, 2017 to increase the amount of funds received each year from FOSAZ to be used by
the City for veterinary expenses; and
C. The Parties desire to amend the Agreement to lower the percentage of financial
contributions from FOSAZ for veterinary expenses and funding an educational position at
the Zoo. In addition, the Parties want to acknowledge that the Zoo was closed due to
COVID-19 State health orders and corresponding guidance from March 16, 2020 to
September 9, 2020 and waive the payment of ten percent (10%) of net proceeds from Zoo
concessions for that time period. These amendments are necessary as a result of the
worldwide pandemic due to COVID-19 and its effect on Zoo operations and FOSAZ'
ability to conduct charitable fundraising.
NOW THEREFORE, in consideration of the mutual and respective promises, and subject
to the terms and conditions hereinafter set forth, the Parties agree as follows:
1. Section 3.G.i- Financial Contribution & Concession Revenue Sharing, is amended
to read as follows:
On or before December 31 of each year, FOSAZ shall remit the sum of thirty thousand
dollars ($30,000) to the City to be used for veterinary expenses. These funds shall be deposited
into a City revenue account with the City General Fund.
2. Section 3.G.ii- Financial Contribution & Concession Revenue Sharing, is
amended to read as follows:
On or before December 31 of each year, FOSAZ shall remit the sum of twenty thousand
dollars ($20,000) to the city to be used towards the salary of a full-time educational position.
These funds shall be deposited into a City revenue account with the City General Fund.
