DA CORTE and LANNIE ANN DA CORTE, husband �and wife, hereinafter referred to as "Grantors" and the CITY OF SANTA ANA, a municipal corporation of the State of California, hereinafter referred to as "Grantee" A. Grantors are the owners of certain real property situated in the City of Santa Ana, Orange County, California, (hereinafter referred to as the "Servient Tenement" and more particularly described as follows: LOT 44 OF TRACT NO. 6036 AS SHOWN ON A MAP RECORDED IN BOOK 221, PAGES 9, 10 AND 11, INCLUSIVE, OF MISCELLANEOUS MAPS, IN THE OFFICE OF THE COUNTY RECORDER OF ORANGE COUNTY, CALIFORNIA B. Grantee desires to acquire certain rights in the Servient Tenement. the parties do hereby agree as follows: 1. Grantor grants to Grantee an easement, subject to the terms of this Agreement. 2. The easement granted in this Agreement is in gross. 3. The easement granted in this Agreement is the right to install and maintain a sign on the existing block wall located on the west side of Spruce Street between Segerstrom Avenue and Carriage Drive, which sign shall identify the Servient Tenement as "Republic Homes" and shall contain an eagle logo. 4. The easement granted in this Agreement includes the right of access to the Servient Tenement as reasonably necessary to install and maintain the subject sign. In exercising these right, Grantee must use reasonable care and may not unreasonably increase the burden on the Servient Tenement or make any material changes to the Servient Tenement other than the subject sign. 5. Grantee shall hold harmless, indemnify and defend Grantor 1 from and against any and all claims and liabilities for bodily injury or property damage arising out of Grantee's exercise of the easement herein granted. 6. The easement granted in this Agreement is nonexclusive. Grantor retains the right to make any use of the Servient Tenement that does not interfere unreasonably with Grantee's free use and enjoyment of the easement. 7. This Agreement shall not be assigned. Any purported assignment of this Agreement or of any interest in this Agreement shall be void and of no effect. 8. This Agreement constitutes the entire agreement between Grantor and Grantee relating to the above easement. Any prior agreements, promises, negotiations, or representations not expressly set forth in this Agreement are of no force and effect. Any amendment to this Agreement shall be of no force and effect unless it is in writing and signed by Grantor And Grantee. 9. This Agreement shall be binding on and shall inure to the benefit of the heirs, executors, administrators, successors, and assigns of Grantor and Grantee, except as otherwise provided in this Agreement.
