("Serco" or "we") is proud to be a trusted partner to the City of Santa Ana ("City"), providing dependable parking enforcement services. After considerable and careful thought, Serco has decided to sell its parking business, which includes the agreement number A-2018-158 (the "Agreement"). This request does not apply to any other lease agreements that Serco has with the City of Santa Ana. Of course, we know the City's consent is a precondition to any transfer of our Agreement. As such, we respectfully request your consent to the transaction and waive any right to either terminate our Agreement or allege a breach or default due to our pursuit of this sale. We believe the City will not experience any material changes in the services provided for the following reasons. First, we plan to sell our parking business to a world leader in parking, LAZ Karp Associates, LLC ("LAZ"), a Connecticut limited liability company (such sale being the "Transaction"). LAZ is committed to providing excellent service as they have done for many years. Second, we have required LAZ, as part of the Transaction, to extend offers of continued employment to the entire operations team currently serving the City, from the parking enforcement officers all the way up to our Program Manager, Richard Kowaltschuk, Senior Ops. Manager, Peter Cho and Parking BU Director, Muhammad Mansoor. Essentially, the only real change you will experience will be the name of the company issuing you invoices. As you can imagine, the time constraints associated with trying to sell a business are even more challenging at this time. We appreciate your prompt response to our request.
