INSURANCE ON FILE N-2020-08 `2-01 WORK MAY PROCEED UNTIL INSURANCE EXPIRES CD • %.Z,. %, 3 FIRST AMENDMENT TO AGREEMENT WITH CLERK OF COUNCIL SUPERIOR PROPERTY SERVICES INC DATE: TO PROVIDE ANTI -GRAFFITI COATING THIS FIRST FIRST AMENDMENT to the above -referenced agreement is entered into on July 12, 2022, by and between Superior Property Services, Inc. ("Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City")- JUL 2 8 2022 RECITALS A. The parties entered into Agreement No. N-2020-082 ("Agreement") dated April 2, 2020, to coat utility boxes that are part of the Utility Box Art Program with anti -graffiti coating, plus on -going maintenance and graffiti abatement from the listed coated boxes ("Project"). The Agreement runs through June 30, 2022, with an option to exercise an extension of the term. B. The parties intend to continue conducting business together. This First Amendment shall authorize payments for services rendered from July 1, 2022. C. The parties now wish to amend the Agreement to: 1) expand the scope of services to include additional sites and locations; 2) increase the compensation for said services; and 3) exercise the option to extend the term of the Agreement. The Parties therefore agree: 1. Section 1, Scope of Services, is hereby amended to include the additional sites detailed as Exhibit A- 1 to this First Amendment. Consultant agrees to honor the costs reflected in Exhibit A-1 through the term defined below in this First Amendment. Services for sites, as needed by the City, shall be agreed upon, by the Parties, in writing and include details of cost(s) per box and/or site location. 2. Section 3, Term, is hereby extended until June 30, 2024. The parties understand that this extended term shall act as the parties' option to extend the term of the Agreement and no further extension is available under this Agreement after June 30, 2024. 3. Except as modified by this First Amendment, all terms and conditions of the Agreement, shall remain in full force and effect.
