N-2019-252-01 FIRST AMENDMENT TO AGREEMENT BETWEEN THE CITY OF SANTA ANA AND STERLING HEALTH SERVICES FOR AFFORDABLE CARE ACT COMPLIANCE THIS FIRST AMENDMENT TO AGREEMENT is entered into this _26_day of September, 2022, by and between Sterling Health Services, a California Corporation ("Consultant"), and the City of Santa Ana, o a charter city and municipal corporation duly organized and existing under the Constitution and laws of the � State of California ("City"). City and Consultant are also referred to herein as "the Parties." Q RECITALS A. On November 12, 2019, the City entered into Agreement #N-2019-252 ("Agreement") with Sterling Health Services to assist the City in maintaining compliance with the Patient Protection and Affordable Care Act ("ACA"). B. The parties desire to exercise one of the one-year extensions to the Agreement and to increase the compensation to cover those services and additional contingency funds. THE PARTIES THEREFORE AGREE: 1. Section 2, COMPENSATION, shall be amended to increase compensation for the extended term from $25,000 to an amount not to exceed $50,000. This will include an additional $4,000 flat fee for services for the one-year extension and an increase in the overall contingency amount from $3,500 to $24,500. 2. The Parties agree to exercise the first optional one-year extension as outlined in Section 3 of the Agreement. As a result, the Agreement term is extended for one (1) year from October 31, 2022 to October 31, 2023. Except as hereinabove modified, the terms and conditions of said Agreement remain unchanged and in full force and effect.
