FOR A VALUABLE CONSIDERATION, receipt of which is hereby acknowledged, the City of Santa Ana, a municipal corporation organized and existing under the laws of the State of California ("Grantor"), hereby quitclaims to the County of Orange, a political subdivision of the State of California ("Grantee"), all right title and interest in the real property located in the City of Santa Ana, County of Orange, State of California, described as PARCEL Bl in Schedule 1 attached hereto and incorporated herein by reference (the "Property"). �Cb oRhk-�, m(11bA qNa 14� SUBJECT TO: 1. General and Special Real Property Taxes for the current fiscal year. 2. Covenants, conditions, restrictions, easements, reservations, rights, and rights -of - way of record. 3. Grantor hereby reserves unto itself the rights to any existing City -owned utility lines, pipelines or other facilities (hereinafter "Improvements"), including easements for access, use, reconstruction, excavation, maintenance, repair, removal, or any other necessary action related to such Improvements, currently existing within the Property to be conveyed by this quitclaim deed, whether or not Project Name: Santa Ana Property Exchange such easements are shown in the Official Records, and regardless of whether such Improvements are apparent by physical inspection (`Basement Area"). Nothing in this Section shall be construed to convey, create or transfer an easement by grant or reservation for utilities, pipelines or other facilities that did not exist on the Property on the date Grantor executed this instrument. 4. Grantor hereby agrees new construction and/or relocation of the Improvements shall require submittal of plans, new easements, approvals, and permits. 5. Grantor shall have all access, use, reconstruction, excavation, maintenance, repair, removal, or any other necessary action related for the Improvements approved in writing by the Grantee, through its permit process and shall obtain a Grantee permit with payment of normal processing fees therefore and shall provide evidence of adequate insurance coverage prior to commencement of any work in, on, over, upon or across the Easement Area; and upon completion of any such work, Grantor shall immediately notify Grantee in writing of such completion. Grantor shall perform all construction and/or maintenance in such a manner that will allow for unobstructed use of the Property to the reasonable satisfaction of Grantee. Should it be necessary for Grantor to conduct any construction, excavation, maintenance, repair, relocation, reconstruction, removal, or other activities that may disturb the, surface of the Easement Area or require the use of any specialized vehicles or equipment, including but not limited to haulers or cranes, Grantor agrees to notify the County in writing thirty (30) days in advance of such planned activities, obtain the Grantee's written approval of all plans, easements, and obtain the necessary permits for any such activities with payment of normal processing fees therefor and shall provide evidence of adequate insurance coverage prior to commencement of any such activities in, on, over, upon or across the Easement Area. The Grantee's prior approval shall not be necessary, nor shall Grantor be required to obtain a permit prior to conducting any work associated with an emergency situation, however, Grantor shall notify the Grantee within five (5) days following commencement of any such emergency work, and if so, requested by the Grantee, Grantor shall secure the necessary permits for the purpose of documenting the emergency work.
