Site License Agreement
(T60r- This agreement is made effective as of June 1, 2023, by and between CopWare, Inc., a
corporation organized and existing under the laws of the State of California, with its registered
office at 3355 Cochran Street, Suite 209, City of Simi Valley, County of Ventura, State of
California, hereafter referred to as "CopWare," and the City of Santa Ana, 60 Civic Center Plaza,
Santa Ana, CA 92702, a charter city and municipal corporation duly organized and existing
under the constitution and laws of the State of California ("City of Santa Ana").
Recitals
A. CopWare is exclusively authorized by the Department of Justice, State of California, to
produce, market, and distribute the California Peace Officers Legal Sourcebook (CPOLS) in
electronic formats. Additionally, CopWare reproduces the California Codes, herein referred to as
"Codes," in electronic format.
B. City of Santa Ana, Santa Ana Police Department, a department consisting of approximately
350 sworn officers, desires to obtain a Site License that permits unlimited usage of the CPOLS
and Codes software by all City of Santa Ana, Santa Ana Police Department, employees during
the three-year (36-month) subscription period, without maintaining and reporting individual or
department software usage to CopWare.
In consideration of the mutual covenants contained in this agreement, and other good and
valuable considerations, the parties agree as follows:
1. Site License Grant
CopWare grants to City of Santa Ana a site license for unlimited usage of CopWare's CPOLS and
Codes software by all Santa Ana Police Department employees during the subscription period,
from June 1, 2023, through May 31, 2026.
2. Site License Authorization
CopWare grants a Site License to City of Santa Ana, authorizing City of Santa Ana to use the
software on all computers utilized by City of Santa Ana, whether owned, leased, or rented,
including any and all mobile computers during the three-year (36-month) subscription period.
3. Personal Use
This Site License allows personal use by all department personnel. Personal use includes the
installation of the CopWare software or access to the CopWare Services on their personal
computing devices, including but not limited to desktop computers, laptops, tablets, and mobile
phones. For personal use, employees must use a city -provided email address when registering
or accessing the CopWare software or services. Department personnel are responsible for
adhering to the terms and conditions of this Site License Agreement while using CopWare
software or services on personal devices.
4. Compliance with License Agreement Terms
City of Santa Ana agrees to duplicate all instructions provided by CopWare to meet their
department requirements. Except as provided herein, City of Santa Ana and its employees agree
to abide by the terms of this Site License Agreement.
5. License Fee
City of Santa Ana agrees to pay, and CopWare agrees to accept, a total of $20,235 as payment
for the three-year site license described in Section 1, above, as detailed in Quote 86400 attached
hereto as Exhibit A.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of
California, without regard to its conflict of laws provisions.
