David Evans & Associates, Inc. ("Consultant"), and the City of Santa Ana, a charter city and
omunicipal corporation organized and existing under the Constitution and laws of the State of
California ("City").

A. On February 22, 2023 the City issued a Request for Proposal No. 22-097 by which it
desired to retain a Consultant having special skill and knowledge in the field of: landscape
architectural services on an on -call basis for the City's Public Works Agency.
B. Consultant submitted a responsive proposal that was among those selected by the city.
Consultant represents that it is able and willing to provide such services described in the
scope of work that was included in the RFP No. 22-097.
C. In undertaking the performance of this Agreement, Consultant represents that it is
knowledgeable in its field and that any services performed by Consultant under this
Agreement will be performed in compliance with such standards as may reasonably be
expected from a professional consulting firm in the field.
NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the
terms and conditions hereinafter set forth, the parties agree as follows:
1. SCOPE OF SERVICES
Consultant shall perform the services that were described in the scope of work included in
the RFP No. 22-097, during the term of this Agreement, the tasks and obligations including all
labor, materials, tools, equipment, and incidental customary work required to fully and adequately
complete the services described and set forth in "Scope of Services - Exhibit A", attached hereto
and incorporated by reference, and as further described in Consultant's Proposal, attached hereto
an incorporated herein by this reference as "Consultant's Proposal - Exhibit B".
2. COMPENSATION
a. City neither warrants nor guarantees any minimum or maximum compensation to
Consultant under this Agreement. Consultant shall be paid only for actual services
performed under this Agreement at the rates and charges identified in Consultant's Fee
Proposal, which is attached hereto and fully incorporated herein by this reference as
"Compensation - Exhibit C". Consultant is one of ten (10) separate consultants
selected to provide services on an on -call basis under RFP 22-097. The total
compensation for services provided by all consultants selected under RFP 22-097 shall
not exceed the shared aggregate amount of $5,000,000.00 during the term of this
Agreement, including any extension periods, as set forth in Section 3, below.

b. Payment by City shall be made within forty-five (45) days following receipt of proper
invoice evidencing work performed, subject to City accounting procedures. Payment
need not be made for work which fails to meet the standards of performance set forth
in the Recitals which may reasonably be expected by City.
c. Notwithstanding any contrary terms contained within Consultant's Fee Proposal,
Consultant's fees shall not increase by more than 3% annually over the term of this
Agreement, including any extension periods, unless directly affected by Prevailing
Wage laws, if applicable.
3. TERM
This Agreement shall commence on May 16, 2023 and end on May 15, 2026, with the
option for the City to grant up to two (2), one-year extension, exercisable by a writing by the City
Manager and the City Attorney, unless terminated earlier in accordance with Section 15, below.
4. INDEPENDENT CONTRACTOR
Consultant shall, during the entire term of this Agreement, be construed to be an
independent contractor and not an employee of the City. This Agreement is not intended nor shall
it be construed to create an employer -employee relationship, a joint venture relationship, or to
allow the City to exercise discretion or control over the professional manner in which Consultant
performs the services which are the subject matter of this Agreement; however, the services to be
provided by Consultant shall be provided in a manner consistent with all applicable standards and
regulations governing such services. Consultant shall pay all salaries and wages, employer's social
security taxes, unemployment insurance and similar taxes relating to employees and shall be
responsible for all applicable withholding taxes.
5. OWNERSHIP OF MATERIALS
This Agreement creates a non-exclusive and perpetual license for City to copy, use,
modify, reuse, or sublicense any and all copyrights, designs, and other intellectual property
embodied in plans, specifications, studies, drawings, estimates, and other documents or works of
authorship fixed in any tangible medium of expression, including but not limited to, physical
drawings or data magnetically or otherwise recorded on computer diskettes, which are prepared or
caused to be prepared by Consultant under this Agreement ("Documents & Data"). Consultant
shall require all subcontractors to agree in writing that City is granted a non-exclusive and
perpetual license for any Documents & Data the subcontractor prepares under this Agreement.
Consultant represents and warrants that Consultant has the legal right to license any and all
Documents & Data. Consultant makes no such representation and warranty in regard to
Documents & Data which were provided to Consultant by the City. City shall not be limited in
any way in its use of the Documents and Data at any time, provided that any such use not within
the purposes intended by this Agreement shall be at City's sole risk.

6. INSURANCE
Consultant shall procure and maintain for the duration of the contract insurance against
claims for injuries to persons or damages to property which may arise from or in connection with
the performance of the work hereunder and the results of that work by the Consultant, its agents,
representatives, employees or subcontractors.
a. Consultant shall not commence work for the City until it has provided evidence
satisfactory to the City that it has secured all insurance required under this Section. In
addition, Consultant shall not allow any subconsultant to commence work on any
subcontract until it has secured all insurance required under this Section.
b. Insurance coverage shall be at least as broad as:
(i) Commercial General Liability (CGL): Insurance Services Office
Form CG 00 01 covering CGL on an "occurrence" basis, including
products and completed operations, property damage, bodily injury and
personal & advertising injury with limits no less than $2,000,000 per
occurrence. If a general aggregate limit applies, either the general
aggregate limit shall apply separately to this project/location (ISO CG
25 03 or 25 04) or the general aggregate limit shall be twice the required
occurrence limit.
(ii) Automobile Liability: Insurance Services Office Form Number CA
0001 covering, Code 1 (any auto), or if Consultant has no owned autos,
Code 8 (hired) and 9 (non -owned), with limit no less than $1,000,000
per accident for bodily injury and property damage.
(iii) Workers' Compensation insurance as required by the State of
California, with Statutory Limits, and Employer's Liability Insurance
with limit of no less than $1,000,000 per accident for bodily injury or
disease.
(iv) Professional Liability (Errors and Omissions) Insurance
appropriates to the Consultant's profession, with limit no less than
$2,000,000 per occurrence or claim, $2,000,000 aggregate.
(v) If the Consultant maintains broader coverage and/or higher limits
than the minimums shown above, the City requires and shall be entitled
to the broader coverage and/or the higher limits maintained by the
Consultant. Any available insurance proceeds in excess of the specified
minimum limits of insurance and coverage shall be available to the City.
c. Other Insurance Provisions. The insurance policies are to contain, or be endorsed
to contain, the following provisions:

(i) Additional Insured Status. The City, its officers, officials, employees,
and volunteers are to be covered as additional insureds on the CGL
policy with respect to liability arising out of work or operations
performed by or on behalf of the Consultant including materials, parts,
or equipment furnished in connection with such work or operations.
General liability coverage can be provided in the form of an
endorsement to the Consultant's insurance (at least as broad as ISO
Form CG 20 10 11 85 or both CG 20 10, CG 20 26, CG 20 33, or CG
20 38; and CG 20 37 forms if later revisions used).
(ii) Primary Coverage. For any claims related to this contract, the
Consultant's insurance coverage shall be primary insurance primary
coverage at least as broad as ISO CG 20 0104 13 as respects the City,
its officers, officials, employees, and volunteers. Any insurance or self-
insurance maintained by the City, its officers, officials, employees, or
volunteers shall be excess of the Consultant's insurance and shall not
contribute with it.
(iii)Notice of Cancellation. Each insurance policy required above shall
state that coverage shall not be canceled, except with notice to the City.
(iv)Waiver of Subrogation. Consultant hereby grants to City a waiver of
any right to subrogation which any insurer of said Consultant may
acquire against the City by virtue of the payment of any loss under such
insurance. Consultant agrees to obtain any endorsement that may be
necessary to affect this waiver of subrogation, but this provision applies
regardless of whether or not the City has received a waiver of
subrogation endorsement from the insurer.
(v) Self -Insured Retentions. Self -insured retentions must be declared to
and approved by the City. The City may require the Consultant to
purchase coverage with a lower retention or provide proof of ability to
pay losses and related investigations, claim administration, and defense
expenses within the retention. The policy language shall provide, or be
endorsed to provide, that the self -insured retention may be satisfied by
either the named insured or City.
(vi)Aeceptability of Insurers. Insurance is to be placed with insurers
authorized to conduct business in the state with a current A.M. Best's
rating of no less than A: VII, unless otherwise acceptable to the City.
(vii) Claims Made Policies. If any of the required policies provide
coverage on a claims -made basis:
• The Retroactive Date must be shown and must be before the date of
the contract or the beginning of contract work.

• Insurance must be maintained and evidence of insurance must be
provided for at least five (5) years after completion of the contract
of work.
• If coverage is canceled or non -renewed, and not replaced with
another claims -made policy form with a Retroactive Date prior to
the contract effective date, the Consultant must purchase "extended
reporting" coverage for a minimum of five (5) years after
completion of contract work.
(viii) Verification of Coverage. Consultant shall furnish the City with
original Certificates of Insurance including all required amendatory
endorsements (or copies of the applicable policy language effecting
coverage required by this clause) and a copy of the Declarations and
Endorsement Page of the CGL policy listing all policy endorsements to
City before work begins. However, failure to obtain the required
documents prior to the work beginning shall not waive the Consultant's
obligation to provide them. The City reserves the right to require
complete, certified copies of all required insurance policies, including
endorsements required by these specifications, at any time.
(ix)Subcontractors. Consultant shall require and verify that all
subcontractors maintain insurance meeting all the requirements stated
herein, and Consultant shall ensure that City is an additional insured on
insurance required from subcontractors.
(x) Special Risks or Circumstances. City reserves the right to modify
these requirements, including limits, based on the nature of the risk,
prior experience, insurer, coverage, or other special circumstances.
7. INDEMNIFICATION
Consultant agrees to defend, and shall indemnify and hold harmless the City, its officers,
agents, employees, contractors, special counsel, and representatives from liability: (1) for personal
injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for
personal injury, including death, and claims for property damage, which may arise from the
negligent operations of the Consultant, its subcontractors, agents, employees, or other persons
acting on its behalf which relates to the services described in section 1 of this Agreement; and (2)
from any claim that personal injury, damages, just compensation, restitution, judicial or equitable
relief is due by reason of the terms of or effects arising from this Agreement. This indemnity and
hold harmless agreement applies to all claims for damages, just compensation, restitution, judicial
or equitable relief suffered, or alleged to have been suffered, by reason of the events referred to in
this Section or by reason of the terms of, or effects, arising from this Agreement. The Consultant
further agrees to indemnify, hold harmless, and pay all costs for the defense of the City, including
fees and costs for special counsel to be selected by the City, regarding any action by a third party
challenging the validity of this Agreement, or asserting that personal injury, damages, just
compensation, restitution, judicial or equitable relief due to personal or property rights arises by

reason of the terms of, or effects arising from this Agreement. City may make all reasonable
decisions with respect to its representation in any legal proceeding. Notwithstanding the foregoing,
to the extent Consultant's services are subject to Civil Code Section 2782.8, the above indemnity
shall be limited, to the extent required by Civil Code Section 2782.8, to claims that arise out of,
pertain to, or relate to the negligence, recklessness, or willful misconduct of the Consultant.
8. INTELLECTUAL PROPERTY INDEMNIFICATION
Consultant shall defend and indemnify the City, its officers, agents, representatives, and
employees against any and all liability, including costs, for infringement of any United States'
letters patent, trademark, or copyright infringement, including costs, contained in the work product
or documents provided by Consultant to the City pursuant to this Agreement.
9. RECORDS
Consultant shall keep records and invoices in connection with the work to be performed
under this Agreement. Consultant shall maintain complete and accurate records with respect to
the costs incurred under this Agreement and any services, expenditures, and disbursements
charged to the City for a minimum period of three (3) years, or for any longer period required by
law, from the date of final payment to Consultant under this Agreement. All such records and
invoices shall be clearly identifiable. Consultant shall allow a representative of the City to
examine, audit, and make transcripts or copies of such records and any other documents created
pursuant to this Agreement during regular business hours. Consultant shall allow inspection of all
work, data, documents, proceedings, and activities related to this Agreement for a period of three
(3) years from the date of final payment to Consultant under this Agreement.
10. CONFIDENTIALITY
If Consultant receives from the City information which due to the nature of such
information is reasonably understood to be confidential and/or proprietary, Consultant agrees that
it shall not use or disclose such information except in the performance of this Agreement, and
further agrees to exercise the same degree of care it uses to protect its own information of like
importance, but in no event less than reasonable care. "Confidential Information" shall include all
nonpublic information. Confidential information includes not only written information, but also
information transferred orally, visually, electronically, or by other means. Confidential
information disclosed to either party by any subsidiary and/or agent of the other party is covered
by this Agreement. The foregoing obligations of non-use and nondisclosure shall not apply to any
information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the
Consultant disclosed in a publicly available source; (c) is in rightful possession of the Consultant
without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e)
is independently developed by the Consultant without reference to information disclosed by the
City.
11. CONFLICT OF INTEREST CLAUSE
Consultant covenants that it presently has no interests and shall not have interests, direct

or indirect, which would conflict in any manner with performance of services specified under this
Agreement.
12. NON-DISCRIMINATION
Consultant shall not discriminate because of race, color, creed, religion, sex, marital status,
sexual orientation, gender identity, gender expression, gender, medical conditions, genetic
information, or military and veteran status, age, national origin, ancestry, or disability, as defined
and prohibited by applicable law, in the recruitment, selection, teaching, training, utilization,
promotion, termination or other employment related activities or any services provided under this
Agreement. Consultant affirms that it is an equal opportunity employer and shall comply with all
applicable federal, state and local laws and regulations.
13. EXCLUSIVITY AND AMENDMENT
This Agreement represents the complete and exclusive statement between the City and
Consultant, and supersedes any and all other agreements, oral or written, between the parties. In
the event of a conflict between the terms of this Agreement and any attachments hereto, the terms
of this Agreement shall prevail. This Agreement may not be modified except by written instrument
signed by the City and by an authorized representative of Consultant. The parties agree that any
terms or conditions of any purchase order or other instrument that are inconsistent with, or in
addition to, the terms and conditions hereof, shall not bind or obligate Consultant or the City. Each
party to this Agreement acknowledges that no representations, inducements, promises or
agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any
party, which is not embodied herein.
14. ASSIGNMENT
Inasmuch as this Agreement is intended to secure the specialized services of Consultant,
Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior
written consent of the City and any such assignment, transfer, delegation or subcontract without
the City's prior written consent shall be considered null and void. Nothing in this Agreement shall
be construed to limit the City's ability to have any of the services which are the subject to this
Agreement performed by City personnel or by other consultant and/or contractors retained by City.
15. TERMINATION
This Agreement may be terminated by the City upon thirty (30) days written notice of
termination. In such event, Consultant shall be entitled to receive and the City shall pay Consultant
compensation for all services performed by Consultant prior to receipt of such notice of
termination, subject to the following conditions:
a. As a condition of such payment, the Executive Director may require Consultant to
deliver to the City all work product(s) completed as of such date, and in such case
such work product shall be the property of the City unless prohibited by law, and
Consultant consents to the City's use thereof for such purposes as the City deems
appropriate.

b. Payment need not be made for work which fails to meet the standard of
performance specified in the Recitals of this Agreement.
16. WAIVER
No waiver of breach, failure of any condition, or any right or remedy contained in or
granted by the provisions of this Agreement shall be effective unless it is in writing and signed by
the party waiving the breach, failure, right or remedy. No waiver of any breach, failure or right, or
remedy shall be deemed a waiver of any other breach, failure, right or remedy, whether or not
similar, nor shall any waiver constitute a continuing waiver unless the writing so specifies.
17. JURISDICTION - VENUE
This Agreement has been executed and delivered in the State of California and the validity,
interpretation, performance, and enforcement of any of the clauses of this Agreement shall be
determined and governed by the laws of the State of California. Both parties further agree that
Orange County, California, shall be the venue for any action or proceeding that may be brought or
arise out of, in connection with or by reason of this Agreement.
18. PROFESSIONAL LICENSES
Consultant shall, throughout the term of this Agreement, maintain all necessary licenses,
permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder
and required by the laws and regulations of the United States, the State of California, the City of
Santa Ana and all other governmental agencies. Consultant shall notify the City immediately and
in writing of its inability to obtain or maintain such permits, licenses, approvals, waivers, and
exemptions. Said inability shall be cause for termination of this Agreement.
19. NOTICE
Any notice, tender, demand, delivery, or other communication pursuant to this Agreement
shall be in writing and shall be deemed to be properly given if delivered in person or mailed by
first class or certified mail, postage prepaid, or sent by fax or other telegraphic communication in
the manner provided in this Section, to the following persons:

A party may change its address by giving notice in writing to the other party. Thereafter,
any communication shall be addressed and transmitted to the new address. If sent by mail,
communication shall be effective or deemed to have been given three (3) days after it has been
deposited in the United States mail, duly registered or certified, with postage prepaid, and
addressed as set forth above. If sent by fax, communication shall be effective or deemed to have
been given twenty-four (24) hours after the time set forth on the transmission report issued by the
transmitting facsimile machine, addressed as set forth above. For purposes of calculating these
time frames, weekends, federal, state, County or City holidays shall be excluded.
20. MISCELLANEOUS PROVISIONS
a. Each undersigned represents and warrants that its signature herein below has the
power, authority and right to bind their respective parties to each of the terms of
this Agreement, and shall indemnify City fully, including reasonable costs and
attorney's fees, for any injuries or damages to City in the event that such authority
or power is not, in fact, held by the signatory or is withdrawn.
b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully
set forth in the body of this Agreement.

REQUEST FOR PROPOSALS

ON -CALL LANDSCAPE ARCHITECTURAL SERVICES

INTRODUCTIONBACKGROUND
The City of Santa Ana, Public Works Agency is seeking proposals from qualified firms to provide on -call
landscape architectural services.
The City of Santa Ana is located in central Orange County, flanked roughly by the Santa Ana River to the west,
Santiago Creek to the north, I-55 freeway to the east and South Coast Metro area to the south. The city is
approximately 10 miles east of the Pacific coast and 30 miles south of Los Angeles. Incorporated in 1889 and
designated the county seat, Santa Ana is both the largest city in the county and one of the largest in the state of
California, as Santa Ana's current population is estimated to surpass 334,000. This populace, living within the
cty's 27.2 square miles, translates into approximately 12,000 residents per square mile, making Santa Ana the
densest city in Orange County and second densest in the State.
Since 1947, the parks system was managed by the Parks, Recreation & Community Services Agency.
In March 2022, the entire Park Services Division, which includes Park Planning and Park Maintenance,
transitioned to the Public Works Agency.
The City of Santa Ana's Public Works Agency (P WA) is now responsible for the planning, design, development
and maintenance of fifty-four (54) parks, ten (10) recreation/community centers, two (2) senior centers, one (1)
nature center, thirteen (13) miles of Class I recreational trails, 2 lakes, 5 municipal pools, the Santa Ana Zoo
and multiple joint -use sites. The City's mission through our park system is to make lives and communities
better now and in the future by providing access to nature, outdoor space to play and exercise, facilities for self -
directed and organized recreation, positive alternatives for youth, and activities that encourage social
connections, human development, and lifelong learning.
In April 2022, the City updated its General Plan, including the Open Space Element and Bikeways Master Plan.
In May 2022, the Parks, Recreation & Community Services Agency adopted its first Parks Master Plan.
The ParkPlanning Division seeks the services of a landscape architectural firm(s) to be available on -call, to
augment staff with delivery of projects potentially on all levels, ranging from site specific master planning,
concept planning, feasibility studies, design, contract document development bid advertisement and
construction support.
SCOPE OF WORK
In general, the Consultant shall perform landscape architectural services on an "on -call or as -
needed" basis for various project assigned by the City during the term of the agreement. The
Consultant shall have demonstrated expertise and experience in the areas of parks and recreation
or other municipal projects, in areas that include but are not limited to planning new parks, site
specific master planning of existing parks, sports fields & sports courts renovations, skate parks,
dog parks, splash pads, bike trails, site lighting, water conservation, habitat restoration, urban
forestry, landscape renovations, irrigation renovations, interpretive signage:
• Design Expertise: In addition to having a solid understanding of parks and recreation
projects, Consultant shall have experience and expertise in sustainable environmental
design, low impact development, water wise landscaping and irrigation, current trends,
maintenance needs.
• Site Specific Master Planning & Concept Development: Consultant shall have
ability to participate in site specific master planning exercises and concept
development. Consultant shall prepare and deliver colored renderings, 3-1) modeling
or other visuals as required to communicate the project. Consultant shall provide final
rendered concept plan upon final approval of the layout.
• Community Outreach: If requested, Consultant shall, facilitate community
engagement meetings to collect public input, create community engagement tools.
• Meetings and Presentations: If requested, Consultant shall attend and/or facilitate
meetings with City Staff, Neighborhood Associations, permitting agencies, Boards,
Commissions, and/or City Council as required. Consultant shall prepare presentation
materials for us in these meetings.
• Feasibility Studies: Consultant shall have ability to conduct feasibility studies,
analyses and/or preliminary documents for new renovation or alteration projects, to
help City determine viability..
• Utility Search and Coordination: Consultant access utility companies and city
records and coordinate into design. Consultant shall coordinate with said agencies
throughout the design process.
• Site Surveying: Consultant shall provide all field survey and topographic work
necessary to complete the design effort.
• Maps and Mapping Services: Consultant shall ability to provide, if requested.
• Contract Documents: Consultant shall have ability to prepare complete plans and
specifications for project bid advertisement. City will provide electronic title block files
and boiler plate specifications; consultant shall adapt and develop document to include

bid items and definitions, include modifications to General and Special Provisions, and
incorporate technical architectural specifications. Plans shall incorporate design criteria
and requirements conforming to the City of Santa Ana (CSA) and other governmental
agencies including, but not limited to the California Building Code, ADA, CSA
Standard Plans. All plans, the title sheet of the specifications, calculations and reports
must be signed and stamped by the consultant's licensed professional landscape
architect, architect or engineer.

• Permits: Consultant shall assist City in obtaining approvals and/or permits from
applicable agencies as needed, including project submittal, responding to plan check
comments, and meeting with Building Officials if required.
• Environmental: If requested, Consultant shall provide environmental review for
projects, State CEQA and/or Federal NEPA, as required.
• Storm Water Best Management Practices: have knowledge and incorporate into
design practice principles of storm water best management practices (BMP).
• WQMP: Consultant shall be able to determine when WQMP is required for a project,
have ability to prepare the document, and incorporate the findings in the overall design.
• Quality Control: Consultant shall tightly control the quality of the work perform by
in-house staff and/or sub -consultants. Incomplete or poor quality work will not be
accepted. No additional compensation will be approved for changes required to deliver
a tightly coordinated set of contract documents.
• Bid Advertisement Support: Consultant shall assist during the bid advertisement
period by responding to bidder questions, attending pre -bid job walks, assisting with
addenda preparation, attending pre -construction meeting.
• Construction Support: Consultant shall assist during construction period by attending
pre -construction meeting, responding to Requests for Information (RFIs), attending
regular site meetings as requested and final inspections, submittal review, change order
review, troubleshooting and finding solutions to unforeseen site conditions.
• As Built Plans: Upon completion of project, as -built plans may be submitted to the
consultant to incorporate all changes made during the construction period.

The intent of this RFP is to have several consultants under contract to be available to
provide services, on -call, if the City shall need them. In executing a Professional Services
Agreement with the selected firm(s), the City does not guarantee any Task Orders will be
initiated during the life of the contract.
All work performed under this contract will require a Request to Release Notice to Proceed
(RRNTP) by the City. On a project -by -project basis, a proposal will be requested from all On -
Call Consultants by the City's Project Manager or Contractor Administrator. Proposals shall
define the scope of services, include a work plan, schedule, and proposed fee, which shall be
based on the specified rates of compensation in the contract. The Project Manager/Contract
Administration will review all proposals and select one firm for the work based on fee,
availability, area of experience, and fair distribution of assigned work to all Consultants.

DEA has worked on numerous on -call or flexible
services contracts since our founding in 1976.
We understand that these types of contracts are
utilized to assist our clients during times when they
are unable to have their in-house staff perform on
projects due to too many projects and not enough
staffing.
DEA's project manager and landscape architecture

DEA further understands that projects issued as part of an on -call contract could involve partnering with other
firms or other disciplines to respond to the specific needs of a project. We regularly respond in this capacity,
whether teaming in-house with our staff, or by participating on other design teams to supplement their services
and abilities. DENS team is flexible with overlapping capacity through subconsultants to further allow us to
draw from a greater base of knowledge and talent, should that become necessary.
For this contract, our team includes Heath Habig, PLA as project manager and Kim Rhodes, PLA as
principal in charge. Assisting them will be a team of landscape architects, park planners, designers,
irrigation specialists, civil engineers, and surveyors from DEA.
DEA knows that the nature of an on -call contract is that they are variable, requiring a broad-spectrum of
professional services for upcoming, unknown projects on indeterminate time frames. Part of the popularity of
these contracts is the ability to draw on any practice at a moment's notice and have confidence in the cost-
effectiveness and quality of the consultant's product. DEA is familiar with this type of work, managing nearly
100 on -call contracts firmwide annually. We enjoy the relationships that can develop over long-term contracts
such as these, and the variety of projects that may result.
As with any on -call services contracts, we understand that the workload will vary throughout the life of the
contract. We are committed to providing the necessary staff resources to assigned projects on an as -needed
basis. The current and projected obligations of key team members will be evaluated in comparison to the
potential demands of projects assigned by the City of Santa Ana. The schedules for projects assigned under
this contract will be incorporated with staff at the beginning of the contract and at monthly intervals, to avoid
workload conflicts and to allow proposed staff to be available to complete the projects. Our goal is to identify
potential workload conflicts before they occur and resolve them against the critical paths of our client's projects
to make certain staff are available when needed.

Heath Habig, PLA I Project Manager: Heath is a senior landscape architect with 26 years of
landscape architectural design experience with all phases of the project delivery process
including schematic design, design development, construction documentation and construction

Kim Rhodes, PLA I Principal -in -Charge: Kim is a California registered, award -winning
landscape architect, client manager, and vice president with DEA. For the past 37 years, she
has been responsible for landscape architectural design and management on numerous
projects, including design and planning for parks, trails, streetscapes / roadways, sports
facilities, transportation corridors, structure aesthetics, schools and universities, commercial,
residential, and industrial developments. She worked with City staff on both the Memory Lane
and Mariposa Park projects, and was instrumental in preparing award -winning submittals for
Memory Lane Park. She currently assists with QA/QC on Standard and McFadden Park

Todd Holmes, PLA I Landscape Architecture and QA/QC: Todd is a California licensed
landscape architect with extensive experience in the public sector throughout Southern
California. For the past 34 years, he has been responsible for the design and management of a
wide variety of projects including neighborhood and community parks, trails, campgrounds,
streetscapes, restroom facilities and recreation centers. Todd was also involved in the public
outreach efforts on Standard and McFadden Park for the City. Availability: 25%
Jon Oen, CID, CILIA I Irrigation Design: Jon is a certified commercial irrigation designer,
certified landscape irrigation auditor, and a partner with the U.S. Environmental Protection
Agency's (EPA's) WaterSense program. For over 24 years, he has worked on a wide variety of
irrigation projects including parks, streetscapes, interchanges, hotels, resorts, residential, and
commercial developments. Jon provides construction observation including submittal review
and site visits (main line testing) specifically focused on irrigation systems and controls. He is
well versed in the regulatory guidelines associated with AB1881 (Model Water Efficient
Landscape Ordinance). Availability: 35%
Danny Wang I Landscape Designer: Danny is a landscape designer at DEA with extensive
field experience in landscape construction and design. He has 17 years of experience using
AutoCAD, Adobe PhotoShop, and Adobe Illustrator to assist him in the production of
construction documents. Danny has been involved in numerous aspects of landscape
architecture including public parks, streetscapes, trails, residential, commercial development,

Mark Oskorus I Civil Engineering Task Lead: Mark has 26 years of experience in the civil
engineering profession with hands-on design engineering experience on public works,
education, commercial, and residential development projects. Mark has an extensive
background in civil engineering tasks including grading, street, storm drain, sanitary sewer
systems, and water LID design; in addition to coordination with utility companies for relocation
and installation of new wet and dry utilities. Mark and his team have been instrumental on
the engineering tasks associated with Standard and McFadden Park in the City.

Geotechnical Engineering: Converse is an employee -owned corporation providing
geotechnical engineering and geological services. Their professional and technical staff
includes in-house geotechnical engineers, engineering geologists, environmental scientists,
deputy inspectors, laboratory and field technicians, drafting/CAD specialists, and other
specialized support personnel. Converse is currently working with DEA on the Standard
and McFadden Park in the City of Santa Ana.
Electrical Engineering: Design West Engineering is a full -service electrical engineering
consulting firm founded on the philosophies of second -to -none service, environmental
sensibility, and commitment to forward -thinking innovation. They currently maintain

Streetscape Design: DEA landscape architects have been involved
in numerous streetscape and corridor improvement projects
throughout Southern California. These projects involve careful
collaboration with the community in enhancing the design theme and
creating gateways, landscape and hardscape improvements, and
selecting site furnishings that will provide identity and style to an
otherwise 'ordinary' roadway. We understand the planning and
transportation engineering aspects of any given project are equally
important and we therefore work closely with team members such that
the blending of 'form and function' is seamless.

A significant and important goal of streetscape development centers on creating a "pedestrian friendly"
and inviting corridor with appropriately scaled elements such as ornamental lighting, street trees, signage,
site furnishings and decorative hardscape. The selection of items should strive to ensure classic, simple
selections which will stand the test of time and do not become 'dated' by their color or appearance. It is of
primary importance to create a positive relationship between pedestrian, bicycle, and vehicular traffic. The
new streetscape environment can be further enhanced by the implementation of landscaped medians and
enhanced parkways. These elements allow for softening the street scene, framing views, and providing
opportunities for gateways and outdoor spaces.
Scenic Corridors and Landscape Beautification: The DEA team
has been involved in numerous downtown revitalization efforts,
transportation corridor master plans, scenic bikeways, visual impact
assessments, median and parkway improvements, traffic calming
and roundabout projects. When preparing corridor master plans, we
consider the following elements:
Project goals such as establishing a sense of arrival, corridor
beautification/roadway character, view orientation, distinctive
landscapes, implementation, and public/private partnerships.
Design elements, including planting, irrigation systems, lighting,
fencing, art in public places, gateways, and signage.
Our team is involved in community workshops and consensus building, development of illustrative
conceptual plans, design development and construction document preparation, assistance with bidding,
construction management, and project close out.
Our highway interchange experience primarily encompasses renovation of
landscaped areas in addition to providing bridge aesthetics, and preparing
corridor master plans. Having worked in an On -Call capacity with Caltrans
District 8 for the past 15 years, in addition to coordination with Caltrans
Districts 7, 11 and 12, DEA is ideally suited to assist on interchange and
roadway enhancement projects. We have provided similar services for the
Cities of Irvine, Laguna Woods, Diamond Bar, Industry, Azusa, Aliso Viejo,
Eastvale, Perris, Cathedral City, and Corona.
Plan Checkina: DEA provides plan checking, construction management and inspection to a number of local
agencies including the cities of Walnut, Diamond Bar, Irwindale, Signal Hill, and Fontana. DEA also provides
design review services at the conceptual level of plan submittal, should this be desired. We review preliminary
plans for compliance with municipal codes, specific plans, appropriate use of planting materials, and the
basics of good design. We can also assist with matters related to current city and state water conservation
requirements as well as water auditing. The following typical tasks may be included on an as -needed basis as
requested by the city:

Sample Scope of Services and Project Deliverables
The following sample scope of services and project deliverables for each phase of work is provided to
share with you how our team would approach preparing construction documents for a park project.
Phase 1— Preliminary Investigation
Task 1 — Start Up Meetina
The DEA project team will meet with City staff to begin preparations for the park renovation project. This
meeting will serve as an opportunity to acquire relative input about the project area from various City
departments including guidelines for implementation and scheduling, in addition to identifying key contacts.
This meeting will also provide a review of the scope of services, including optional items / phasing, content,
and objectives of any applicable environmental documents (by others), existing plans, surveys, utility
connections, ROW mapping, maintenance, construction scheduling and budget.
Task 2 - Topographic Survey
Design level topographic surveys will be performed within the project limits. Cross -sections will be taken and
will include curb and gutter, flowlines, edge of pavement, walks, surface visible utilities, fences, gates, drainage
structures with inverts, signals, signs, driveways, H/C ramps, crosswalks, water main location (if marked), and
other surface visible features. The topographic survey data will be incorporated into the survey base map and
delivered in AutoCAD format.
Task 3 - Site Analysis / Preliminary Engineerina Report
The DEA project team will complete a field assessment utilizing available mapping to verify existing site
conditions and generally familiarize ourselves with the site. Opportunities such as view corridors, view impacts,
areas of sensitivity, and areas most suitable for park amenities or design elements will be considered during
our site analysis. This task will also include obtaining soils data for use in the preparation of information to
conform with AB1881 (for irrigation purposes).
Task 4 — Project Team Meetinas
The DEA team will meet with the City at least one (1) time per review period (at each submittal).
Phase II - Construction Documents
The following tasks include each anticipated plan to be provided at the conclusion of the construction
document phase. We are showing these herewith to provide a description of each plan; however, only the
appropriate percentage of work will be performed during each phase as outlined by the City (30%, 60%, 90%,
95%, and 100%).
Task 5 - Precise Grading. Paving and Drainaae Plan
DEA will prepare a 1"=20' scale precise grading, paving and drainage plan for the project area depicting
existing and proposed contours, angled parking areas, slopes, top of curb elevations, drainage patterns, typical
cross sections, existing and proposed utilities and proposed civil related improvements including pavement,
curb and gutter, valley gutters, hardscape, flatwork and handicap ramps for the project site. The plan will
consider ADA requirements for accessibility both onto and throughout the project site.
This plan will also specify any necessary drainage improvements on -site such as storm drain, inlet / outlet
design and post construction Best Management Practices such as bioretention basins and infiltration swales
/ trenches in order to minimally impact the existing conditions while accomplishing proper water conveyance
and water quality. Also identified within this plan will be any objects or encumbrances that shall be removed or
relocated within the project area.
Task 6 - Utility Coordination/Research
DEA will coordinate the design effort with the utility purveyors within the project limits. DEA will provide hard
copies and electronic copies of each submittal of the on -site improvement plans for purposes of analyzing the
relocation (if required) of utilities. Utility letters will be sent to each purveyor requesting maps and plans as part
of our research task.

Task 7 - Utility Improvement Plan
DEA will prepare a 1"=20' scale utility improvement plan (1-sheet) for approximately 100-linear feet of
domestic water and sewer line. This plan will depict proposed pipe size, service lateral / meter, trench details
and existing water and sewer connection points. The improvement plan is intended to provide wet utility
service connections to the proposed restroom building and community garden shed if necessary. The utility
improvement plan will be prepared in plan view only.
Task 8 — Erosion Control Plan
DEA will prepare a 1 "=20' scale Erosion Control Plan for the project area depicting temporary Best
Management Practices (BMPs) and other measures needed to prevent erosion of graded slopes, swales and
pads.
Task 9 - Horizontal Control and Signing and Striping Plan
DEA will prepare a horizontal control and signing and striping plan for the park area depicting a basis of
bearing, dimensions and control for proposed pertinent site features, parking and access circulation, striping
layout, ADA access path to adjacent public right-of-way or street, and parking and ADA signing details.
Task 10 — Off -Site Street Improvement Plans
DEA will prepare an off -site street improvement plan and profile improvement drawing. The plan will depict
proposed curb and gutter, pavement improvements, cross / longitudinal gutter, handicap ramps using the
Standard Plans for Public Works Construction (SPPWC).
Task 11 - Hydrology and Hydraulic Calculations/Report
DEA will prepare hydrologic and hydraulic calculations for the project area of watershed based on available
standards and specifications. A Rational Method analysis of the site will be performed utilizing the Small
Developed Area Method (less than 10 acres).
This analysis will serve as the basis to size any necessary on -site drainage pipe or inlet catch basins. This
analysis will also demonstrate if any additional off -site mitigation will be necessary to the improved project
area. Additional hydraulic calculations will be accomplished using WSPG and Flowmaster software. DEA will
submit the study to the City for review and approval at 60%, 90% and 100% completion.
Task 12 - Water Quality Management Program (WQMP)
DEA will prepare a Water Quality Management Program report and plan for the project to comply with the
standards set forth by the City and the Regional Water Quality Control Board. The Water Quality Management
Program plan will outline structural features and maintenance practices that will prevent pollutants from
entering the adjacent system and impacting downstream water quality. The plan will be presented in text and
graphic format for approval by the City.
Task 13 - Notice of Intent (NOII and Storm Water Pollution Prevention Plan (SWPPP)
Prior to construction, DEA will complete the Notice of Intent application to be filed with the Regional Water
Quality Control Board. Fees will be paid for by the City. As part of this application, DEA will prepare the Storm
Water Pollution Prevention Plan (SWPPP) for the proposed site. This plan will outline Best Management
Practices (BMPs) and other measures needed to reduce the potential for storm water pollution during
construction activities. DEA planners and engineers will review the grading plan and identify potential sources
of storm water pollutants. Based on this analysis, various BMPs will be called out for implementation during
the construction period. The SWPPP will be prepared in accordance with the California Storm Water Quality
Association guidelines for construction. Mitigation or monitoring of any source pollutants from the project area
is not considered a part of this task. The SWPPP will be submitted for review and approval at 90% and 100%
completion.
Task 14—Site Plan
DEA landscape architects will provide a site plan for the proposed items of construction. This plan will
designate features of the proposed project including placement, detail references, material and manufacturer
callouts, general construction notes, and specific elements of the overall design which are necessary for the
proper construction of proposed items.

Task 15 - Construction Details
DEA will prepare construction details for the proposed park elements such as concrete paving / finish, asphalt
paving, decomposed granite paving, play surfacing, trash enclosure, shade shelter (structural calcs by
manufacturer), fencing, concrete curbs, garden appurtenances, playground equipment layout, historical kiosks,
and signage.
Task 16 — Irrigation Plans
The irrigation plans will provide the necessary information for a complete and fully automatic irrigation system
for the proposed park site. The plans will indicate the point of connection(s) based upon agency requirements,
backflow prevention and pressure regulation, and equipment size and type in the irrigation legend.
DEA will coordinate with the local Water Department for review and approval. Effective January 2010, the State
of California implemented a new water ordinance (Assembly Bill 1881) and therefore many new requirements
are being requested from both the State and local agencies. We anticipate providing the following information:
■ Prepare water usage calculations (MAWA and ETWU) based on the new water ordinance.
■ Provide water efficient landscape worksheet and hydrozone table for each remote -control valve per new
ordinance.
■ Obtain horticultural soils report (Agronomic data) based on soil samples obtained from site by DEA. Report
to be provided by Soil and Plant Laboratory in Orange, CA. or equal.
■ Provide irrigation run time schedule per ordinance based on soil type.
■ Rain and wind sensors will be added per ordinance.
■ Add WUCOLS water use classifications for all plant material.
Task 17— Planting Plans
The planting plan will indicate location of proposed trees, shrubs, ground cover, turf and bioswale materials.
A planting legend will denote symbols, botanical and common names, size, quantities, and remarks. Planting
notes and details will also be included.
DEA understands the concern for water conservation and sustainability throughout the region and therefore
will select materials appropriate for the project. The plant palette established will be of drought tolerant species
with a focus on materials proven successful within surrounding areas.
Task 18 — Plan Submittals / Revisions
DEA will submit construction plans for review by the City and will make one "round" of corrections following
each review.
Task 19 — Project Specifications and Bid Schedule
Technical specifications will be prepared in the desired format for the proposed park development. These
technical specifications will be provided in a "boiler plate" format and DEA will modify the document
accordingly. DEA requests that the City provide the boiler plate information for general conditions, instructions
to bidders, and special provisions which DEA will use to provide projects specific sections. A complete bid list
of quantities will be provided indicating item descriptions and unit quantities.
Task 20 —Construction Cost Estimate
The DEA team will provide an estimate of probable construction costs for the proposed park elements for
each stage of preparation of the construction drawings (30%, 60%, and 90%). Changes will be made at each
new phase of development. A detailed, line item estimate will be prepared for use as a guide in the final
determination of items to be constructed under the allowed budget.
Phase III Bidding
Task 21 — Bid Assistance
The DEA team will attend the pre -bid meeting and assist the City in responding to bidder's inquiries and
request clarifications when needed.
Phase IV - Construction
Task 22 — RFI. Submittal. and Change Order Review
The DEA team will review and respond to RFI's and clarifications during construction within five calendar
days of receipt. DEA will also review contractor change order requests, answer questions, review submittals

(including the evaluation of product substitutions), shop drawings and schedules required 'to be submitted by
the contractor for conformance with the design plans and specifications.
Task 23 — Site Visits
DEA's construction management team will attend a pre -construction meeting in addition to field meetings
during construction to discuss construction progress, visit the site as deemed appropriate to review the
progress and quality of the work and ensure its compliance with the overall design intent, and review project
issues and general construction matters.
The team will assist the City in preparing punch lists for the contractor, in addition to conducting preliminary
and final inspections to determine the dates of substantial completion and final completion of construction.
Task 24—As-Built Plans
The DEA team will also prepare As -Built plans in electronic format from information provided by the contractor
red lines. The City will coordinate with the contractor to provide DEA the information regarding changes made
to the project during construction which are to be shown on the As -Built plans. DEA will utilize the electronic
plans to prepare said modifications; and provide colored bond prints which readily highlight said modifications.
Availability to Perform Requested Services
DEA understands that the key to managing on -call contracts is our ability to be flexible and responsive. When
our services are needed, we will promptly react and employ the required expertise and appropriate tools to
accomplish the task as efficiently as possible. For previous on -calls, DEA has employed these methods to
provide project support in less than 24-hours' notice. DEA will bring this same level of service to the City.
DEA is committed to being responsive and to maintain project schedules, and has the depth of resources
necessary to meet the demand. We avoid schedule delays by proactive project management and planning
ahead. Our depth of readily available resources at DEA offices enables us to recover almost any loss in
schedule. At the first sign of schedule critical path impact, we develop a full range of recovery options.
These options may include bringing in additional staff from other DEA offices, altering field procedures, and/
or employing different tools in order to maintain project schedule and not sacrifice quality. A detailed project
schedule with milestones can be developed in accordance with the project needs. Schedules and deadlines
will be reviewed frequently (minimum weekly) by the project manager to verify that key completion dates are
not missed.
Proposed Strategy to Accomplish the Work
DEA has executed a number of on -call contracts with other agencies throughout the years. Beginning with
the cost proposal stage throughout the final delivery stage and the close out of a particular task order. Upon
preparation of a draft task order, Project Manager, Heath Habig will meet with the City to define the task in
terms of purpose, goals, roles and responsibilities, and expectations. He will coordinate with the appropriate
design task lead to develop the scope of work per the identified City project. A cost proposal will be developed
defining level of efforts, schedule, work plan and budget. This will be submitted to the City for review and
negotiation. Upon the City approval of the task order, the team will have a kickoff meeting with the City. This
will focus the team in setting the communication plan, delivering a consistent, efficient and quality product.
Project instructions will be discussed and distributed to all team members.

Commitment to Quality Control
DEA's Quality Management Plan is an essential element in our approach to deliver a project that meets or
exceeds City requirements. Todd Holmes, Quality Assurance / Quality Control Manager will have overall
responsibility and authority to implement the QA program, including resource and training needs, approving
the Quality Management Plan, documentation, and monitoring progress. With assistance from task order
managers, Todd will oversee development and implementation of standard QA/QC measures for each task
order on this on -call agreement. He will confirm that DEA's QC program is implemented, so that work products
are completed to an established level of quality, following City's design standards and checklists. The project
team adheres to this QC program throughout the delivery of each task order and includes the elements
illustrated in the graphic on the next page. The terms Quality Assurance and Quality Control are often used
interchangeably, but DEA clearly distinguishes these concepts as follows.
QUALITY ASSURANCE
Quality Assurance (QA) is an overall program that establishes project -related policies, procedures, standards,
guidelines, and systems aimed at producing an acceptable level of quality in our products. These are things
we do continuously before, during, and upon completion of specific project deliverables to make sure we
understand what is required of our deliverables and that those requirements are met. But most importantly it's
the things we do during the process like setting and communicating standards and verifying City requirements,
among others. The goal is to do things right, the first time, by verifying that the project requirements are clearly
defined and communicated. The QA program is the responsibility of all DEA team members, with particular
emphasis and responsibility for technical aspects resting with the task leaders.
QUALITY CONTROL
Quality Control (QC) is project -specific activities consistently applied to assist with quality project deliverables.
The objective of DEA's QC program is to detect and eliminate major defects in project work products and limit
minor defects consistent with commonly accepted standards. This is accomplished through the application
of continuous checks and comprehensive reviews prior to each delivery milestone adopting the 30-60-90
percent review. We believe that this procedure will increase quality control, attention to project controls, and
target budgets. The QC program is project specific (technical review, accuracy review, interdisciplinary review,
constructability review) and is implemented under the authority of the QA/QC manager.

Standard and McFadden Park, Santa Ana, California:
DEA is providing landscape architecture, engineering, and
surveying services for Standard - McFadden Park, a two -acre
neighborhood park in the city of Santa Ana. DEA was provided a
conceptual design of the park by the city and is currently working
to prepare final plans and will provide construction administration.
The design includes walkways, playground equipment, a
skatepark, half -court basketball, a picnic area, a shade structure,
a rock bioswale, California friendly plants, drip irrigation, low
impact development drainage and lighting. Other amenities
including a park entrance sign, benches, picnic tables, bike racks,

On -Call Landscape Architectural Services, Temecula, California: Under DEA's current on call
contract with the City, DEA has successfully worked on the following projects:
■ Sam Hicks Monument Park: DEA provided design for
improvements consisting of HDPE split -rail and tubular
steel fencing, decorative masonry pilasters, tubular steel
pedestrian and vehicle gates, in addition to addressing the
need to retrofit the existing planting and irrigation systems.
■ Recycled Water Retrofits: DEA has designed two projects
for large slope areas and a ten acre park that converted the
existing irrigation systems from potable water to recycled
water. DEA managed the review and approval of the plans by
the local water district.
■ Ronald Reagan Sports Park Pickleball Courts: DEA is
currently preparing plans for a large pickleball facility that will include 16 standard pickleball courts and one
ADA court, seating and shade shelters, and a 124-stall parking lot.
■ Ronald Reagan Sports Park Roller Hockey Rink Upgrades: DEA is currently preparing plans for a major
renovation of an existing roller hockey court. The new improvements include a roof over the entire rink and
adjacent seating areas, lighting and ADA upgrades.
■ Michael "Mike" Naggar Park Off Leash Dog Area: DEA prepared plans for a new 2.5 acre off -leash dog
park that includes fencing, sidewalks, seating area with shade shelters and a new irrigation system and
landscaping.
■ Michael "Mike" Naggar Park Demonstration Garden: DEA is designing a demonstration garden that

Topaz Area 3 Streetscape Renovations, La Quinta,
California: Under an on -call contract with the City of La Quinta,
DEA landscape architects prepared conceptual and final plans for
parkway renovations along Miles Avenue and Dune Palms Road.
The design included the use of inert materials including two
complimentary colors of decomposed granite, gravel, rubble, rock
blanket and desert accent plants providing year-round color and
interest. Minor grading, wall improvements, irrigation upgrades
(existing main line was protected in place), and lighting
improvements were provided. An adjacent retention basin was
also a part of the scope of services and included the removal of
existing turf in favor of drought tolerant plant material. DEA
assisted the City in obtaining funding through the water district given the turf removal and irrigation upgrades.

Turf Removal and Demonstration Garden, Palm Springs,
California: DEA landscape architects provided design services
for turf removal at the Palm Springs International Airport in
California's Coachella Valley. DEA provided design efforts for a
10,000 square foot demonstration garden immediately outside
the main terminal for the airport.

OWL A traditional turf lawns for home and business owners alike.
- Various planting schemes are featured in the garden including
wildflowers, native plants, plants for pollinators, edible plants,
cacti, succulents, spreading groundcovers, and synthetic turf.
Inert materials of gravel and decomposed granite delineate pathways for navigation through the garden. All key
staff for this project, both within DEA and our sub -consultants are part of the project team in this proposal.

ATTACHMENT 3-3: NON-DISCRIMINATION CERTIFICATION
CERTIFICATIONS
The undersigned consultant or corporate officer ("Consultant"), during the performance of this
contract, certifies as follows:
The Consultant shall not discriminate against any employee or applicant for employment because of
race, color, religion, sex, or national origin. The Consultant shall take affirmative action to ensure
that applicants are employed, and that employees are treated during employment without, regard to
their race, color, religion, sex, or national origin. Such action shall include, but not be limited to, the
following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising;
layoff or termination; rates of pay or other forms of compensation; and selection for training,
including apprenticeship. The Consultant agrees to post in conspicuous places, available to
