THIS FIRST AMENDMENT to the Emer ency Solutions Grant Coronavims ("ESG-CV") Funds
4 Agreement is entered into on September , 2023, by and between The Illumination Foundation
:,D ("Subrecipient'), and the City of Santa Ana, a charter city and municipal corporation organized
and existing under the Constitution and laws of the State of California ("City").
RECITALS
A. On September 7, 2021, the Parties entered into Agreement #A-2021-175 by which the City
committed a set of funds for the operation of the Homeless Navigation Center at 1815
Camegie Avenue. Under the terms of Agreement #A-2021-175, the City would enter into
separate funding agreements to provide grant funds required for the expenditure and
utilization of said funds.
B. The parties entered into Agreement No. A-2021-175-04, dated June 1, 2023, to which the
City committed ESG-CV funds to Subrecipient to operate the Homeless Navigation Center
located at 1815 E. Carnegie in the City of Santa Ana ("Agreement'). The term of the
Agreement runs through September 30, 2023. The Agreement is current and in -effect.
C. City staff and Subrecipient became aware of invoices related to the operation of the
Homeless Navigation Center at 1815 Carnegie Avenue incurred prior to the
commencement of this Agreement. City staff has determined that these invoices are related
to operational costs detailed in the Agreement.
F. In accordance with the terms and conditions of said Agreement, the Parties desire to amend
Section 3 — Disbursement and Funds, to allow for payment of the prior invoices from April
1, 2023 through execution of the Agreement.
NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the
terms and conditions of said Agreement, except as herein modified, the parties agree as follows:
1. Section HI, C, DISBURSEMENT AND FUNDS, PAYMENT, shall be amended to include
the following clause:
In addition to the payment details provided in Section 3, herein, CITY shall also recognize and
compensate SUBRECIPIENT for services provided in furtherance of the operation of the
Homeless Navigation Center at 1815 Carnegie Avenue from April 1, 2023 until the
commencement date of this Agreement detailed in Section II, above.
2. Except as modified by this First Amendment, all terms and conditions of said Agreement shall
remain in full force and effect.
IN WITNESS WHEREOF, the Parties hereto have executed this First Amendment to said
