M This Assignment and Assumption of Legal Services Agreement is made and entered into
this 15th day of August, 2023, between O'Hagan Meyer, an Illinois limited liability partnership
C'J (O'HAGAN); Daugherty Lordan LLP, a California limited liability partnership (DAUGHERTY);
r and the City of Santa Ana, a charter city of the State of California (CITY).

WITNESSETH:
Whereas, the CITY entered into an agreement LEWIS to provide certain legal
services to the CITY, which agreement is dated November 19, 2021 and was amended
February 15, 2022 (collectively, Agreement); and
Whereas, LEWIS worked with Barber Ranen LLP, a California limited liability
partnership (BARBER) to transfer cases and the responsibility for providing the legal services set
forth in the Agreement; and
Whereas, the attorneys at LEWIS who had been providing the legal services to CITY
under the Agreement joined BARBER, a law firm, effective May 1, 2023; and
Whereas, in order to ensure that there was no interruption of services to CITY, LEWIS
desired to assign, and BARBER desired to assume, the obligations under the Agreement; and
Whereas, the CITY desired to continue the Agreement and to consent to the assignment of
the Agreement from LEWIS to BARBER;
Whereas, BARBER was renamed to Daugherty Lordan LLP (DAUGHERTY) on or about
June 9, 2023; and
Whereas, the attorneys at DAUGHERTY who have been providing the legal services to
CITY under the Agreement have joined O'HAGAN, an Illinois limited liability partnership,
effective August 15, 2023; and
Whereas, in order to ensure that there is no interruption of services to CITY,
DAUGHERTY desires to assign, and OWAGAN desires to assume, the obligations under the
Agreement; and
Whereas, the CITY desires to continue the Agreement and to consent to the assignment of
the Agreement from DAUGHERTY to O'HAGAN;
Now therefore, for good and valuable consideration, the receipt and adequacy of which of
hereby acknowledged, the parties hereto agree as follows:
1. Effective August 15, 2023, DAUGHERTY shall assign all its rights and interest in and
to the Agreement related to CITY, to O'HAGAN, except for DAUGHERTY's right to

collect fees for work performed and costs incurred under the Agreement from May 1,
2023 to August 14, 2023.
Effective August 15, 2023, O'HAGAN agrees to assume all duties and obligations
under the Agreement in favor of the CITY, except for those duties and obligations
related to work performed and incurred under the Agreement between May 1, 2023 and
August 14, 2023 and agrees to perform same on the same terms and conditions set forth
therein.
3. CITY hereby consents to the assignment and assumption of the Agreement by
DAUGHERTY to O'HAGAN on the same terms set forth therein.
IN WITNESS WHEREOF, the parties hereto have executed this Assignment and
Assumption of Legal Services Agreement the date and year first written above.
