oThis letter represents your agreement with the City of Santa Ana ("City") as entered into on the above date for the
engagement described below:
1. Event Description: As further described in Exhibit A, attached hereto, Dustin Alexander, an individual, will provide
training to offer insight and guidance on Diversity, Equity, and Inclusion (DEI) perspectives through workshops
and mentoring for CA4ALL Grant Project Interns — "SAPL-YK."
2. Date(s): November 1, 2023 — May 30, 2024
3. Event Time(s): To be coordinated, in a signed writing, with City Library staff.
4. Location: Santa Ana Public Library, 26 Civic Center Plaza, Santa Ana, CA 92701 ("Property")
5. Compensation: An amount not to exceed $500.00 (payable by check within 30 calendar days of event);
Speaker/Performer must provide IRS form W-9 before payment can be made.
6. Equipment provided by City: space for the event(s), microphone, projector, tables and chairs.
7. Equipment provided by Speaker/Performer: All other equipment and materials necessary.

9. Independent Contractor: Speaker/Performer shall, during the entire term of this Agreement, be construed to be an
independent contractor and not an employee of the City. This Agreement is not intended nor shall it be construed
to create an employer -employee relationship, a joint venture relationship, or to allow the City to exercise discretion
or control over the professional manner in which Speaker/Performer performs the services that are the subject matter
of this Agreement; however, the services to be provided by Speaker/Performer shall be provided in a manner
consistent with all applicable standards and regulations. Speaker/Performer shall pay all salaries and wages,
employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be
responsible for all applicable withholding taxes.
10. Indemnification: Speaker/Performer, his or her agents, or employees (if applicable) agrees to and shall indemnify,
defend, and hold harmless the City, its officers, agents, employees, consultants, special counsel, and representatives
from and against all loss, expenses, or liability (including costs and attorney's fees) arising from the negligence or
willful misconduct of Speaker/Performer, his or her agents, or employees.
IL Release: Speaker/Performer accepts any City -provided equipment used in connection with the performance in their
"as -is" condition, with all faults. Speaker/Performer fully releases, waives and discharges forever any and all
claims, demands, rights, and causes of action of any kind or nature against, and covenants not to sue, City, its elected
officials, officers, employees, agents and volunteers, and all persons acting on behalf of, by, through or under each
of them, under any present or future laws, statutes, or regulations for any claim or event relating to the condition of
the City -provided equipment or Speaker/Performer's use thereof.

12. The City shall have the right and royalty -free license to simulcast or produce and show a tape -delayed broadcast of
Speaker/Performer's presentation to the City community or general public, through webcast or any other means.
This license shall be non-exclusive and the copyright shall remain with the Speaker/Performer. Copies of
Speaker/Performer's presentation may be maintained by the City, and Speaker/Performer consents to use of such
recordings.
13. Speaker/Performer is solely responsible for payment of royalty fees, performance fees, or similar fees that may be
required by unions or similar organizations. Speaker/Performer shall indemnify the City against any liability or
damages, including attorney's fees, that may arise as a result of violation by Speaker/Performer of copyright laws.
14. Speaker/Performer shall not discriminate because of race, color, creed, religion, sex, marital status, sexual
orientation, age, national origin, ancestry, disability, or any other basis protected by applicable law in connection
with any activities related to this Agreement.
15. This Agreement shall in all respects shall be interpreted, enforced, and governed exclusively by and under the laws
of the state of California. Both parties agree that Orange County, California, shall be the venue for any action or
proceeding that may be brought or arise out of, in connection with or by reason of this Agreement.
16. This Agreement represents the complete and exclusive statement between the City and Speaker/Performer regarding
the subject matter herein and supersedes any and all other agreements, oral or written, between the parties. This
Agreement may not be modified except by written instrument signed by the City and by an authorized representative
of Speaker/Performer.

Statement of Work
for
Santa Ana Public Library Youth Know ("SAPL-YK")

1) Focus- The purpose of this training is to offer insight, and guidance on Diversity, Equity
and Inclusion (DEI) perspectives through workshops and mentoring participants in
leadership roles in a collaborative environment toward a culminating socially innovative
project.
2) Approach/Process
1) Training/Guidance-Introduce the core values around DEI work. Their
connections between the different focuses, digital literacy, environmental
inequities, offer tools for consistent work among participants (teen
volunteers/SAPL-YK), strategies for recording progress, review and how to move
forward each step toward completion.

2) Insight- Participants will be informed of a mentor's experience in DEI work,
overcoming challenges and navigating variables by utilizing a team dynamic
(collaborative).
Micro-Macro(Components)- While introducing the workshops, participants will
be regrounded in the scope of this work, such as how the seeds of community
work can have long standing changes and blossom into work that benefits
citizens/patrons on a universal level if the work goes further than un-conference.
Participants will take part in online trainings, workshops and mentoring to
develop them as leaders within their social innovation projects
Digital Literacy/ Community Literacy- Creating and developing a cohesive
strategy to deliver literacy resources. This will range from offering books,
encouraging a community of reading among families and connecting it to digital
literacy as a universal skill. This will connect into digital literacy to support the
community in being able to search, navigate and distinguish available resources
for themselves.
On the field experience will be provided through community Kids -know
storytimes, create artwork and collaborate in creating a Kids -know storybook.
Research & Grant Writing - Workshops focused on research and grants to
support the projects in operating budgets, needs, completion and delivery. It will
also offer insight on how to communicate the needs to the intended community
audience. As well as a healthy return on the investment
Climate Change- Through an informative environmental lens, participants will
review the large and specific challenges the community faces, discuss innovative
solutions and ways to connect the stakeholders (community members) with the
focused work to ensure productive outcomes.
Food Security/ Community Sustainability- Through a community minded lens,
participants will be informed of challenges, provided resources, provided
examples of innovative solutions, brainstorm and find solutions both specific and
broad to provide sustainable security for those at risk or facing inequitable
challenges.

Total Budget is: $500.00
Work will be scheduled by agreement of participation between November
2023 through May 2024. This budget does not include itemized
expenses, those will be based on a preapproved process in an incurred
need.
5) Assumptions/Program Expectations
• Meeting will be held onsite. City Staff will be present for all presentations
and discussions as well as be responsible for setting up the space for
SAPL- YK participants.
• The Vendor will set up the activities for the workshops.
• SAPL-YK will leave with the proper tools and understanding to create a
visualized outcome of their investment of time in participating on this
project and having undergone the training.
6) Deliverables
• Project focused agenda notebooks.
• Certificate upon completion of training.
• 5-6 Mentoring workshops.
• Review workshops.
• Conference/Presentation preparation focused workshops.
• A majority of participants (projected 80%) involved in the program will
continue onto civic minded projects to continue to address and solve
community challenges through innovative solutions. The immediate
beneficiaries will see examples of the power of community and
collaborative solutions.
