THIS FIRST AMENDMENT to the above -referenced agreement is entered into on October 3,
2023, by and between iWater, Inc., a California corporation ("Consultant'), and the City of Santa
Ana, a charter city and municipal corporation organized and existing under the Constitution and
laws of the State of California ("City").
RECITALS
A. The parties entered into Agreement No. A-2020-049 ("Agreement') dated April 1, 2020, to
retain a qualified contractor to provide water system computer modeling and engineering
services to the Water Services Division of the Public Works Agency.
B. The parties executed the first of two (2) one- (1) year extensions on March 24, 2023 (A-
2020-049-01). The Agreement is in full force and effect through March 31, 2024.
C. The parties now wish to amend the Agreement to exercise the final extension and increase
compensation.
The Parties therefore agree:
1. Pursuant to the section titled, "Scope of License Grant," of the Agreement, the final extension
is hereby exercised for an additional one-year period, from April 1, 2024 through March 31, 2025,
Any insurance certificates are required to be extended and/or renewed to cover this final extension.
2. Pursuant to the "Contract Total," in Exhibit A of the Agreement, the compensation is hereby
amended to increase annual compensation by $120,000 for the remainder of the Agreement.
3. Except as modified by this First Amendment, all terms and conditions of the Agreement
shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to the
Agreement on the date and year first written above.
