FIRST AMENDMENT TO AGREEMENT
TO PROVIDE TRANSLATION SERVICES
N-2023-147-01
THIS FIRST AMENDMENT to the above -referenced agreement is entered into on November 28,
2023, by and between MENTE, Inc., a California corporation doing business as Cesar Vargas &
Associates ("Consultant"), and the City of Santa Ana, a charter city and municipal corporation
organized and existing under the Constitution and laws of the State of California ("City").
RECITALS
A. The parties entered into Agreement No. N-2023-147, dated June 7, 2023, by which Consultant
agreed to provide translation services ("Agreement"). The term of the Agreement continues
through December 31, 2023, with an option to extend the term of the Agreement. The
Agreement is current and in effect.
B. The parties wish to exercise the option to extend the term and, due to the additional term, amend
the Agreement to increase the overall compensation to pay for services during this term.
The Parties therefore agree:
1. Section 2.a., Compensation, is amended to increase the total amount to be expended during the
term of the Agreement by $25,000.00. The total amount to be expended, during the term of this
Agreement, shall not exceed $50,000.00.
2. Section 3, Term, is hereby extended until June 30, 2024. The parties agree and understand that
this extended term shall act as the parties' option to extend the term of the Agreement and no
further extension is available.
3. Except as modified by this First Amendment, all terms and conditions of the Agreement shall
remain in full force and effect.
