CM to) CITY OF SANTA ANA ARTIST AGREEMENT WITH CRISSELLE MENDIOLA FOR NAVIGATION CENTER FAMILY DORM CORRIDOR MURAL This Artist Agreement ("Agreement") is made and entered this 15t day of March, 2024, by and between the City of Santa Ana, a charter City and municipal corporation organized N and existing under the Constitution and laws of the State of California ("City"), and Crisselle Mendiola, an individual ("Artist"). City and Artist may herein individually be referred to as a "Party" and collectively be referred to as the "Parties" to the Agreement. RECITALS: A. City issued a Call for Mural Proposal for the Santa Ana Navigation Center by which it sought artists or artist teams for the design, fabrication, and installation of an original indoor artwork/mural/designs suitable for placement in three (3) areas [1) the family lounge; 2) two sidelights; 3) the family dorm corridors] at the City's 200- bed Homeless Navigation Center ("Site"). A true and correct copy of the Call for Mural Proposal is attached hereto as Exhibit A and incorporated herein for reference. The artwork/mural/designs at the family lounge and two sidelights have been completed. The family dorm corridor area still requires artwork/mural/designs ("Artwork") as contemplated by the Call for Mural Proposal. B. Artist submitted a responsive proposal with a scope of work, that included draft Artwork, that was selected by the City. A true and correct copy of Artist's scope of work is attached hereto as Exhibit B and incorporated herein by reference. C. In undertaking the performance pursuant to this Agreement, Artist represents they are skilled and knowledgeable in the arts and culture arena and that the Artwork created hereunder will be created in compliance with such standards as may reasonably be expected from an artist. -NOW--THEREFORE, inconsiderationofthemutual and respective promises, and -subject - to the terms and conditions hereinafter set forth, the Parties agree as follows: 1. Term. This Agreement shall be effective upon the date first written above and expire April 30, 2024, unless terminated earlier in accordance with this Agreement. The term of this Agreement may be extended, at the option of the City, for one (1) month upon a writing executed by the Artist, City Manager and City Attorney, 2. Compensation. 2.1. Subject to Artist's performance of all required actions under this Agreement, City agrees to pay, and Artist agrees to accept, as detailed below, an amount not to exceed Five Thousand Five Hundred Sixty Dollars and Fifty-six Cents ($5,560.56). 2.2. Artist will be paid in two (2) installments. First payment will be half of the installation fee and cost of materials, or $3,060.56, and will be provided upon the full execution of the Agreement by the Parties and City's receipt of an invoice from Artist, subject to City accounting procedures. The second and final payment will include the remaining amount Page 1 of 9 of $2,500.00 and will be issued within thirty (30) days after the Artist completes the Artwork, submits to the City all the proper invoices and final report for the Artwork. 2.3. The draft Artwork contained in Exhibit B has been preapproved by the City. City reserves the right to terminate the Agreement after the first disbursement detailed above, and to be reimbursed the initial payment, if Artist's performance is determined to deviate substantially from the draft Artwork detailed in Exhibit B, in the City's sole discretion. 3. Activities. Artist agrees: 3.1. Artist is hereby retained to furnish all labor, materials, tools, equipment, services, and incidental and customary work necessary to design, fabricate, transport and install the Artwork ("Services") on the Site in accordance with the schedule of completion as described in Exhibit A (the family dorm corridors scope of work only) and Exhibit B attached hereto and incorporated herein by reference. 3.2. Artist shall be responsible for complying with all Federal, State and local laws, ordinances, statutes and regulations, including, but not limited to zoning and environmental requirements, and for obtaining all required licenses, permits, or other authorizations applicable to the performance of Artist's Services under the Agreement. 3.3. Artist shall execute and deliver to City any instruments that City may reasonably require to confirm ownership of the Artwork by City. 3.4. Artist shall ensure that the Site is maintained and restored to a well -maintained, safe, sanitary, and clean condition, and kept free of any hazardous waste at all times. All equipment associated with the Services and installation of the Artwork, trash and debris shall be removed and cleaned up on a daily basis. Artist shall place a drop cloth or similar barrier on the ground below the Artwork while installation is underway, which barrier shall be removed each day upon completion of an installation session. - 3.5. Ttiw Artwork may not contain advertising, religious art, sexual content, negative or violent imagery, convey political partisanship or include any hidden, subliminal or camouflaged messages or statements of any kind or nature. The City has already preapproved the draft Artwork detailed in Exhibit B. 3.6. The Artwork may not include any breach of intellectual property, trademarks, brands, or images of illegal activity, and the Artist must be the copyright holder for the Artwork. It is the sole responsibility of the Artist to obtain any and all applicable copyrights or trademarks associated with the Artwork. 3.7. If the Artwork is a mural, it must be covered in an anti -graffiti coating at the Artist's expense. 3.8. After installation, should the Artwork be defaced and/or not repaired, maintained, preserved, and/or conserved, the City has the option to repair, maintain, preserve, and/or conserve the Artwork, or alternatively, the City as the sole authority to remove, alter, or destroy the Artwork. Page 2 of 9 3.9 The City owns the physical Artwork on City property and the right to control what art is displayed on City property, as such, the Artwork may be removed at the sole discretion of the City. 3.10. Should the Artist fail to complete the Artwork within the term of this Agreement, including all extensions, the City may hire another artist/vendor to complete the Artwork within the City's sole discretion. 4. Intellectual Property and Publicity Rights. 4.1. Copyright. The Artist assigns to City all copyright in the Artwork under this Agreement, throughout the universe, in any form, for the full term of the copyright, effective upon execution of this Agreement. The City is permitted to do the following: 4.1.1. Implementation, Use and Display. City may use and display the Artwork at the Site. 4.1.2. Reproduction and Distribution. City may make and distribute, and authorize the making, display and distribution of, photographs and other reproductions. City may use such reproductions for any not -for -profit City -related purpose, including advertising, educational and promotional materials, brochures, books, flyers, postcards, print, broadcast, film, electronic and multimedia publicity, documentation of City's art collection, and catalogues or similar publications. 4.2. Third Party Infringement. The City is not responsible for any third party infringement of Artist's Artwork and is not responsible for protecting the intellectual property rights of Artist. 4.3. Publicity. City shall have the right to use Artist's name as well as Artist -approved likeness and biographical information, in connection with the display or reproduction and distribution of the Artwork including all advertising and promotional materials regarding ---the City Artist -shall -Ise reasonably available to attend any inauguration or presentation ceremonies, if any, relating to the public dedication of the Artwork. 4.4. Trademark. In the event that City's use of the Artwork creates a trademark, service mark or trade dress rights in connection with the Artwork, City shall own such trademark, service mark, or trade dress subject to the same rights detailed in Section 4.1 above. 5. Termination. 5.1. Either Party may immediately terminate this Agreement upon one or more of the following: 5.1.1. Violation of any federal, state or local law or regulation. 5.1.2. Breach of any of the terms or conditions of this Agreement that has not been cured within 15 days of written notice of such breach. Page 3 of 9 5.2. In the event the Agreement is terminated under Section 5.1, the following will occur: a) City reserves the right to require Artist to refund any or all funds awarded to Artist under this Agreement, b) Artist agrees to refund to City any or all funds awarded under this Agreement, and c) City reserves the right to complete the Artwork using an artist of the City's choice, within the City's sole discretion. 6. Limitation of Liability. IN NO EVENT SHALL CITY BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXPENSES FOR ANY NEGLIGENCE, BREACH OF CONTRACT OR ANY OTHER ACT ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE ACTIVITIES COVERED HEREUNDER. 7. Indemnification. 7.1. Artist ("Indemnifying Party") shall defend, indemnify, protect and hold harmless the City, and its elected and appointed officers, employees, special counsel, representatives, members or agents (collectively, "Indemnified Parties"), if any, from and against all claims for damages, liability, cost and expense (including without limitation attorney's fees) arising out of or alleged by third parties to be the result of the negligent acts, errors or omissions or the willful misconduct of the Indemnifying Party, and Indemnifying Party's employees, subcontractors or other persons, agencies or firms for whom Indemnifying Party is legally responsible in connection with the execution of the work covered by this Agreement. Indemnifying Party shall have no duty to indemnify or hold harmless the Indemnified Parties if claims, damages, liability, costs, expenses (including without limitation, attorney's fees) arise from the sole negligence or sole willful misconduct of the Indemnified Parties. The indemnification obligation in this section shall include claims that are or may be related to the creation, painting, performance or installation of the Artwork hereunder. Indemnifying Party's obligations shall survive the termination of this Agreement. 7.2. Indemnified Party's right to indemnification is in addition to, and may be exercised independently of, any remedy held by Indemnified Parties under this Agreement, at law or in equity. 8.Insurance. Artist shall procure and maintain for the duration of the contract insurance against claims for injuries to persons or damages to property which may arise from or in connection with theperformance of the work hereunder and the results of that work by the Artist, his agents, representatives, employees or subcontractors. MINIMUM SCOPE AND LIMIT OF INSURANCE Coverage shall be at least as broad as: • Commercial General Liability (CGL): Insurance Services Office Form CG 00 01 covering CGL on an "occurrence" basis, including property damage, Page 4 of 9 bodily injury and personal & advertising injury with limits no less than $1,000,000 per occurrence. If a general aggregate limit applies, either the general aggregate limit shall apply separatelyto this project/location (ISO CG 25 03 or 25 04) or the general aggregate limit shall betwice the required occurrence limit. If the Artist maintains broader coverage and/or higher limits than the minimums shown above, the City requires and shall be entitled to the broader coverage and/or the higher limits maintained by the Artist. Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to the City. Other Insurance Provisions The insurance policies are to contain, or be endorsed to contain, the following provisions: Additional Insured Status The City, its officers, officials, employees, and volunteers are to be covered as additional insureds on the CGL policy with respect to liability arising out of work or operations performed by or on behalf of the Artist including materials, parts, or equipment furnished in connection with such work or operations. General liability coverage can be provided in the form of an endorsement to the Artist's insurance (at least as broad as ISO Form CG 20 10 11 85 or both CG 20 10, CG 20 26, CG 20 33, or CG 20 38; and CG 20 37 forms if later revisions used). Primary Coverage For any claims related to this contract, the Artist's insurance coverage shall be primary insurance primary coverage at least as broad as ISO CG 20 01 0413 as respects the City, its officers, officials, employees, and volunteers. Any insurance or self-insurance maintained by the City, its officers, officials, employees, or volunteers shall be excess of the Artist's insurance and shall not contribute with it. Notice of Cancellation Each insurance policy required above shall state that coverage shall not be canceled, except with notice to the City. Waiver of Subrogation Artist hereby grants to City a waiver of any right to subrogation which any insurer of said Artist may acquire against the City by virtue of the payment of any loss under such insurance. Artist agrees to obtain any endorsement that may be necessary to affect this waiver of subrogation, but this provision applies regardless of whether or not the City has received a waiver of subrogation endorsement from the insurer. Self -Insured Retentions Self -insured retentions must be declared to and approved by the City. The City may require the Artist to purchase coverage with a lower retention or provide proof of ability to Page 5 of 9 pay losses and related investigations, claim administration, and defense expenses within the retention. The policy language shall provide, or be endorsed to provide, that the self - insured retention may be satisfied by either the named insured or City. Acceptability of Insurers Insurance is to be placed with insurers authorized to conduct business in the state with a current A.M. Best's rating of no less than A: VII, unless otherwise acceptable to the City. Verification of Coverage Artist shall furnish the City with original Certificates of Insurance including all required amendatory endorsements (or copies of the applicable policy language effecting coverage required by this clause) and a copy of the Declarations and Endorsement Page of the CGL policy listing all policy endorsements to City before work begins. The City reserves the right to require complete, certified copies of all required insurance policies, including endorsements affecting the coverage required by these specifications, at any time. Subcontractors Artist shall require and verify that all subcontractors maintain insurance meeting all the requirements stated herein, and Contractor shall ensure that City is an additional insured on insurance required from subcontractors. Special or Low Risk Activities City reserves the right to modify these requirements, including limits, based on the nature ofthe risk, prior experience, insurer, coverage, or other special circumstances. The City reserves the right to modify or waive insurance requirements for certain low risk recreational activities. 9. General Provisions. 9.1. Artist shall acquire prior written permission from City for any use of the City name or logo in association with its Artwork. 9.2. If any parts of this Agreement are held to be invalid or unenforceable, the remaining parts of the Agreement shall continue to be valid and enforceable. 9.3. Artist shall comply with all governmental requirements that may now or in the future become applicable to its Services under this Agreement. 9.4. This Agreement, including Exhibit A, Call for Mural Proposal and Exhibit B, Scope of Work, and any amendments or schedules hereto, contain the full understanding and agreement of the Parties with respect to its subject matter, and no waiver, alteration or modification of any of the provisions to this Agreement shall be binding unless in writing and signed by an authorized representative of both Parties. 9.5. No waiver by either Party or any breach, default, or series of breaches or defaults, and no failure, refusal, or neglect of either Party to exercise any right, power, or option Page 6 of 9 given to it under this Agreement or to insist upon strict compliance with the terms of this Agreement shall constitute a waiver of these provisions with respect to any subsequent breach or waiver by either Party or its right at any time thereafter to require exact and strict compliance with provisions of this Agreement. 9.6. Any notice or other communication required or permitted to be made or given by either Party pursuant to this Agreement will be in writing and will be deemed to have been duly given: (i) five (5) business days after the date of mailing if sent by registered or certified U.S. mail, postage prepaid, with return receipt requested; (ii) when transmitted if sent by facsimile, provided a confirmation of transmission is produced by the sending machine; or (iii) when delivered if delivered personally or sent by express courier service. All notices to City shall include a reference to the Artwork title. This Agreement is subject to all applicable local, State and Federal laws. This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement Page 7 of 9 shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. 9.8. Artist agrees to comply with all applicable equal opportunity and affirmative action laws as appropriate, Artist shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, gender identity, gender expression, gender, medical conditions, genetic information, military and veteran status, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities. Artist affirms that it is an equal opportunity employer (if applicable) and shall comply with all applicable federal, state and local laws and regulations. 9.9. Artist and any of the Artist's agents, employees or representatives are, for all purposes under this Agreement, an independent contractor and shall not be deemed to be an employee of the City, and none of them shall be entitled to any benefits to which City employees are entitled including but not limited to, overtime, retirement benefits, work's compensation benefits, injury leave or other leave benefits. 9.10. Neither Party shall assign any rights or obligations under this Agreement. 9.11. Artist covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 9.12. Each Party warrants that they have executed this Agreement knowingly, freely and voluntarily and with full knowledge of its legal consequences. All Parties involved warrant and represent that, prior to executing this Agreement, each Party has had the opportunity -- to -review and -consider- this -matter with —legal -counsel,- and —that —the -terms of this Agreement, and its consequences, are fully understood by each Party. 9.13. This Agreement represents the entire agreement and understanding between the Parties, and supersedes any and all prior agreements and understandings between the Parties, whether oral or written. 9.14. Each undersigned represents and warrants that its signature herein below has the power, authority and right to bind their respective Parties to each of the terms of this Agreement, and shall indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. Garcia Executive Director Community Development Agency CITY OF SANTA ANA mas Hatch Interim City Manager ARTIST: Crisselle Mendiola Artist Page 9 of 9 EXHIBIT A CITY OF SANTA ANA COMMUNITY DEVELOPMENT AGENCY HOMELESS SERVICES DIVISION CALL FOR MURAL PROPOSAL: Santa Ana Navigation Center Deadline: Sunday, April 30, 2023 at 11:59 PM (PST) The City of Santa Ana's Community Development Agency is issuing a Call for Mural Proposals (CFP) to artists or artist teams for the design, fabrication, and installation of an original indoor artwork suitable for placement in our 200-bed Homeless Navigation Center in Santa Ana. The murals/designs will be for the three (3) areas. The estimated maximum budget for this project is up to $20,000. The City will review complete proposal submittals and award one artist/team the contract to execute their art concept(s). The deadline for proposal submission is (Sunday, April 30, 2023) at 11:59 PM (PST), and must be submitted via Submittable.com. For questions regarding the project and site orapplication submission: Terri Eggers Homeless Services Division Manager Community Development Agency Email: teeeers@santa-ana.ore PROJECT OBJECTIVE The City is soliciting designs from local artists for three separate art features. The intent of the CFP is to engage local artists to create a beautiful, colorful, fun space for families and individuals who are staying at the Navigation Center. The City is open to a wide range of art styles. SITE INFORMATION (See images below for layout of site) This CFP will provide one artist/team three opportunities: (1) one mural wall in the family lounge, (2) wall design along the family dorm corridor walls, and (3) two sidelight panels in the main hallway. Only submit an application if interested in submitting a design for all three areas of the site. In an effort to be least disruptive for those staying at the Navigation Center, photos of the site are provided. The selected artist will have access to the site prior to job commencement to obtain actual measurements and to gain a feel for the space. 1) The family lounge is commonplace for children and parents residing in the Santa Ana Navigation Center to watch TV, do homework, and play. The artwork will consist of one mural along the back wall (without the TV) which measures approximately 150.4 square feet (8'x 18'8".) (Family lounge wall) 2� Two sidelights are in the main corridor outside of a Counseling and a Conference Room. All guests, at the site pass through this hall frequently. This is not exclusive to families. (Sidelights) 3) The family dorm corridors include two hallways, one longer than the other. We are looking for a simple graphic design (not a mural) to be designed above the wallpaper along the corridor walls to brighten the area. The corridors measure approximately 322 square feet with doors separating the corridor as seen below. Approximate measurements between each door are: (4'x11'/:'), (4'x21'), (4'x16'), (4'x16'), (4'x9'), and (4'x7'.) (Family dorm Corridor) Questions may be directed to Terri Eggers, Homeless Services Division Manager, at teggers@santa-ana.org or714-647-5378 PROPOSAL SELECTION CRITERIA Artists may submit up to three (3) designs for each of the three areas at the site. A panel will review the applications and recommend a finalist. The City will select one finalist based on: • Artistic merit and originality — including theme and content of the display in terms of scale, form, content, and materials • Art feature creativity and fit within overall project aesthetics and goals • Experience creating artwork for public spaces, preferred but not required • Track record working within a timeline and budget, preferred but not required • Availability and ability to work for the term of the project • Local artists are preferred but not required DESIGN & INSTALLATION Design Criteria: • Artwork should integrate well with the building design and colors • Design must consider the $20,000 installation budget limitation and fit within the budget • Artwork will be family appropriate, bright, and cheerful • All proposed artwork should be original 2-D drawings or digital renderings only • Artwork with stock or copyrighted images in the design will be disqualified • Consideration should be given to the historical, geographical, and socio-culture of the city • Artwork cannot contain trademark images, logos, tag lines, or be in any way thematically linked to a commercial business, establishment, product, or service. Overt religious and political themes and symbolism will also be declined. • The City will reject display works of art that are obscene (as defined by A.C.A. § 5-68-302 et seq.) or violate other State or Federal Laws. The artist/team will paint the mural within the agreed -upon time frame. The all-inclusive award will include artist fees, design fees, travel expenses, fabrication costs, site preparation costs, and any other expenses related to the mural and design. The City will have rights to use the mural design in marketing the Navigation Center and/or similar materials. A budget of up to $20,000 is included in the project budget for art feature implementation and installation. The artwork shall be owned by the City. Selection and funding are contingent upon a signed Agreement between the artist and the City of Santa Ana, The award will be distributed in two payments: 50% upon a fully -executed agreement and receipt of invoice, and the final 50% upon the successful completion of the installation and receipt of invoice. ELIGIBILITY Applicants must be age 18 or older. Candidates are eligible regardless of race, color, religion, national origin, gender, gender identification, military status, sexual orientation, marital status, immigrant status, or physical ability. ADDITIONAL INFORMATION The organization selected through this CFP process must agree to maintain liability insurance, which will insure and indemnify the artist(s) and the City of Santa Ana during the term of the contract and for one year after acceptance of the project unless the requirement is waived by the City of Santa Ana. • The City of Santa Ana is not obligated to select a finalist from the submitted CFPs and reserves the right to cancel this CFP at anytime. • Submitting an application to this CFP does not constitute an expressed or implied contract. • Applicants submitting will receive notification of the results of the selection process. • Application materials will not be returned. • All submissions become the property of the City and may be published in print and/or on the City's website. The City will own any copyrights to the artwork for purposes, including commercial, that they deem in their interest to utilize • This CFP is subject to ordinances in effect in the City of Santa Ana. 5 HOW TO APPLY The proposal must be submitted online via Submittable.com and received by Sunday, April 30, 2023 at 11:59 PM PST. A complete submission must include all the information and materials described in the following and requested in the online submission. 1. Letter/Statement of Interest: Please describe your interest in the project and preliminary ideas for how you would approach this project. The letter should demonstrate your understanding of the project objectives and a preliminary proposal on how they would be achieved. 2. Concise 2D representation/drawing of your artist concept: In a single or a series of up to three images per area of the Navigation Center (Family Lounge, Sidelights and Corridor walls), please present your idea(s) for your artwork. 3. Current Resume(s): If submitted as a team, please identify the team leader and include resumes for each team member, with each resume being at most three pages. Resume(s) should reflect the artist's experience designing, fabricating, and installing artwork in outdoor public settings. Resume(s) should include information regarding past public art commissions, design team experience, exhibitions, awards, grants, and education. 4. Images of Past Work & Annotated Image List: Artists/artist teams must submit up to five images of relevant work samples. Please submit pdf orjpeg files with a minimum 72 DPI resolution. Every image file must be titled first with the number of the image in the order to be viewed, followed by the artist's last name (for example, 01_Alvarez, 02_Alvarez). The number must correspond to an annotated image list. Images should be labeled with the title of the piece, the specific medium, the dates, and the dimension of the art. Artists applying as a team may include examples of existing collaborative work. 5. (Optional) Two Professional References: References should have an intimate knowledge of your work and working methods in public settings. Please include name, affiliated organization (if appropriate), address, phone number, and email address for each. Please indicate the relationship to each reference. The proposal must be submitted online via Submittable.com. The online application will prompt you to submit the information directly into the fields and to upload submission materials. The City strongly recommends submitting the application at least 5 days prior to the deadline to give ample time to troubleshoot. Access to Submittable is best using Google's Chrome browser. The illustration is designed by Crissellle Mendiola and will be painted by Crisselle Mendiola, assisted by Danica Mendiola. Project Location: Family Dorm Corrdidors City: Santa Ana Design / Concept The following design is inspired by the illusion of being under and within an orange tree. The mural's goal is to give the impression of being engulfed by nature and bring a lighthearted, playful vibe within the corridors. Preparation includes buying paint and materials, transportation of materials onto the site and covering floor, walls, facets of the site to protect from paint. Installation includes the painting of the given design and concept onto the Family Dorm Corridors. Following the execution of the mural, graffiti coat will be applied. A Mural Care guide will be provided after the finalization and approval of the mural, including paint specifi- cations, swatches, original designs for reference. Grafitti removal cleaner will be given by the artist.
