P WAto FIRST AMENDMENT TO CONSULTANT AGREEMENT BETWEEN THE CITY OF SANTA ANA AND LOC ARCHITECTS TO PROVIDE PROFESSIONAL ARCHITECTURAL SERVICES FOR THE SANTA ANA ZOO EDUCATIONAL HUB BUILDING PROJECT THIS FIRST AMENDMENT to the above -referenced agreement is entered into on April 16, 2024, by and between LOC Architects ("Consultant") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. The parties entered into Agreement No. A-2023-136, dated August 1, 2023, by which Consultant agreed to provide professional architectural services for the Santa Ana Zoo Educational Hub Building Project ("Project") for the City's Public Works Agency ("Agreement"). B. The Agreement is current and in -effect, and expires on July 31, 2026. C. The parties now wish to amend the Scope of Services set forth in the Agreement to expand the overall size of the Project in order to accommodate the Zoo and community's needs, which requires the design of two buildings/structures (rather than one), with a gathering space in between the two buildings/structures. The parties further wish to increase the total not -to - exceed amount due under the Agreement to reflect this additional design concept. No other changes are contemplated by this First Amendment. The Parties therefore agree: Section 1, Scope of Services, is hereby amended to include the following language: Furthermore, Consultant will provide an expanded scope of services for the proposed education hub at the Santa Ana Zoo to address the increased size of the project, as more particularly described in Consultant's "Supplemental Services Authorization" and "Site Plan," which are attached hereto and incorporated herein as Exhibit A-1 and Exhibit B-1, respectively. 2. Section 2.a., Compensation, is amended to increase the not -to -exceed amount by an additional $123,400.00, for a total not -to -exceed amount under the Agreement of $508,520.00. This sum is comprised of (1) a base amount of $473,520.00 and (2) a contingency in the amount of $35,000.00, for any additional and as -needed services to be exercised at the City's sole discretion. 3. Except as modified by this First Amendment, all terms and conditions of the Agreement shall remain in full force and effect.
