Public Works Agency www.santa-ana.org/public-works Item # 31 City of Santa Ana 20 Civic Center Plaza, Santa Ana, CA 92701 Staff Report June 4, 2024 TOPIC: Agreement with Yunex Traffic for Traffic Signal and Street Lighting Maintenance AGENDA TITLE Approve Agreement with Yunex Traffic to Provide Preventative and Emergency Maintenance Services of the Traffic Signal and Street Lighting Systems (Special Gas Tax, General Fund) RECOMMENDED ACTION Authorize the City Manager to execute an agreement with Yunex, LLC dba Yunex Traffic to provide Preventative and Emergency Maintenance Services of the Traffic Signal and Street Lighting Systems, for a total amount not to exceed $7,000,000, for a three-year term beginning July 2, 2024, and expiring July 1, 2027, with a provision for one, two-year extension (Agreement No. A-2024-XXX). GOVERNMENT CODE §84308 APPLIES: Yes DISCUSSION The City's Traffic Signal and Street Lighting systems consists of 308 traffic signals, 12,100 Streetlights, 100 Closed Circuit Television (CCTV) cameras, 16 Crosswalk Flashing Beacons, and nine (9) Speed Feedback signs. To effectively and safely operate and maintain the traffic signal and street lighting systems and associated infrastructure, the City relies on a specialty maintenance contractor to provide the necessary personnel, equipment, and resources. Maintenance consists of two components: Routine Maintenance and Extraordinary/Emergency Services. Routine Maintenance is preventive and is performed on a scheduled basis. It consists of inspection and service once per month of each traffic signal and corresponding computerized controller housed in an equipment cabinet. Certain system components, such as cameras, flashing beacons and speed feedback signs, will receive quarterly (once every three months) checkups and Streetlight night surveys will receive semiannual (once every six months) checkup for safety, operation, and cleanliness. Additionally, Extraordinary/Emergency Services are performed on an on -call basis, in response to unforeseen circumstances such as damage caused by accidents or failure Agreement with June 4, 2024 Page 2 Yunex Traffic for Traffic Signal and Street Lighting Maintenance of major system components. Work details depend on the nature of the repair and whether some or all equipment is defective or obsolete. Most emergencies are related to damage stemming from automobile accidents. On April 18, 2024, the Public Works Agency released Request for Proposals (RFP) No. 24-046 (Exhibit 1) for qualified firms to provide Preventative and Emergency Maintenance Services of the Traffic Signal and Street Lighting System. The RFP was advertised on the City's online bid management and publication system, PlanetBids, with proposals due on May 9, 2024. System records indicate a total of 34 vendors were notified and downloaded the bidding documents. Three proposals were received by the RFP deadline on May 9, 2024, opened, and all three were deemed responsive. The selection committee with experience in traffic signal and street lighting maintenance and related program services evaluated all proposals. The selected, highest -ranked firm will provide traffic signal and street lighting maintenance services for the City. The firm's rates are reasonable and within industry standard and the proposal was determined to provide the best value for the City. FISCAL IMPACT Funding is included in the proposed FY 2024-25 budget and funding for subsequent fiscal years will be included in the proposed budgets for City Council consideration. This contract does not include developing a new product so there will not be any technical data developed or originating for this project. • Yunex Traffic will indemnify Customer only for third party claims against Customer to the extent damages are a direct result of Yunex Traffic's negligence or willful misconduct. • Further, Yunex Traffic must be promptly informed of any third -party claims and have full control of all defense decisions and outcome, except Yunex will not do anything to expressly admit culpability of Customer without its written consent. • Yunex Traffic assumes that any liquidated damages and disincentives, however defined, described, or identified, are the sole and exclusive remedy for the related non- conformance, and that liquidated damages and disincentives shall never exceed an annual aggregate of 10% of the annual contract value. • Yunex Traffic assumes that all damages be capped at 100% of the contract price in the aggregate, and all indirect, consequential, special, incidental, punitive, and similar damages are expressly waived by the Parties. • Yunex Traffic assumes that it will have full control of defending and resolving infringement claims. • Yunex Traffic will allow audits 1) with reasonable notice, 2) at reasonable times, 3) for document specifically related to this project, but not including cost information. Information provided or obtained in the course of an audit, may not be removed, copied, transmitted, scanned, or photographed, or otherwise removed from Yunex premises. • Yunex Traffic assumes that all implied warranties not expressly agreed upon in the Contract are waived. The selected service company will be responsible for providing a continuing, comprehensive, routine, and extraordinary maintenance program for the City's equipment. The City's expectation is that the maintenance program will reduce the incidence of malfunctions, reduce complaints, promote safety, and proactively extend the longevity of the equipment, thus reducing the overall operating cost for the traffic signal/streetlight system. Our goal is always to exceed our customer's expectations. We have a broad range of experienced personnel including NEC and IMSA Level III Traffic Signal Maintenance personnel. The technicians assigned to this contract have over 62 years of combined experience managing and maintaining traffic signal, streetlight, fiber networks, and central systems. Our in-house traffic signal laboratories (located in Riverside) provide a full range of technical services including complete controller/cabinet testing, repair, and conflict monitor testing/certification. Services for this contract include the provision of appropriately trained personnel and equipment necessary to perform maintenance activities as outlined in your RFP. We understand that the general Scope of Work to be done consists of routine preventative maintenance and repair to your traffic signals and streetlights as well as general and emergency repairs of the same. These services will provide your city with safe and efficient operations. Yunex Traffic will have available and readily accessible, qualified personnel, tools, equipment, facilities, and material required to perform all work necessary for the maintenance of the City's traffic signal and streetlight systems, as outlined in the Scope of Work and in compliance with current City and State standards. Our Approach / Response Times To be able to respond immediately to emergency calls, Yunex Traffic's field technicians are authorized to take their work vehicles home daily. All work vehicles are stocked with proper field equipment so he/she may sufficiently address most problems they encounter while responding. Emergency response call outs and unscheduled repairs are initiated by calling our toll -free emergency phone number, 1-800-229-6090. A live dispatcher will be available 24 hours a day, 7 days per week, 365 days per year. Our dispatcher will create a work order in our visual planning board and once the work order is released, it will immediately transfer to our technician's queue on their mobile device. As part of our quality control practice, our dispatcher will follow up with a phone call to our technician to confirm that he/she is in receipt of the call out/work order. For emergency calls, the technician will arrive at the site within thirty (30) minutes to assess and correct the reported problem. We understand that throughout the term of a contract, those needs may change. We approach all our contracts with the same vision; build a partnership with the City's staff and work towards achieving common goals set forth through that partnership. We realize that this is an ever - evolving process and that is why we believe that the only successful route is through establishing common goals. This methodology and a commitment to service will be applied to every aspect of our services for the City of Santa Ana. Routine Maintenance We will execute a comprehensive monthly routine maintenance program as outlined in the City's Appendix Attachment 1 (Scope of Work), as recommended by the manufacturer, and as listed below. Yunex Traffic will also maintain, at the same unit price, additional traffic signals and appurtenant devices as they are installed or become a part of the maintenance requirements of the city. Yunex Traffic technicians will, at a minimum, perform the following tasks on the City's traffic control systems monthly: Routine maintenance is typically scheduled by the technician as they are more aware of the geography of the area. He/she will take into consideration contract requirements and your preference when scheduling routine preventive maintenance. Once our technician arrives at the location, he will complete a job hazard analysis (JHA) determining any potential hazards at the location. Following the JHA, they will secure the area with proper traffic control as referenced in the most recent editions of the CAMUTCD and W.A.T.C.H. Handbooks and in accordance with the city's traffic control requirements. Our technician will clean and vacuum the controller and battery backup cabinets (if equipped) and ensure the cabinet vents are un-obstructed, the air filter is clean, properly inserted, and secure (air filters will be replaced quarterly). During this process, your Yunex Traffic technician will perform the following checks inside the controller cabinet: M Confirm the controller cabinet is securely mounted to the foundation the seal for deterioration. Excessive dampness and plant/animal intrusion inside the controller cabinet will be reported to the city and repaired immediately. o Verify fan operation and ensure the thermostat is set to 85 degrees Fahrenheit and that there is sufficient airflow through the cabinet. o Inspect cabinet hardware (i.e., door gaskets, hinges, locks, etc.) for proper operation. We will also verify proper operation of all equipment displays and cabinet/controller indicator lamps. Deficiencies that pose a safety concern will be corrected immediately. o Semi-annually verify that controller software/firmware is up to date. Following the visual inspection, your Yunex Traffic technician will examine the functionality of the controller in relation to traffic at the intersection and confirm all phase and coordination timing is programmed correctly and is current based on the timing sheet located in the controller cabinet. In addition to monitoring phase actuation from vehicle/traffic, they will also confirm proper intersection cycling by manually placing vehicle and pedestrian calls on each phase through the cabinet test switches or the controller keypad to verify controller servicing of each phase. Yunex Traffic technicians will ensure your controller's date and time is correct and we will adjust all controller clocks within 48 hours of time changes related to Daylight Savings Time. This also includes confirming the correct date and time in all Conflict Monitor Units and Malfunction Management Units (CMU/MMU) during each visit. Your Yunex Traffic technician will check the controller log buffers and investigate any faults that may have surfaced since the last maintenance visit. CMU's/MMU's can be tested annually or as requested. Technicians will be ATSI CMU/MMU Test Equipment Certified. Individual test results will meet the city's documentation requirements and be available in each controller cabinet and an electronic file (USB) will be delivered to the city within 30 days after completing the testing. This test will also be documented on the routine maintenance log located in the controller cabinet. If requested, the cost for annual CMU/MMU testing will be billed on a time/material basis. The technician will confirm all detector loop cables are correctly identified, connected to the correct vehicle detector field terminals, and that a call is placed on the correct detector input, and that the input places a call on the correct controller phase. We will adjust or re - tune detector amplifiers and correct substandard splices, as necessary. Loops requiring re -seal or replacement will be documented and reported to the city immediately. If the intersection is equipped with video/radar detection our technician will verify that detection zones are properly structured. They will also verify proper camera operation by monitoring the vehicle call on the video processor unit and confirm that the calls are registering in the controller and actuating the correct phase in the controller. In addition, we will confirm all battery connections to ensure they are clean and secure. We will report any batteries that require replacement immediately. All events and run time will be documented inside each controller cabinet. Semi -Annual testing by electrical bypass for proper operation can be completed upon request on a time/material basis. Yunex Traffic will perform a semi-annual night check of safety lights/illuminated street name signs (IISNS) at all signalized intersections (if equipped) and all city -owned and SCE owned streetlights. Our findings will be submitted to the city and required repairs will be made according to the Extraordinary Maintenance schedule. Semi -Annual night checks are billed under Semi -Annual Routine Maintenance. Our technician will walk the intersection (clockwise and counterclockwise) and visually inspect all poles, signal heads, pedestrian signals, associated framework, and signal mounted signs for proper operation, alignment, and broken or missing parts. During this process, your Yunex Traffic technician will perform the following checks outside of the controller cabinet: o Depress all pedestrian push buttons and observe proper timing and display. o Visually inspect the loops for sufficient sealant or exposed loop wires. o Inspect pull boxes, pull box lids and hand -hole covers. Missing covers/lids will be replaced immediately. o Visually inspect all signal doors, back plates, and visors and confirm they are secure. o Remove unauthorized signs, stickers, and posters that can be easily removed from traffic signal poles and the controller cabinet. Graffiti will also be removed within twenty-four (24) hours of notification. o Prepare a list of locations where painting may be necessary, which will be submitted to the City for approval. Painting rates can be provided, if requested. The technician will lubricate cabinet door locks and padlocks semi-annually, unless required sooner. RECITALS A. On April 15, 2024, City issued Request for Proposal ("RFP") No. 24-046, by which it sought to retain a contractor having special skill and knowledge in the field of scheduled preventative and emergency maintenance services of traffic signal and street lighting systems for City's Public Works Agency. B. Contractor submitted a responsive proposal that was among those selected by the City. Contractor represents that it is able and willing to provide such services described in the Scope of Work that was included in RFP No. 24-046. C. In undertaking the performance of this Agreement, Contractor represents that it is knowledgeable in its field and that any services performed by Contractor under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Contractor shall perform during the term of this Agreement, the tasks and obligations including all labor, materials, tools, equipment, and incidental customary work required to fully and adequately complete the services described and set forth in the Scope of Services - Exhibit A, attached hereto and incorporated herein, and as further described in Contractor's Proposal - Exhibit B, attached hereto and incorporated herein. 2. COMPENSATION a. City neither warrants nor guarantees any minimum or maximum compensation to Contractor under this Agreement. Contractor shall be paid only for actual services performed under this Agreement at the rates and charges identified in Contractor's Fee Proposal, which is attached hereto and fully incorporated herein by this reference as "Compensation - Exhibit C." The total compensation for services provided shall not exceed $7,000,000.00 during the term of this Agreement, including any extension periods, as set forth in Section 3, below. b. Payment by City shall be made within forty-five (45) days following receipt of proper Page 1 of 10 invoice evidencing work performed, subject to City accounting procedures. City and Contractor agree that all payments due and owing under this Agreement shall be made through Automated Clearing House (ACH) transfers. Upon verification of the data provided, the City will be authorized to deposit payments directly into Contractor's account(s) with financial institutions. TERM This Agreement shall commence on July 2, 2024 and end on July 1, 2027, with the option for the City to grant up to one (1), two (2) year extension, exercisable by a writing by the City Manager and the City Attorney, unless terminated earlier in accordance with Section 16, below. 4. PREVAILING WAGES Contractor is aware of the requirements of California Labor Code Section 1720, et seq., and 1770, et seq., as well as California Code of Regulations, Title 8, Section 16000, et seq., ("Prevailing Wage Laws"), which require the payment of prevailing wage rates and the performance of other requirements on "public works" and "maintenance" projects. If the services being performed are part of an applicable "public works" or "maintenance" project, as defined by the Prevailing Wage Laws, and the total compensation is $1,000 or more, Contractor agrees to fully comply with such Prevailing Wage Laws. Contractor shall defend, indemnify and hold the City, its elected officials, officers, employees and agents free and harmless from any claim or liability arising out of any failure or alleged failure to comply with the Prevailing Wage Laws. 5. INDEPENDENT CONTRACTOR Contractor shall, during the entire term of this Agreement, be construed to be an independent contractor and not an employee of the City. This Agreement is not intended nor shall it be construed to create an employer -employee relationship, a joint venture relationship, or to allow the City to exercise discretion or control over the professional manner in which Contractor performs the services which are the subject matter of this Agreement; however, the services to be provided by Contractor shall be provided in a manner consistent with all applicable standards and regulations governing such services. Contractor shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 6. OWNERSHIP OF MATERIALS This Agreement creates a non-exclusive and perpetual license for City to copy, use, modify, reuse, or sublicense any and all copyrights, designs, and other intellectual property embodied in plans, specifications, studies, drawings, estimates, and other documents or works of authorship fixed in any tangible medium of expression, including but not limited to, physical drawings or data magnetically or otherwise recorded on computer diskettes, which are prepared or Page 2 of 40 caused to be prepared by Contractor under this Agreement ("Documents & Data"). Contractor shall require all subcontractors to agree in writing that City is granted a non-exclusive and perpetual license for any Documents & Data the subcontractor prepares under this Agreement. Contractor represents and warrants that Contractor has the legal right to license any and all Documents & Data. Contractor makes no such representation and warranty in regard to Documents & Data which were provided to Contractor by the City. City shall not be limited in any way in its use of the Documents and Data at any time, provided that any such use not within the purposes intended by this Agreement shall be at City's sole risk. 7. INSURANCE Contractor shall procure and maintain for the duration of the agreement, the following insurance coverages: Minimum Scope and Limit of Insurance. Contractor shall maintain limits of insurance coverage in the following minimum amounts and shall be at least as broad as: • Commercial General Liability (CGL): Insurance Services Office Form CG 00 01 covering CGL on an "occurrence" basis, including products and completed operations, property damage, bodily injury and personal & advertising injury with limits no less than $1,000,000 per occurrence and $2,000,000 aggregate. • Automobile Liability (AL): Insurance Services Office Form CA 00 01 covering Code 1 (any auto), with combined single limits of $1,000,000. • Workers' Compensation (W/C): as required by the State of California, with statutory limits, and Employer's Liability Insurance with limit of no less than $1,000,000 per accident, per employee, per policy for bodily injury or disease. This requirement can be waived if Vendor has no employees. • If Contractor maintains broader coverage and/or higher limits than the minimums shown above, City requires and shall be entitled to the broader coverage and/or the higher limits maintained by Contractor. Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to City. Other Insurance Provisions. The insurance policies are to contain, or be endorsed to contain, the following provisions: • CGL and AL policies: City of Santa Ana, its City Council, its officers, officials, employees, agents, and volunteers are to be covered as additional insureds with respect to liability arising out of work or operations performed by or on behalf of the Permittee including materials, parts, equipment, and personnel furnished in connection with such work or operations. • All required insurance policies: Insurance company(ies) agrees to waive all rights of subrogation against City, its City Council, its officers, officials, employees, agents, and volunteers for losses paid under the terms of any policy which arise from work performed by Permittee for City. • All required insurance policies: For any claims related to this contract, Permittee's insurance coverage shall be primary and any insurance maintained by City, its City Page 3 of 40 Council, its officers, officials, employees, agents, or volunteers shall not contribute with it. • All required insurance policies: A severability of interest provision must apply for all the additional insureds, ensuring that Permittee's insurance shall apply separately to each insured against whom a claim is made or suit is brought, except with respect to the insurer's limits of liability. • Each insurance policy required herein shall provide that coverage shall not be canceled, suspended, voided, reduced in coverage or in limits, non -renewed by the carrier, or materially changed except after thirty (30) days prior written notice has been given to City. Ten (10) days prior written shall be provided to City for policy cancellation or non -renewal due to non-payment. • Certificate Holder on each Evidence of Insurance certificate shall be: City of Santa Ana, Attention: (Name of Responsible Staff), 20 Civic Center Plaza (M-XX — Responsible Staff s Department mail box), Santa Ana, CA 92701. The name and location of event should be included in the Description of Operations section of each certificate. Self -Insured Retentions. Self -insured retentions must be declared to and approved by the City. City may require Contractor to purchase coverage with a lower retention or provide proof of ability to pay losses and related investigations, claim administration, and defense expenses within the retention. Acceptability of Insurers. Insurance is to be placed with insurers authorized to conduct business in the state of California with a current A.M. Best rating of no less than ANII, unless otherwise acceptable to City. Verification of Coverage. Permittee shall furnish City with original Certificates of Insurance including all required amendatory endorsements (or copies of the applicable policy language effecting coverage required by this clause) and a copy of the Declarations and Endorsement Page of the CGL policy listing all policy endorsements to City before work begins. However, failure to obtain the required documents prior to the work beginning shall not waive Permittee's obligation to provide them. City reserves the right to require complete, certified copies of all required insurance policies, including endorsements required by these specifications, at any time. basis: Claims Made Policies. If any of the required policies provide coverage on a claims -made • The retroactive date must be shown and must be before the date of the contract or the beginning of work. • Insurance must be maintained and evidence of insurance must be provided for at least three (3) years after completion of work. • If coverage is canceled or non -renewed, and not replaced with another claims -made policy form with a retroactive date prior to the contract effective date, Company must purchase "extended reporting" coverage for a minimum of three (3) years after completion of work. Contractor shall require and verify that all sub -contractors maintain insurance meeting all the requirements stated herein, and Contractor shall ensure that City is an additional insured on insurance required from sub -contractors. Special Risks or Circumstances. City reserves the right to modify these requirements, including limits, based on the nature of the risk, prior experience, insurer, coverage, or other special circumstances. 8. INDEMNIFICATION Contractor agrees to defend, and shall indemnify and hold harmless the City, its officers, agents, employees, contractors, special counsel, and representatives from liability: (1) for personal injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including death, and claims for property damage, which may arise from the negligent operations of the Contractor, its subcontractors, agents, employees, or other persons acting on its behalf which relates to the services described in section 1 of this Agreement; and (2) from any claim that personal injury, damages, just compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects arising from this Agreement. This indemnity and hold harmless agreement applies to all claims for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to have been suffered, by reason of the events referred to in this Section or by reason of the terms of, or effects, arising from this Agreement. The Contractor further agrees to indemnify, hold harmless, and pay all costs for the defense of the City, including fees and costs for special counsel to be selected by the City, regarding any action by a third party challenging the validity of this Agreement, or asserting that personal injury, damages, just compensation, restitution, judicial or equitable relief due to personal or property rights arises by reason of the terms of, or effects arising from this Agreement. City may make all reasonable decisions with respect to its representation in any legal proceeding. Notwithstanding the foregoing, to the extent Contractor's services are subject to Civil Code Section 2782.8, the above indemnity shall be limited, to the extent required by Civil Code Section 2782.8, to claims that arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of the Contractor. 9. INTELLECTUAL PROPERTY INDEMNIFICATION Contractor shall defend and indemnify the City, its officers, agents, representatives, and employees against any and all liability, including costs, for infringement of any United States' letters patent, trademark, or copyright infringement, including costs, contained in the work product or documents provided by Contractor to the City pursuant to this Agreement. 10. RECORDS Contractor shall keep records and invoices in connection with the work to be performed under this Agreement. Contractor shall maintain complete and accurate records with respect to the costs incurred under this Agreement and any services, expenditures, and disbursements charged to the City for a minimum period of three (3) years, or for any longer period required by law, from the date of final payment to Contractor under this Agreement. All such records and invoices shall be clearly identifiable. Contractor shall allow a representative of the City to examine, audit, and make transcripts or copies of such records and any other documents created Page 5 of 10 pursuant to this Agreement during regular business hours. Contractor shall allow inspection of all work, data, documents, proceedings, and activities related to this Agreement for a period of three (3) years from the date of final payment to Contractor under this Agreement. 11. CONFIDENTIALITY If Contractor receives from the City information which due to the nature of such information is reasonably understood to be confidential and/or proprietary, Contractor agrees that it shall not use or disclose such information except in the performance of this Agreement, and further agrees to exercise the same degree of care it uses to protect its own information of like importance, but in no event less than reasonable care. "Confidential Information" shall include all nonpublic information. Confidential information includes not only written information, but also information transferred orally, visually, electronically, or by other means. Confidential information disclosed to either party by any subsidiary and/or agent of the other party is covered by this Agreement. The foregoing obligations of non-use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the Contractor disclosed in a publicly available source; (c) is in rightful possession of the Contractor without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e) is independently developed by the Contractor without reference to information disclosed by the City. 12. CONFLICT OF INTEREST CLAUSE Contractor covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 13. NON-DISCRIMINATION Contractor shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, gender identity, gender expression, gender, medical conditions, genetic information, or military and veteran status, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, teaching, training, utilization, promotion, termination or other employment related activities or any services provided under this Agreement. Contractor affirms that it is an equal opportunity employer and shall comply with all applicable federal, state and local laws and regulations. 14. EXCLUSIVITY AND AMENDMENT This Agreement represents the complete and exclusive statement between the City and Contractor, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the City and by an authorized representative of Contractor. The parties agree that any terms or conditions of any purchase order or other instrument that are inconsistent with, or in addition to, the terms and conditions hereof, shall not bind or obligate Contractor or the City. Each Page 6 of 10 party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which is not embodied herein. 15. ASSIGNMENT Inasmuch as this Agreement is intended to secure the specialized services of Contractor, Contractor may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the City and any such assignment, transfer, delegation or subcontract without the City's prior written consent shall be considered null and void. Nothing in this Agreement shall be construed to limit the City's ability to have any of the services which are the subject to this Agreement performed by City personnel or by other contractors retained by City. 16. TERMINATION This Agreement may be terminated by the City upon thirty (30) days written notice of termination. In such event, Contractor shall be entitled to receive and the City shall pay Contractor compensation for all services performed by Contractor prior to receipt of such notice of termination, subject to the following conditions: a. As a condition of such payment, the Executive Director may require Contractor to deliver to the City all work product(s) completed as of such date, and in such case such work product shall be the property of the City unless prohibited by law, and Contractor consents to the City's use thereof for such purposes as the City deems appropriate. b. Payment need not be made for work which fails to meet the standard of performance specified in the Recitals of this Agreement. 17. WAIVER No waiver of breach, failure of any condition, or any right or remedy contained in or granted by the provisions of this Agreement shall be effective unless it is in writing and signed by the party waiving the breach, failure, right or remedy. No waiver of any breach, failure or right, or remedy shall be deemed a waiver of any other breach, failure, right or remedy, whether or not similar, nor shall any waiver constitute a continuing waiver unless the writing so specifies. 18. JURISDICTION - VENUE This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. PROFESSIONAL LICENSES Contractor shall, throughout the term of this Agreement, maintain all necessary licenses, permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder and required by the laws and regulations of the United States, the State of California, the City of Santa Ana and all other governmental agencies. Contractor shall notify the City immediately and in writing of its inability to obtain or maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be cause for termination of this Agreement. 20. NOTICE Any notice, tender, demand, delivery, or other communication pursuant to this Agreement shall be in writing and shall be deemed to be properly given if delivered in person or mailed by first class or certified mail, postage prepaid, or sent by fax or other telegraphic communication in the manner provided in this Section, to the following persons: To City: City Clerk City of Santa Ana 20 Civic Center Plaza (M-30) P.O. For purposes of calculating these time frames, weekends, federal, state, County or City holidays shall be excluded. 21. CALIFORNIA AIR RESOURCES BOARD COMPLIANCE Contractor shall comply, and shall ensure all subcontractors comply, with all applicable requirements of the most current version of the regulations imposed by California Air Resources Board ("CARB") including, without limitation, all applicable terms of Title 13, California Code of Regulations Division 3, Chapter 9 and all pending amendments ("Regulation"). Throughout the Project, and for three (3) years thereafter, Contractor shall make available for inspection and copying any and all documents or information associated with Contractor's and its subcontractors' fleets including, without limitation, the Certificates of Reported Compliance ("CRCs"), fuel/refueling records, maintenance records, emissions records, and any other information the Contractor is required to produce, keep or maintain pursuant to the Regulation upon two (2) calendar days' notice from the City. Contractor shall be solely liable for any and all costs associated with compliance with the Regulation as well as for any and all penalties, fines, damages, or costs associated with any and all violations, or failures to comply with the Regulation. Contractor shall defend, indemnify and hold harmless the City, its officials, officers, employees and authorized volunteers free and harmless from any claims, liabilities, costs, penalties or interest arising out of any failure or alleged failure to comply with the Regulation. 22. MISCELLANEOUS PROVISIONS a. Each undersigned represents and warrants that its signature herein below has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. b. SCOPE OF WORK L PURPOSE The City of Santa Ana is seeking an experience contractor to perform preventative and extraordinary maintenance on the Citywide Traffic Signal and Street Lighting systems. II. TRAFFIC SIGNAL SYSTEM MAINTENANCE 1. Scope of Work The Contractor shall furnish all tools, equipment, apparatus, facilities, labors, services, training and materials to perform all work necessary to maintain all traffic signal facilities in a good and worker -like manner according to the proposal submitted and in accordance with these specifications. Maintenance of the traffic signal control system located at the City's Traffic Management Center will be done as part of extraordinary maintenance only. 2. Service Personnel City of Santa Ana RFP 24-046 Page Al-1 The Contractor shall provide qualified service personnel to maintain and to service all traffic signal equipment utilized by the City. Personnel shall have at least two years of experience maintaining and troubleshooting traffic signal equipment. Detailed knowledge of Type NEMA, Type 332 and ATCC cabinets is required. The city utilizes 2070 and Cobalt controllers with Econolite ASO and EOS Firmware. Personnel must be knowledgeable in the use of these controllers. All Lead Maintenance Personnel is required to have an IMSA Traffic Signal Level 2 Certification. In addition, all service personnel shall possess an NEC certification. The City reserves the right to refuse the use of any personnel whom in the City's sole opinion are not qualified to work on these systems. An agreed upon personnel list shall be maintained and only those listed are allowed to work in the city. Any changes need to be authorized by the City. 3. List of Signalized Intersections See "Appendix Attachment 4" for the list of Traffic Signals, Video Detection System, CCTV cameras, Flashing Beacons, and Speed Feedback Signs. 4. Additions to System The Contractor shall maintain additional traffic signals and appurtenant devices as they are added or installed. City will notify the contractor of such addition and the contractor shall include them in the maintenance contract. Cost of the routine maintenance of the new addition will be per contract unit price and will be effective the 1 st day of the following month unless stated otherwise in the notification. The City may, at it sole discretion, add and eliminate signals from this contract. The contractor shall be notified of such addition or deletions in writing. Such changes shall increase or decrease the invoice at the same unit price as specified in the Contract Agreement. 5. Routine Maintenance The routine maintenance shall be performed on a periodically basis based on type of equipment. (a) Traffic Signal: (i) Maintenance period: The Contractor shall perform a complete inspection and service of each signalized intersection once a month, not less than 25 days or more than 35 days apart, for safety, operation and cleanliness. (ii) Maintenance Tasks: • Cabinets: The Contractor shall clean the controller cabinets and associated service pedestals thoroughly on the inside, including all components. The Contractor shall remove all unauthorized external attachments such as notices, posters, signs, etc. and notify the City of any graffiti that is on the signal equipment. It is not the Contractor's responsibility to remove the graffiti City of Santa Ana RFP 24-046 Page Al-2 o Ventilation system: The Contractor shall ensure that the cabinet's ventilation system is in working order. Ensure that the Thermostat and Fan operates properly. The air filter shall be replaced and dated every 90 days (regardless of condition). o Meter Pedestal: The Contractor shall ensure that the associated electrical meter pedestal is in working order. Ensure that the breakers, contactors, photoelectric controls operate properly. o Controller and Timing: The Contractor shall check controller timing against the timing sheet and notify the City on any deviation. No timing parameters shall be changed without explicit approval from the City. o Vehicle Detection System: The Contractor shall ensure that the vehicle detection system is fully functional. Maintenance Personnel must be well versed in the use of the different types used by the City. The City utilizes the following types of Detection: Loop Detection - Detectors needs to be checked that it is properly detecting vehicles and able to apply calls to the controller. The Contractor shall adjust the sensitivity levels to tune out any stuck detectors or replace defective vehicle detector amplifiers as necessary. The Contractor shall meter loops individually when troubleshooting loop problems. The City shall be notified of all defective loops. ■ Video Detection — The system needs to be inspected to ensure normal operation. All detection zones needs to be checked for proper detection and the systems needs to be verified that it is capable of applying calls to the controller. The city utilizes Iteris and Econolite video detection systems. o Battery Backup System (If applicable): Some intersections are equipped with battery backup system. For these locations, the Contractor shall test and verify that the system is charged and in working order. o Emergency Vehicle Preemption (If applicable): Check vehicle preemption at all directions for operation. Notify City if sensor or preemption card is malfunctioning, adjustments, and cleaning. o Ancillary Equipment: City of Santa Ana RFP 24-046 Page Al-3 The Contractor shall check all ancillary equipment (load switches, power supply, flashers, Emergency Vehicle Pre-emption, etc.) in the cabinet for proper operation. • Field Equipment: o The Contractor shall check all pedestrian push buttons for proper operation. o The Contractor shall check all vehicle and pedestrian signal heads for proper operation. o The Contractor shall check all safety lights for proper operation. o The Contractor shall check all poles and standards for damages. o Contractor shall check and notify the City of any missing or damaged Reflectorized Street Name Signs (RSNS) or traffic signs mounted on the traffic signal poles. o Contractor shall check all hardware (hand -hole covers, signs, luminaires, poles, backplates, etc.). • Maintenance Record: The Contractor shall maintain a record log in each controller cabinet showing the date and time of any service. It shall consist of: o Routine Maintenance o Extraordinary Maintenance All records shall be legibly written or printed. These record logs shall become property of the City. (b) Video Detection System (VDS): (i) Maintenance period: The Contractor shall perform a complete inspection and service of each Video Detection System once every three (3) months for proper operation and cleanliness. (ii) Maintenance Tasks: • Field Equipment 1. The contractor shall clean the camera's housing lens or dome as appropriate. a. To minimize scratches or damage to the Video Detection, use a clean microfiber towel, and a polish specifically designed for use on Plexiglas, or other cleaner as recommended by the manufacturer. Do not use any ammonia based or glass cleaners. 2. The Contractor shall check the mounting hardware for proper fastening and alignment. 3. Check alignment of camera to detection each zone correctly. 4. Readjust detection as necessary to meet proper operations City of Santa Ana RFP 24-046 Page Al-4 5. Contractor shall remove all unauthorized attachments. 6. Contractor shall notify City of any graffiti. It is not the Contractor's responsibility to remove graffiti. (i) Maintenance Record: The Contractor shall maintain a record log in each location showing the date and time of any service. It shall consist of: a. Routine Maintenance b. Extraordinary Maintenance All records shall be legibly written or printed. These record logs shall become property of the City. (b) Closed Circuit Television (CCTV) Camera: (i) Maintenance period: The Contractor shall perform a complete inspection and service of each CCTV once every three (3) months for proper operation and cleanliness. (ii) Maintenance Tasks: • Cabinets (if applicable): Some CCTV locations have dedicated type 332 cabinets. For these locations, the Contractor shall clean the cabinets thoroughly on the inside, including all components. The Contractor shall remove all unauthorized external attachment such as notices, posters, signs, etc. and notify the City of any graffiti that is on the signal equipment. It is not the Contractor's responsibility to remove the graffiti o Ventilation system: The contractor shall ensure that the cabinet's ventilation system is in working order. Ensure that the Thermostat and Fan operates properly. The air filter shall be replaced and dated every 90 days (regardless of condition). o Battery Backup System (if applicable): The Contractor shall ensure that the battery backup system is charged and in working order. • Field Equipment 1. The Contractor shall check all poles and standards for damages. 2. The contractor shall clean the camera's housing lens or dome as appropriate. a. To minimize scratches or damage to the Video Detection, use a clean microfiber towel, and a polish specifically designed for use on Plexiglas, or other cleaner as recommended by the manufacturer. Do not use any ammonia based or glass cleaners. City of Santa Ana RFP 24-046 Page Al-5 (iii) Maintenance Record: The Contractor shall maintain a record log in each location (with or without dedicated cabinet) showing the date and time of any service. It shall consist of: a. Routine Maintenance b. Extraordinary Maintenance All records shall be legibly written or printed. These record logs shall become property of the City. (c) Flashing Beacons: (i) Maintenance period: The Contractor shall perform a complete inspection and service of each Flashing Beacon once every three (3) months for proper operation and cleanliness. (ii) Tasks: • Cabinets: The cabinets for solar powered flashing beacons are small NEMA cabinet pole mounted at approximately 9'-13'. The Contractor shall clean the cabinets thoroughly on the inside, including all components. The Contractor shall remove all unauthorized external attachments such as notices, posters, signs, etc. and notify the City of any graffiti that is on the signal equipment. It is not the Contractor's responsibility to remove the graffiti • Battery System: Contractor shall check system operating voltage and battery life. Notify the City if battery needs replacement. • Field Equipment The Contractor shall check all beacons, poles, pedestrian push button and standards. Contractor shall check and notify the City of any missing or damaged traffic signs mounted on the traffic signal poles. Clean the solar panels in accordance to the manufacturer's recommendation. • Maintenance Record The Contractor shall maintain a record log in each controller cabinet showing the date and time of any service. It shall consist o£ a. Routine Maintenance b. Extraordinary Maintenance All records shall be legibly written or printed. These record logs shall become property of the City. City of Santa Ana RFP 24-046 Page Al-6 (d) Speed Feedback Signs: (i) Maintenance period: The Contractor shall perform a complete inspection and service of each Speed Feedback Sign once every three (3) months for proper operation and cleanliness. (ii) Tasks: • Cabinets: The cabinets for solar powered speed feedback signs are small NEMA cabinet pole mounted at 9'-13'. The Contractor shall clean the cabinets thoroughly on the inside, including all components. The Contractor shall remove all unauthorized external attachments such as notices, posters, signs, etc. and notify the City of any graffiti that is on the signal equipment. It is not the Contractor's responsibility to remove the graffiti • Battery System: Contractor shall check system operating voltage and battery life. Notify the City if battery needs replacement. • Field Equipment The Contractor shall check LED display, poles, and standards. The contractor shall check and ensure that LED display, strobes, and radar detection equipment are in working order. Contractor shall check and notify the City of any missing or damaged traffic signs mounted on the traffic signal poles. Clean the solar panels in accordance to the manufacturer's recommendation. • Maintenance Record The Contractor shall maintain a record log in each controller cabinet showing the date and time of any service. It shall consist of: a. Routine Maintenance b. Extraordinary Maintenance All records shall be legibly written or printed. These record logs shall become property of the City. 2. Extraordinary Maintenance Extraordinary maintenance includes work tasks to install new, replace or repair defective or obsolete equipment and perform modification work not directly covered by routine maintenance. Work shall be performed with prior City approval unless emergency or public safety conditions require immediate response. City of Santa Ana RFP 24-046 Page Al-7 3. Emergency Service The Contractor shall provide emergency service to the City twenty-four hours a day, seven days a week upon City's request. Unless stated by the City at the time of request, the contractor will need to ascertain whether request is of an emergency nature requiring immediate response. Failure or malfunction of the traffic signal or interruption of normal operation as to create confusion or public hazard is considered emergency nature. (a) The contractor shall provide qualified personnel at the location within 30 minutes of receiving emergency request. (b) The Contractor shall immediately troubleshoot and restore the traffic signal to normal operations. If that is not possible due to the extent of the damage, sufficient temporary repairs shall be made to enable the intersection to operate safely. In no event shall the traffic signal be left overnight in dark mode (black out). (c) For intersections with power outages, The Contractor shall use the following procedure: (i) Setup temporary stop signs at all approach upon arrival at the site. (ii) Turn off the traffic signal controller and place cabinet control to flashing operation. (iii) Once the power is restored, remove all stop signs and return the traffic signal to normal operation. 4. Compensation For Routine And Extraordinary Maintenance (a) Routine Maintenance: Compensation for routine maintenance of traffic signal system shall be per contracted unit price. Said compensation shall include all labor, material, equipment and overhead/profits. (b) Extraordinary Maintenance: Compensation for extraordinary maintenance of traffic signal system shall be per contracted unit price. Said compensation shall include all labor, material, equipment and overhead/profits. For work not listed in the bid list, compensation shall be based on agreed lump sum price or time and material basis. (i) Materials: The City shall pay the Contractor for materials used in extraordinary maintenance, the Contractor's cost from the supplier plus the percentage specified in the Contractor's bid proposal. All materials and parts shall be new or have the approval of the Traffic Engineer. The City has the right to inspect the Contractor's records to verify any material costs used in extraordinary maintenance (ii) Direct Labor: The Contractor shall present with his monthly invoice a record of hours spent in extraordinary maintenance of traffic signals and appurtenances per intersection. City shall pay the Contractor for such hours of extraordinary maintenance at the rates specified on the Contractor's bid proposal. Said hourly City of Santa Ana RFP 24-046 Page Al-8 rates shall be the total cost to City. Rates shall include all compensation for wages, profit, overhead, any fringe benefits such as employer payments to, or on behalf of, work for health and welfare, insurance, worker's compensation, pension, vacation, sick leave or any local, state, federal, or union tax or assessment. (iii) Equipment: City shall pay the Contractor for equipment used in extraordinary maintenance on a job -trip basis rate as specified in the Contractor's bid proposal. The Contractor's job -trip equipment rates shall constitute the rates to be paid by the City when the specified equipment is used for the extraordinary maintenance. As used herein, job -trip shall mean the furnishing of the required equipment at the site of extraordinary maintenance work for the duration of the work. No additional compensation shall be paid for transporting equipment to or from the job site. 5. Meeting The City may call for meetings to be held with the Contractor, including personnel routinely assigned to work in Santa Ana, on an as needed basis without incurring additional cost to the City II. STREET LIGHTING SYSTEM MAINTENANCE 1. Scope of Work The Contractor shall furnish all tools, equipment, apparatus, facilities, labors, services, training and materials to perform all work necessary to maintain all street lighting facilities in a good and worker -like manner according to the proposal submitted and in accordance with these specifications. 2. Service Personnel The Contractor shall provide qualified service personnel to maintain and to service all street lighting equipment utilized by the City. Personnel shall have at least two years of experience maintaining and troubleshooting street lighting equipment, including high voltage circuits. All service personnel shall possess an NEC certification. The City reserves the right to refuse the use of any personnel whom in the City's sole opinion are not qualified to work on these systems. An agreed upon personnel list shall be maintained and only those listed are allowed to work in the city. Any changes needs to be authorized by the City. 3. List of Street Lighting _System For the purpose of this maintenance contract, the City of Santa Ana street lighting inventory is as shown on the maps in Appendix Attachment 5 including all safety lights in conjunction with the traffic signal locations listed in Appendix Attachment 4. See Appendix Attachment 5 for Street Lighting Map City of Santa Ana RFP 24-046 Page Al-9 4. Additions to System The Contractor shall maintain additional streetlights and appurtenant devices as they are added or installed. City will notify the contractor of such addition and the contractor shall include them in the maintenance contract. Cost of the routine maintenance of the new addition will be per contract unit price and will be effective the Vt day of the following month unless stated otherwise in the notification. The City may, at it sole discretion, add and eliminate streetlights and appurtenant devices from this contract. The contractor shall be notified of such addition or deletions in writing. Such changes shall increase or decrease the invoice at the same unit price as specified in the Contract Agreement. 5. Routine Maintenance The routine maintenance shall be performed on a periodically basis based on type of equipment. (a) Meter Pedestal: (i) Maintenance period: The Contractor shall perform a complete inspection and service of each signalized intersection once every (3) three months, for safety, operation and cleanliness. (ii) Maintenance Tasks: • Cabinets: The Contractor shall clean the cabinets thoroughly on the inside, including all components. The Contractor shall remove all unauthorized external attachments such as notices, posters, signs, etc. and notify the City of any graffiti that is on the streetlight equipment. It is not the Contractor's responsibility to remove the graffiti o Ancillary Equipment: The Contractor shall check all ancillary equipment (electrical breakers, contactors, photoelectric controls, etc.) in the cabinet for proper operation. Field Equipment: o The Contractor shall check all associated streetlight poles and standards for damages. o The Contractor shall check all luminaires for proper operation. • Maintenance Record: The Contractor shall maintain a record log in each controller cabinet showing the date and time of any service. It shall consist o£ o Routine Maintenance o Extraordinary Maintenance City of Santa Ana RFP 24-046 Page Al-10 All records shall be legibly written or printed. These record logs shall become property of the City. (b) Street Lighting Night Survey (i) Maintenance period: The Contractor shall perform a Citywide street lighting night survey once every (6) six months, for proper luminaire nighttime operation. (ii) Maintenance Tasks: • Field Inspection: o The Contractor shall visually check operation of all streetlights and safety lights luminaires within the City boundary including but not limited to Santa Ana owned lights, SCE owned streetlights and Caltrans owned streetlights over City roadways. • Maintenance Record: A written record (can be Excel spreadsheet) shall be submitted to the Engineer of each nonoperational streetlights and safety light. This written record shall be received by the Engineer within 5 working days after the survey. The Contractor shall maintain a record log of each survey. It shall consist of: o Survey Date and Time o Route Inspected o Pole number, intersection or address of non -operating light. o Inspection observation. All records shall be legibly written or printed. These record logs shall become property of the City. 6. Extraordinary Maintenance Extraordinary maintenance includes work tasks to install new, replace or repair defective or obsolete equipment and perform modification work not directly covered by routine maintenance. Work shall be performed with prior City approval unless emergency or public safety conditions require immediate response. (a) The failure or malfunction of streetlights may be considered extraordinary maintenance. (b) Any upgrading, repair work, or any installation solicited by the City, shall be considered as extraordinary. Any extraordinary maintenance requests from the City shall be confirmed by the Contractor as to the time of and number of personnel dispatched. The Contractor shall contact the Street lighting division regarding any extraordinary maintenance work found to be beyond requested repairs and seek prior approval before the work is scheduled. City of Santa Ana RFP 24-046 Page Al-11 (i) No underground work shall be performed prior to completion of Underground Service Alert (USA) markings. (ii) An electrical permit may need to be obtained prior to any additions to the City's street light or other electrical system. (iii) All extraordinary work completed by Contractor shall be invoiced time and material as specified on Contractor's bid proposal (c) Contractor shall respond to requests by City for extraordinary work within 24 hours of the request. Work shall start in a timely manner. Contractor shall dispatch personnel, materials and equipment on a daily until work is completed unless conditions do not allow work to be performed. 7. Emergency Service The Contractor shall provide emergency service to the City twenty-four hours a day, seven days a week upon City's request. Unless stated by the City at the time of request, the contractor will need to ascertain whether request is of an emergency nature requiring immediate response. Failure or malfunction of the street lighting system or interruption of normal operation as to create confusion or public hazard is considered emergency nature. (a) The contractor shall provide qualified personnel at the location within 30 minutes of receiving emergency request. (b) The Contractor shall make immediate or temporary repairs to City owned streetlight pole, service pedestal knockdowns, or damage caused by vehicle collision, acts of God, vandals, or as required because of a public safety hazard. If that is not possible due to the extent of the damage, sufficient temporary repairs shall be made to safely the area. In no event shall the electrical system be left exposed causing a safety hazard to the public. 8. Compensation For Routine And Extraordinary Maintenance (a) Routine Maintenance: Compensation for routine maintenance of street lighting system shall be per contracted unit price. Said compensation shall include all labor, material, equipment and overhead/profits. (b) Extraordinary Maintenance: Compensation for extraordinary maintenance of street lighting system shall be per contracted unit price. Said compensation shall include all labor, material, equipment and overhead/profits. For work not listed in the bid list, compensation shall be based on agreed lump sum price or time and material basis. (i) Materials: The City shall pay the Contractor for materials used in extraordinary maintenance, the Contractor's cost from the supplier plus the percentage specified City of Santa Ana RFP 24-046 Page Al-12 in the Contractor's bid proposal. All materials and parts shall be new or have the approval of the Traffic Engineer. The City has the right to inspect the Contractor's records to verify any material costs used in extraordinary maintenance (ii) Direct Labor: The Contractor shall present with his monthly invoice a record of hours spent in extraordinary maintenance of streetlights and appurtenances per address. City shall pay the Contractor for such hours of extraordinary maintenance performed at the job site address at the rates specified on the Contractor's bid proposal. Crews shall be dispatched so as to maximize work performed. Said hourly rates shall be the total cost to City. Rates shall include all compensation for wages, profit, overhead, any fringe benefits such as employer payments to, or on behalf of, work for health and welfare, insurance, worker's compensation, pension, vacation, sick leave or any local, state, federal, or union tax or assessment. (iii) Equipment: City shall pay the Contractor for equipment used in extraordinary maintenance on a job -trip basis rate as specified in the Contractor's bid proposal. The Contractor's hourly equipment rates shall constitute the rates to be paid by the City when the specified equipment is used for the extraordinary maintenance. As used herein, job -trip shall mean the furnishing of the required equipment at the site of extraordinary maintenance work for the duration of the work. No additional compensation shall be paid for transporting equipment to or from the job site. • The Contractor's listing of per day equipment rates shall constitute total rates to be paid by City when specified equipment is used. • As used herein per day shall mean the furnishing at the site of extraordinary maintenance work the equipment specified. The per -day rate shall be independent of the length of time the equipment is in the City. • No additional compensation shall be paid for transporting the equipment to or from the job site 9. Meeting The City may call for meetings to be held with the Contractor, including personnel routinely assigned to work in Santa Ana, on an as needed basis without incurring additional cost to the City III. SUMMARY REPORTS Contractor shall furnish the following reports and maintenance database: A. Traffic Signal System Routine and Extraordinary Maintenance Monthly Report City of Santa Ana RFP 24-046 Page Al-13 This report shall state the location in alphabetic order (north -south street first and then east -west street), date of the work (including the day of the week) performed in chronological order, arrival and departure time, and detailed description of work performed. B. Street Lighting_ System Routine and Extraordinary Maintenance Monthly Report This report shall state the location address in numerical order, date of the work (including the day of the week) performed in chronological order, arrival and departure time, and detailed description of work performed. C. Database for Maintenance Work 1. The City uses a computerized asset/work order system (Cityworks) to record all work performed against City owned assets. The Cityworks system is a mobile application and available for download using an iOS or Android device. 2. The Contractor will be required to utilize the City's computerized system (Cityworks) to record ALL maintenance work performed on the traffic signal and street lighting system. 3. The City will provide training and instruction to the Contractor on the use of the Cityworks system. 4. The Contractor will be required to obtain a cellular/Wi-Fi enabled Apple branded device to perform the required data entry in the field. The Contractor will be solely responsible for maintaining the device in working order to complete the required data entry for the City. IV. PAYMENT AND INVOICES A. Invoices for Traffic Signal System Maintenance The Contractor shall prepare separate invoices for routine maintenance and extraordinary maintenance. For extraordinary maintenance billings: 1. The Contractor shall prepare a general invoice to include all extraordinary billings that is less than $1,000 per intersection. 2. The Contractor shall prepare a separate invoice for each location when extraordinary billing is in excess of $1,000 per intersection. 3. The Contractor shall prepare a separate invoice for intersections that are shared with other jurisdiction listed in Appendix A or as requested by the Traffic Engineer. Payment shall not be made to the Contractor until the required reports and As-Builts have been properly submitted for work completed. B. Invoices for Street Lighting System Maintenance The Contractor shall prepare separate invoices for routine maintenance and extraordinary maintenance. For extraordinary maintenance billings: City of Santa Ana RFP 24-046 Page Al-14 1. The Contractor shall prepare a general invoice to include all extraordinary billings that is less than $1,000 per address. 2. The Contractor shall prepare a separate invoice for each location when extraordinary billing is in excess of $1,000 per address, a description of the repairs and a full itemized accounting of all material, equipment and labor costs. Payment shall not be made to the Contractor until the required reports and As-Builts have been properly submitted for work completed. C. Invoices Submittal The Contractor shall submit all reports and invoices in both paper and Microsoft Excel electronic file format to the City. 1. This contract does not include developing a new product so there will not be any technical data developed or originating for this project. • Yunex Traffic will indemnify Customer only for third party claims against Customer to the extent damages are a direct result of Yunex Traffic's negligence or willful misconduct. • Further, Yunex Traffic must be promptly informed of any third -party claims and have full control of all defense decisions and outcome, except Yunex will not do anything to expressly admit culpability of Customer without its written consent. • Yunex Traffic assumes that any liquidated damages and disincentives, however defined, described, or identified, are the sole and exclusive remedy for the related non- conformance, and that liquidated damages and disincentives shall never exceed an annual aggregate of 10% of the annual contract value. • Yunex Traffic assumes that all damages be capped at 100% of the contract price in the aggregate, and all indirect, consequential, special, incidental, punitive, and similar damages are expressly waived by the Parties. • Yunex Traffic assumes that it will have full control of defending and resolving infringement claims. • Yunex Traffic will allow audits 1) with reasonable notice, 2) at reasonable times, 3) for document specifically related to this project, but not including cost information. Information provided or obtained in the course of an audit, may not be removed, copied, transmitted, scanned, or photographed, or otherwise removed from Yunex premises. • Yunex Traffic assumes that all implied warranties not expressly agreed upon in the Contract are waived. The selected service company will be responsible for providing a continuing, comprehensive, routine, and extraordinary maintenance program for the City's equipment. The City's expectation is that the maintenance program will reduce the incidence of malfunctions, reduce complaints, promote safety, and proactively extend the longevity of the equipment, thus reducing the overall operating cost for the traffic signal/streetlight system. Our goal is always to exceed our customer's expectations. We have a broad range of experienced personnel including NEC and IMSA Level III Traffic Signal Maintenance personnel. The technicians assigned to this contract have over 62 years of combined experience managing and maintaining traffic signal, streetlight, fiber networks, and central systems. Our in-house traffic signal laboratories (located in Riverside) provide a full range of technical services including complete controller/cabinet testing, repair, and conflict monitor testing/certification. Services for this contract include the provision of appropriately trained personnel and equipment necessary to perform maintenance activities as outlined in your RFP. We understand that the general Scope of Work to be done consists of routine preventative maintenance and repair to your traffic signals and streetlights as well as general and emergency repairs of the same. Our Approach / Response Times To be able to respond immediately to emergency calls, Yunex Traffic's field technicians are authorized to take their work vehicles home daily. All work vehicles are stocked with proper field equipment so he/she may sufficiently address most problems they encounter while responding. Emergency response call outs and unscheduled repairs are initiated by calling our toll -free emergency phone number, 1-800-229-6090. A live dispatcher will be available 24 hours a day, 7 days per week, 365 days per year. Our dispatcher will create a work order in our visual planning board and once the work order is released, it will immediately transfer to our technician's queue on their mobile device. As part of our quality control practice, our dispatcher will follow up with a phone call to our technician to confirm that he/she is in receipt of the call out/work order. For emergency calls, the technician will arrive at the site within thirty (30) minutes to assess and correct the reported problem. We understand that throughout the term of a contract, those needs may change. We approach all our contracts with the same vision; build a partnership with the City's staff and work towards achieving common goals set forth through that partnership. We realize that this is an ever - evolving process and that is why we believe that the only successful route is through establishing common goals. This methodology and a commitment to service will be applied to every aspect of our services for the City of Santa Ana. Routine Maintenance We will execute a comprehensive monthly routine maintenance program as outlined in the City's Appendix Attachment 1 (Scope of Work), as recommended by the manufacturer, and as listed below. Yunex Traffic will also maintain, at the same unit price, additional traffic signals and appurtenant devices as they are installed or become a part of the maintenance requirements of the city. Yunex Traffic technicians will, at a minimum, perform the following tasks on the City's traffic control systems monthly: Routine maintenance is typically scheduled by the technician as they are more aware of the geography of the area. He/she will take into consideration contract requirements and your preference when scheduling routine preventive maintenance. Once our technician arrives at the location, he will complete a job hazard analysis (JHA) determining any potential hazards at the location. Following the JHA, they will secure the area with proper traffic control as referenced in the most recent editions of the CAMUTCD and W.A.T.C.H. Handbooks and in accordance with the city's traffic control requirements. Our technician will clean and vacuum the controller and battery backup cabinets (if equipped) and ensure the cabinet vents are un-obstructed, the air filter is clean, properly inserted, and secure (air filters will be replaced quarterly). During this process, your Yunex Traffic technician will perform the following checks inside the controller cabinet: M Confirm the controller cabinet is securely mounted to the foundation the seal for deterioration. Excessive dampness and plant/animal intrusion inside the controller cabinet will be reported to the city and repaired immediately. o Verify fan operation and ensure the thermostat is set to 85 degrees Fahrenheit and that there is sufficient airflow through the cabinet. o Inspect cabinet hardware (i.e., door gaskets, hinges, locks, etc.) for proper operation. We will also verify proper operation of all equipment displays and cabinet/controller indicator lamps. Deficiencies that pose a safety concern will be corrected immediately. o Semi-annually verify that controller software/firmware is up to date. Following the visual inspection, your Yunex Traffic technician will examine the functionality of the controller in relation to traffic at the intersection and confirm all phase and coordination timing is programmed correctly and is current based on the timing sheet located in the controller cabinet. In addition to monitoring phase actuation from vehicle/traffic, they will also confirm proper intersection cycling by manually placing vehicle and pedestrian calls on each phase through the cabinet test switches or the controller keypad to verify controller servicing of each phase. Yunex Traffic technicians will ensure your controller's date and time is correct and we will adjust all controller clocks within 48 hours of time changes related to Daylight Savings Time. This also includes confirming the correct date and time in all Conflict Monitor Units and Malfunction Management Units (CMU/MMU) during each visit. Your Yunex Traffic technician will check the controller log buffers and investigate any faults that may have surfaced since the last maintenance visit. CMU's/MMU's can be tested annually or as requested. Technicians will be ATSI CMU/MMU Test Equipment Certified. Individual test results will meet the city's documentation requirements and be available in each controller cabinet and an electronic file (USB) will be delivered to the city within 30 days after completing the testing. This test will also be documented on the routine maintenance log located in the controller cabinet. If requested, the cost for annual CMU/MMU testing will be billed on a time/material basis. The technician will confirm all detector loop cables are correctly identified, connected to the correct vehicle detector field terminals, and that a call is placed on the correct detector input, and that the input places a call on the correct controller phase. We will adjust or re - tune detector amplifiers and correct substandard splices, as necessary. Loops requiring re -seal or replacement will be documented and reported to the city immediately. If the intersection is equipped with video/radar detection our technician will verify that detection zones are properly structured. They will also verify proper camera operation by monitoring the vehicle call on the video processor unit and confirm that the calls are registering in the controller and actuating the correct phase in the controller. If equipped, your Yunex Traffic technician will check the battery back-up systems / uninterruptible power supplies (UPS) including checking/logging the battery and load levels. In addition, we will confirm all battery connections to ensure they are clean and secure. We will report any batteries that require replacement immediately. All events and run time will be documented inside each controller cabinet. Semi -Annual testing by electrical bypass for proper operation can be completed upon request on a time/material basis. Yunex Traffic will perform a semi-annual night check of safety lights/illuminated street name signs (IISNS) at all signalized intersections (if equipped) and all city -owned and SCE owned streetlights. Our findings will be submitted to the city and required repairs will be made according to the Extraordinary Maintenance schedule. Semi -Annual night checks are billed under Semi -Annual Routine Maintenance. Our technician will walk the intersection (clockwise and counterclockwise) and visually inspect all poles, signal heads, pedestrian signals, associated framework, and signal mounted signs for proper operation, alignment, and broken or missing parts. During this process, your Yunex Traffic technician will perform the following checks outside of the controller cabinet: o Depress all pedestrian push buttons and observe proper timing and display. o Visually inspect the loops for sufficient sealant or exposed loop wires. o Inspect pull boxes, pull box lids and hand -hole covers. Missing covers/lids will be replaced immediately. o Visually inspect all signal doors, back plates, and visors and confirm they are secure. o Remove unauthorized signs, stickers, and posters that can be easily removed from traffic signal poles and the controller cabinet. Graffiti will also be removed within twenty-four (24) hours of notification. o Prepare a list of locations where painting may be necessary, which will be submitted to the City for approval. Painting rates can be provided, if requested. The technician will lubricate cabinet door locks and padlocks semi-annually, unless required sooner.
