HomeMy WebLinkAboutASL CONSULTING ENGINEERS 1 -1999 Project # 3156 Account #66-579-6635 W.O. # Project Manager: Steve Worrall FOR CONSULTING SERVICES THIS AGREEMENT, made and entered into this ~-~ day of (j~_.~, 1999 by and between the City of Santa Ana, a municipal corporation of the State of California ("CITY") and ASL CONSULTING ENGINEERS, a California Corporation, hereinafter referred to as "Consultant. Recitals: W-I-T-N-E-S-S-E-T-H A. CITY desires to contract for civil engineering services for design of John Garthe Reservoir Improvements, Phase II WHEREFORE, in consideration of their mutual and respective promises, the parties hereto do hereby agree as follows: 1. CONSULTANT agrees to fulfill all the requirements set forth in Consultant's Proposal entitled John Garthe Reservoir Improvements, Phase II, and the scope of work contained therein. Said "scope of work" is attached hereto as "Exhibit A" and incorporated herein by this reference. Ail work shall be performed under the direction of CITY's Executive Director of the Public Works Agency or his designated representative. 2. CITY agrees to pay, and CONSULTANT agrees to accept for said services, a not to exceed fee of $319,000 for the scope of work specified in their Proposal. CONSULTANT shall be paid for services actually rendered. Any additional services performed by the consultant outside of the original scope of work must be authorized in writing by the CITY prior to commencing such work. In no case shall any additional services exceed $32,000 for a maximum contract amount of $351,000. The time of completion for the design portion of consultant's work shall be 12 months from the date of this contract. That portion of Consultant's work relating to construction support services shall be completed in conjunction with the actual construction schedule, which will be determined once the design is complete and a construction contract has been awarded. CONSULTANT shall periodically submit a detailed invoice showing services performed. Payment by CITY shall be within thirty (30) days following receipt of said invoice for work performed, subject to CITY accounting procedures. Notwithstanding the foregoing, payment need not be made for work which fails to meet the standard of performance specified in Section 4. 3. The CITY's Executive Director of the Public Works Agency, or his Designee, shall be the representative of the CITY and may issue all consents, approvals, directives, or agreements on behalf of CITY for by this AGREEMENT. Steve Tedesco, Vice President shall be the representative of CONSULTANT for purposes of this AGREEMENT. Notices and written communications sent by one party to the other shall be as follows: To the CITY: James G. Termination of Agreement This AGREEMENT may be terminated by the CITY before CONSULTANT's services have been fully performed, upon thirty (30) days written notice of termination to CONSULTANT. In such event, CONSULTANT shall be entitled to receive and CITY shall pay CONSULTANT compensation for all services performed by CONSULTANT prior to CONSULTANT's receipt of such notice of termination; provided, however, that as a condition of such payment, CITY may require CONSULTANT to deliver to CITY all work products completed as of such date. 5. Independent Contractor CONSULTANT is an independent contractor and not an employee of the CITY and all CONSULTANT's personnel shall be employees or subcontractors of CONSULTANT and not employees of CITY. CONSULTANT shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 6. Insurance A. CONSULTANT shall furnish CITY with an insurance certificate evidencing that it carries workers' compensation insurance and that the policy shall not be canceled nor the coverage reduced except upon thirty (30) days prior written notice to the CITY. B. CONSULTANT shall obtain at its sole cost and file with CITY, prior to exercising any right or performing any obligation pursuant to this AGREEMENT, and maintain for the period covered by this AGREEMENT, a policy or policies of general liability insurance or a certificate of such insurance from companies authorized to do business in the State of California, satisfactory to City Attorney of CITY, naming the City of Santa Ana, its officers, agents and employees, as additional insureds, which provides coverage not less than that provided in the form of a comprehensive general liability insurance policy against liability for any and all claims and suits for damages or injuries to persons or property resulting from or arising out of negligent operations of CONSULTANT, its officers, agents or employees. CONSULTANT shall furnish a certificate of such insurance to CITY prior to commencing services hereunder. Said policy or policies of insurance shall provide for general liability insurance with a combined single limit of not less than One Million Dollars ($1,000,000.00) per occurrence; professional liability (errors and omissions) insurance, with a combined single limit of not less than $1,000,000.00 per claim. Said policy or policies shall also contain a provision that no termination, cancellation or change of coverage of insured or additional insured shall be effective until after thirty (30) days notice thereof has been given in writing to CITY. CONSULTANT shall give to CITY prompt and timely notice of claim 5 made or suit instituted arising out of CONSULTANT's operations hereunder. CONSULTANT shall procure and maintain at its own cost and expense, any additional kinds and amounts of insurance which, in its own judgement, may be necessary for its proper protection in the prosecution of the work. 7. Subcontractors None of the services included in this AGREEMENT shall be subcontracted without prior approval of CITY, except as specified in the PROPOSAL. CONSULTANT shall be fully responsible to CITY for performance of subcontractors. 8. Assiqnabilit¥ CONSULTANT shall not assign or transfer any interest in this AGREEMENT, whether by assignment or novation, without the prior written consent of CITY; provided, however, that claims for money due or to become due from CITY under this AGREEMENT may be assigned to a bank, trust company or other financial institution, or to a trustee in bankruptcy, without such approval. Notice of any such assignment or transfer shall be promptly furnished to CITY. 9. Hold Harmless CONSULTANT shall indemnify and save harmless CITY, its officers, agents, and employees, from and against any and all damages to property or injuries to or death of any person or persons, including property of employees or agents of CITY, and shall defend, indemnify and save harmless CITY, its officers and 6 employees, from any and all claims, demands, suits, actions or proceedings of any kind or nature, including, but not by way of limitation, workers' compensation claims, resulting from or arising out of the negligent or wrongful acts, errors or omissions of CONSULTANT, its employees or subcontractors.. 10. Certification of Nondiscrimination By signing this AGREEMENT, CONSULTANT certifies that it does not discriminate in hiring on the basis of race, color, creed, religion, sex, age, marital status, national origin, ancestry, physical handicap or medical conditions. 11. Validity The invalidity in whole or in part of any provision of this AGREEMENT shall not void or affect the validity of any other provision of this AGREEMENT. 12. Law Governinq This Aqreement This AGREEMENT shall be governed by and construed in accordance with the laws of the State of California. 13. Exclusivity and Amendment of Aqreement This AGREEMENT supersedes any and all other agreements, either oral or in writing, between the parties hereto with respect to the services set forth in the PROPOSAL and contains all the covenants and agreements between the parties with respect thereto. Each party to the AGREEMENT acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on 7 behalf of any party, with respect to such services, which are not embodied herein, and that no other agreement or amendment hereto shall be effective unless executed in writing and signed by both CITY and CONSULTANT. Project kick-off meeting to review scope, schedule, budget and work plan. 2. Following status meetings (we have assumed a total of seven status meetings): a. Preliminary site layout including location of well, reservoirs, piping configuration, and discuss project phasing alternatives. b. Progress meeting to review City's comments on well drilling plans and specifications. c. Status meeting to discuss critical design issues (proposed bypass connections, chlorination, landscaping, and site improvements, etc.). d. Preliminary design of site, piping, reservoir, and wellhead plans including critical details. e. 50% completion stage progress meeting to review City's comments. £. 90% completion stage progress meeting to review City's comments. g. 100% completion stage to discuss bidding schedule. Presentations 1. Make three presentations to neighborhood groups, City staff and/or City Council. 2. Prepare pictorial renderings to be used at the public presentations. We have assumed three (3) renderings will be required. Project coordination, technical oversight and quality management. This will include a monthly status report to track the project schedule, expenditures, cash flow curve histogram, and identify potential delays and cost increases. TASK NO. 2 - PRELIMINARY SITE LAYOUT Preliminary Site Layout 1. Prepare preliminary site plan showing the location of the proposed reservoirs and Well No. 39. 2. Prepare preliminary piping configuration, including a suramary of the proposed operation flexibility. 3. Show proposed site work including new block walls, paving and site drainage. Project Phasing Alternatives 1. Prepare a design memorandum discussing project phasing alternatives. The memorandum will contain cost and schedule implications for each alternative. Preliminary Site Layout Submittal 1. Prepare letter submittal to the City of the preliminary site layout. 2. Meet with City and obtain comments, revisions, etc. City of Santa Ana JOHN GARTHE RESERVOIR IMPROVEMENTS PHASE II 1 ASL Consulting Engineers Scope of Work TASK NO. 3 - DRILLING OF WELL (work to be performed by RCS) Review of Existing Data 1. Collect from the City available testing, water level, specific capacity, and water quality data from existing Well No. 36 and Well No. 18. Perform a cursory review of this data. Investigate possible hydro-geologic influences of Well No. 36 and Well No. 18 on new well. Review of Technical Specifications 1. Review City's current technical specifications for new wells. 2. Propose changes/edits/additions as deemed necessary. 3. Finalize plans and specifications for drilling and testing of Well No. 39. 4. Meet with the City to review final plans and specifications. Preliminary Well Activities 1. Prepare for and attend pre-bid 2. 3. 4. 5. meeting and provide pre-bid clarifications and/or addenda, if necessary, for the new well. Provide assistance to the City in the review of construction cost estimates and drilling schedules from the chosen drilling contractor. Assist the City in the preparation of a National Pollutant Discharge Elimination System (NPDES) permit for the new well. Prepare for and attend a pre-construction meeting for the new well. Liaison with the City, ASL and the drilling contractor during mobilization to the well site. Do Field Monitoring of Well Construction (based on a pilot hole depth of 1325 feet bgs) 1. Provide experienced geologists to geologically log the upper 1100 feet of representative drill cuttings collected by the contractor. Full-time detailed geologic logging will commence at about 1100 feet below ground surface (bgs) and will continue to the proposed pilot hole depth of 1325 feet bgs. For this proposal, we have assumed an average overall drill rate of 10 feet per hour for drilling of the pilot hole. No aquifer isolation zone testing in the open borehole is anticipated during the pilot hole drilling. 2. Witness, review and analyze the electric logging of the pilot hole at the site and provide a review of geophysical logs. Correlate this electric log to the one in RCS files for nearby Well No. 36. Provide a casing completion recommendation to the City and the driller for the final rem diameter(s), casing depths, and perforation intervals for the new well. 3. Monitor, on a full-time basis, the installation of the recommended well screen, blank casing, gravel pack, and cement seal for the new well (anticipated final well depth is 1300 feet). This monitoring will be conducted on a full-time basis in order to observe contractor compliance with the technical specifications. We estimate at this time that approximately 400 to 450 feet of City of Santa Ana JOHN GARTHE RESERVOIR IMPROVEMENTS PHASE II ASL Consulting Engineers Scope of Work o louvers are to be interspersed at selective locations between the depths of 550 feet and 1300 feet. Casing, screen, gravel pack, and annular cement seal installation is estimated to require approximately 90 hours. Monitor well development by both mechanical and pumping methods for the new well. Monitoring of mechanical development will be conducted on a full- time basis whereas monitoring of pumping development will be conducted on a part-time basis. Samples of the discharge during mechanical development will be collected to monitor compliance with NPDES permitting. Mechanical development is estimated to require approximately 130 hours (including all concurrent NPDES monitoring) of full-time monitoring whereas field monitoring of pumping development is anticipated to require 30 hours of field monitoring, exclusive of field time during the step-drawdown test and the constant-rate aquifer test. Observe and monitor step-drawdown and constant-rate discharge testing of the completed well. Services will be full-time during step-drawdown testing and part-time during constant-rate discharge testing. We will also be present to observe spinner-testing of the well, if that task is performed. A final well- blend sample of groundwater will be collected near the end of the constant-rate discharge test for analysis by the City's laboratory. Summary of Operations Report 1. Prepare a Summary of Operations report summarizing well drilling, installation, development, and testing activities. Recommendations for the operational yield and final pump depth placement for the new well will also be provided. Provide three (3) copies of the report to the City. TASK NO. 4 - PRELIMINARY DESIGN Preliminary Site Plan 1. Prepare preliminary site plan showing two reservoirs and location of Well No. 39. 2. Show proposed site work including new block walls, paving, curb and gutter, landscaping, and site drainage. Bo Preliminary Piping Plan 1. Prepare preliminary piping plan showing proposed connections from existing facilities to new facilities. 2. Show proposed valves, meters, and flex tend couplings. Preliminary Well Head Plans 1. Prepare exterior elevation of the proposed well head building. 2. Prepare preliminary piping layout including well discharge line. Prepare preliminary layout of recommended chlorination facilities. Summarize noise control and soundproofing recommended for the well head facility. Select well pump based on recommendation based on well testing. Preliminary Site Improvements 1. Show demolition of old Bristol Reservoir, wood frame Well No. 14 and hydro- generating buildings. Show required grading/fill requirements. 2. Provide sketches of proposed modifications to Phase I reservoir. This will include modification of the west wall and roof extensions, proposed new roof coating, and proposed pedestrian security cage/bars on the stairway to the reservoir roof. 3. Provide sketches of the proposed modifications to the concrete stairs from the hydro-generation building into the underground vault. Preliminary Design Submittal 1. Prepare submittal to the City of the preliminary design. 2. Meet with City and obtain comments, revisions, etc. 3. Modify preliminary plans as required and resubmit to the City. TASK NO. 5 - GEOTECHNICAL INVESTIGATION (work to be performed by Converse) Preliminary Work 1. Assemble and review available geologic, boring, and earthwork information. 2. Perform a site reconnaissance. 3. Contact Underground Services Alert (USA) and City personnel to locate existing utilities at the site. Bo Field Drilling 1. Drill three (3) hollow-stem auger borings to depths of 30 to 50 feet. 4. 5. 6. The borings are proposed to be located northwest, west (at mid-reservoir), and southeast of the existing reservoir. At the northwest and southeast locations, a piezometer will be installed to measure the fluctuations in groundwater levels during the rainy season. Core the existing concrete reservoir bottom at two locations and dig shallow 5- to 1 O-foot deep hand auger borings. Perform Standard Penetration Tests. Locate and log all field exploration work, and obtain soil samples for laboratory testing. Record the groundwater level in each boring and subsequently in each piezometer. The piezometers will be protected so that readings can be taken up to, and possibly after, the time of construction. Perform laboratory tests on soil samples obtained from the exploration, tentatively including moisture content, density, gradation, consolidation, shear resistance, expansion, "R" values, compaction, and corrosivity tests (pH, chloride content, sulfate content, and resistivity). Interpret and evaluate the field and laboratory data. Engineering Report 1. Prepare engineering report containing conclusions and recommendations on: ao g. h. i. j. Submit Excavatability of site soils and the need for shoring. Site preparation and grading requirements. Acceptability of site soils for use as fill and backfill. Installation of associated piping. Foundation types, depths, and allowable soil bearing values. Design parameters for a piled foundation, if appropriate. Anticipated settlement. Lateral earth pressures for reservoir wall design. Liquefaction potential of site soils. Groundwater levels and the need for dewatering. five (5) copies of report to the City. TASK NO. 6 - FINAL CONSTRUCTION PLANS Construction plans will be CAD generated using Micro Station format. Plans will be clear and legible with all components clearly identified. All plans will be drawn at a minimum scale of 1"=20' unless otherwise approved by the City. Based on our previous experience, we envision the plan set will contain the following drawings: A. A new remote terminal units (RTU) and a telephone line will be provided. The bid documents will have an alternative bid for constructing one or two tanks. The City will provide the contract documents and "boilerplate" portion of the specifications. Specifications will be prepared in Microsoft Word 97 format. TASK NO. 8 - PLAN SUBMITTALS A Prepare structural calculations 1. Reservoirs. 2. Wellhead Facility. B. Prepare engineer's construction cost estimates for each submittal. Submit 50% complete, 90% complete and 100% complete plans and specifications for City review. Final submittal to the City will include mylar plan sheets, a hard copy of the specifications, electronic copies of the CAD files, and a computer disc containing the specifications. TASK NO. 9 - PERMITS ASL will provide the required calculations, exhibits, and back-up data for each of the following permits. We have assumed one meeting will be required for each of the permits. A. Coordinate and apply for City of Santa Aha Building Department Permit. B. Coordinate and apply for City of Santa Ana Electrical Department Permit. C. Coordinate and apply for County Flood Control Permit for the storm drain/well discharge construction into Santiago Creek. D. Obtain State Health Department approval of the new well design. Provide City with list of potential contractors. 2. Contact preferred contractors. Bo Assist City during Bid Period 1. Answer questions on the plans and specifications. 2. Assist City in review of bids. 3. Prepare bid tabulation. 4. Verify bids and references. 5. Make recommendations for award of contract. TASK NO. 11 - SHOP DRAWING REVIEW A. Log and track all shop drawing submittals. Review and process shop drawing submittals. Based on the proposed project, we have assumed that we will need to review a minimum of sixty (60) different shop drawing submittals. For the purpose of this proposal, we have assumed that each submittal will need to be reviewed only twice (the original submittal and one re-submittal). TASK NO. 12 - CONSTRUCTION SUPPORT SERVICES A. Attend pre-construction meeting. Respond to Contractor's "Request for Information" (RFI). 1. Track and respond to all RFI's. For this proposal, ° we have assumed approximately thirty (30) RFI's will require our response. Provide revised design details and clarification sketches in response to the Contractor's RFI. We have assumed approximately fifteen (15) revised details/clarification sketches will be required. Technical Assistance 1. Answer technical questions that arise during construction. 2. Prepare modifications to the plans as requested by the City and/or field personnel. 3. Evaluate and respond to contractor's request for change orders. We have assumed a total of eight change orders will need our response. 4. Perform periodic site visits to review construction progress. We have assumed a total of twenty (20) site visits will be required (two per each month of construction). D. Miscellaneous Printing and Reproduction. Review contractor's proposed testing and start-up procedure. 2. Analyze procedures with City staff. 3. Assist the contractor with any approved modifications to the testing and startup procedure. Prepare 0 & M manual based on information supplied by the contractor. Prepare record drawings based on data provided by the contractor and/or City construction manager. ITEMS NOT INCLUDED 1. The City will pay directly for NPDES permitting, all laboratory testing of water samples collected from discharge monitoring during development, and from the final well blend sampling after construction of the new well has been completed. 2. Reproduction and distribution of the plan and specification package to contractors. 3. Payment of all fees for permits and applications. 4. City will assist in processing plans for City and County issued permits. 5. The City will supply all necessary field survey for the project. 6. Distribution and mailing of all addendum. 7. Processing of Contract Documents. 8. Construction management services including contract administration, change order assistance, monitoring of construction schedule, field observation, and wellhead facilities testing.
