and between ASL Consulting Engineers, a Califomia co~oration (hereinafter "Consultant"), and
the City of S~ta Ana, a cheer city and municipal co~oration organized and existing under the
Constitution and laws of the State ot California (hereinafter "City").
RECITALS
A. The City desires to retain a consultant ha'ting special skill and knowledge in the field of
professional engineering services.
B. Consultant represents that Consultant is able and willing to provide such services to the
City.

In undertaking the performance of this Agreement, Consultant represents that it is
knowledgeable in its field and that any services performed by Consultant under this
Agreement will be performed in compliance with such standards as may reasonably be
expected from a professional consulting finn in the field.
NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the
terms and conditions hereinafter set forth, the parties agree as follows:
1. SCOPE OF SERVICES
Consultant shall perform those services as set forth in Exhibit A to this Agreement.
2. COMPENSATION
a. City agrees to pay, and Consultant agrees to accept as total payment for its services,
the rates and charges identified in Exhibit A. The total sum to be expended under this
Agreement, shall not exceed $52,600.00 during the term of this Agreement. Any additional
services performed by Consultant outside of the original scope of work must be authorized in
writing by the City prior to commencing said work. In no case shall any additional services
exceed $5,300.00, for a maximum contract amount of $57,00.00.
b. Payment by City shall be made within thirty (30) days following receipt of proper
invoice evidencing work performed, subject to City accounting procedures. Payment need not
be made for work which fails to meet the standards of performance set forth in the Recitals
which may reasonably be expected by City.
3. TERM
This Agreement shall commence on the date first written above and terminate on
,)"~ l~ t , 200_~_2, unless terminated earlier in accordance with Section 12, below. The term of
this Agreement may be extended upon a writing executed by the Executive Director of Public
Works Agency and the City Attorney.
4. INDEPENDENT CONTRACTOR
Consultant shall, during the entire term of this Agreement, be construed to be an
independent contractor and not an employee of the City. This Agreement is not intended nor
shall it be construed to create an employer-employee relationship, a joint venture relationship, or
to allow the City to exercise discretion or control over the professional manner in which
Consultant performs the services which are the subject matter of this Agreement; however, the
services to be provided by Consultant shall be provi;:led in a manner consistent with all
applicable standards and regulations governing such services. Consultant shall pay all salaries and
wages, employer's social security taxes, unemployment insurance and similar taxes relating to
employees and shall be responsible for all applicable withholding taxes.
5. INSURANCE
Prior to undertaking performance of work under this Agreement, Consultant shall
maintain and shall require its subcontractors, if any, to obtain and maintain insurance as
described below:
a. Commercial General Liability Insurance. Consultant shall maintain commercial
general liability insurance naming the City, its officers, employees, agents, volunteers and
representatives as additional insured(s) and shall include, but not be limited to protection against
claims arising from bodily and personal injury, including death resulting therefrom and damage
to property, resulting from any act or occurrence arising out of Consultant's operations in the
performance of this Agreement, including, without limitation, acts involving vehicles. The
amounts of insurance shall be not less than the following: single limit coverage applying to
bodily and personal injury, including death resulting therefrom, and property damage, in the total
amount of $1,000,000 per occurrence. Consultant shall supply City with a fully executed
additional insured endorsement in substantially the form attached hereto as Exhibit B upon
execution of this Agreement and shall be approved in form by the City Attorney.
b. Business automobile liability insurance, or equivalent form, with a combined single
limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for
owned, hired and non-owned automobiles.
c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300
of the Labor Code, Consultant, if Consultant has any employees, is required to be insured against
liability for worker's compensation or to undertake self-insurance. Prior to commencing the
performance of the work under this Agreement, Consultant agrees to obtain and maintain any
employer's liability insurance with limits not less than $1,000,000 per accident.
d. If Consultant is or employs a licensed professional such as an architect or engineer:
Professional liability (errors and omissions) insurance, with a combined single limit of not less
than $1,000,000 per claim.
e. The following requirements apply to the insurance to be provided by Consultant
pursuant to this section:

Consultant shall maintain all insurance required above in full force and
effect for the entire period covered by this Agreement.
Certificates of insurance shall be furnished to the City upon execution of
this Agreement and shall be approved in form by the City Attorney.
Certificates and policies shall state that the policies shall not be canceled
or reduced in coverage or changed in any other material aspect without
thirty (30) days prior written notice to the City.
f. If Consultant fails or refuses to produce or maintain the insurance required by this
section or fails or refuses to furnish the City with required proof that insurance has been procured
and is in force and paid for, the City shall have the fight, at the City's election, to forthwith'
terminate this Agreement. Such termination shall not effect Consultant's right to be paid for its
time and materials expended prior to notification of termination. Consultant waives the right to
receive compensation and agrees to indemnify the City for any work performed prior to approval
of insurance by the City.
6. INDEMNIFICATION
Consultant agrees to and shall indemnify and hold harmless the City, its officers, agents,
employees, consultants, special counsel, and representatives from liability: (1) for personal
injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims
for personal injury, including health, and claims for property damage, which may arise from the
negligent acts, errors or omissions of the Consultant or its contractors, subcontractors, agents,
employees, or other persons acting on their behalf which relates to the services described in
section 1 of this Agreement; and (2) from any claim that personal injury, damages, just
compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects
arising from this Agreement. This indemnity and hold harmless agreement applies to all claims
for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to
have been suffered, by reason of the events referred to in this Section or by reason of the terms
of, or effects, arising from this Agreement. The Consultant further agrees to indemnify, hold
harmless, and pay all costs for the defense of the City, including fees and costs for special
counsel to be selected by the City, regarding any action by a third party challenging the validity
of this Agreement, or asserting that personal injury, damages, just compensation, restitution,
judicial or equitab-le~r~lief due to personal or property rights arises by reason of the terms of, or
effects arising from this Agreement. City may make all reasonable decisions with respect to its
representation in any legal proceeding.
7. CONFIDENTIALITY
If Consultant receives from the City information which due to the nature of such
information is reasonably understood to be confidential and/or proprietary, Consultant agrees
that it shall not use or disclose such information except in the performance of this Agreement,
and further agrees to exercise the same degree of care it uses to protect its own information of
like importance, but in no event less than reasonable care. "Confidential Information" shall
include all nonpublic information. Confidential information includes not only written
information, but also information transferred orally, visually, electronically, or by other means.
Confidential information disclosed to either party by any subsidiary and/or agent of the other
party is covered by this Agreement. The foregoing obligations of non-use and nondisclosure
shall not apply to any information that (a) has been disclosed in publicly available, sources; (b) is,
through no fault of the Consultant disclosed in a publicly available source; (c) is in rightful
possession of the Consultant without an obligation of confidentiality; (d) is required to be
disclosed by operation of law; or (e) is independently developed by the Consultant without
reference to information disclosed by the City.
8. CONFLICT OF INTEREST CLAUSE
Consultant covenants that it presently has no interests and shall not have interests, direct
or indirect, which would conflict in any manner with performance of services specified under
this Agreement.
9. NOTICE
Any notice, tender, demand, delivery, or other communication pursuant to this
Agreement shall be in writing and shall be deemed to be properly given if delivered in person or
mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other
telegraphic communication in the manner provided in this Section, to the following persons:

A party may change its address by giving notice in writing to the other party. Thereafter,
any notice, tender, demand, delivery, or other communication shall be addressed and transmitted
to the new address. If sent by mail, any notice, tender, demand, delivery, or other
communication shall be effective or deemed to have been given three (3) days after it has been
deposited in the United States mail, duly registered or certified, with postage prepaid, and
addressed as set forth above. If sent by telefacsimile, any notice, tender, demand, delivery, or
other communication shall be effective or deemed to have been given twenty-four (24) hours
after the time set forth on the transmission report issued by the transmitting facsimile machine,
addressed as set forth above. For purposes of calculating these time frames, weekends, federal,
state, County or City holidays shall be excluded.
10. EXCLUSIVITY AND AMENDMENT
This Agreement represents the complete and exclusive statement between the City and
Consultant, and supersedes any and all other agreements, oral or written, between the parties. In
the event of a conflict between the terms of this Agreement and any attachments hereto, the
terms of this Agreement shall prevail. This Agreement may not be modified except by written
instrument signed by the City and by an authorized representative of Consultant. The parties
agree that any terms or conditions of any purchase order or other instrument that are inconsistent
with, or in addition to, the terms and conditions hereof, shall not bind or obligate Consultant nor
the City. Each pa~ty~b this Agreement acknowledges that no representations, inducements,
promises or agreements, orally or otherwise, have been made by any party, or anyone acting on
behalf of any party, which are not embodied herein.
11. ASSIGNMENT
Inasmuch as this Agreement is intended to secure the specialized services of Consultant,
Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior
written consent of the City and any such assignment, transfer, delegation or subcontract without
the City's prior written consent shall be considered null and void. Nothing in this Agreement
shall be construed to limit the City's ability to have any of the services which are the subject to
this Agreement performed by City personnel or by other consultants retained by City.
12. TERMINATION
This Agreement may be terminated by the City upon thirty (30) days written notice of
termination. In such event, Consultant shall be entitled to receive and the City shall pay Consultant
compensation for all services performed by Consultant prior to receipt of such notice of termination,
subject to the following conditions:
a. As a condition of such payment, the Executive Director may require Consultant to deliver
to the City all work product completed as of such date, and in such case such work product shall be
the property of the City unless prohibited by law, and Consultant consents to the City's use thereof
for such purposes as the City deems appropriate.
b. Payment need not be made for work which fails to meet the standard of performance
specified in the Recitals of this Agreement.
13. DISCRIMINATION
Consultant shall not discriminate because of race, color, creed, religion, sex, marital
status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited
by applicable law, in the recruitment, selection, training, utilization, promotion, termination or
other employment related activities. Consultant affirms that it is an equal opportunity employer
and shall comply with all applicable federal, state and local laws and regulations.
14. JURISDICTION - VENUE
This Agreement and all questions relating to its validity, interpretation, performance, and
enforcement shall be government and construed in accordance with the laws of the State of
California. This Agreement has been executed and delivered in the State of California and the
validity, interpretation, performance, and enforcement of any of the clauses of this Agreement
shall be determined and governed by the laws of the State of California. Both parties further
agree that Orange County, California, shall be the venue for any action or proceeding that may
be brought or arise out of, in connection with or by reason of this Agreement.
15. PROFESSIONAL LICENSES
Consultant shall, throughout the term of this Agreement, maintain all necessary licenses,
permits, approvals, waivers, and exemptions necessary for the provision of the services
hereunder and required by the laws and regulations of the United States, the State of California,
the City of Santa Ana and all other governmental agencies. Consultant shall notify the City
immediately and in writing of her inability to obtain or maintain such permits, licenses,
approvals, waivers, and exemptions. Said inability shall be cause for termination of this
Agreement.
16. MISCELLANEOUS PROVISIONS
a. Each undersigned represents and warrants that its signature hereinbelow has the power,
authority and right to bind their respective parties to each of the terms of this Agreement, and shall
indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to
City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn.
b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set
forth in the body of this Agreement.

Dear Mr. Saba:
ASL Consulting Engineers is pleased to provide our proposal for the Elevated Water Tank
Improvements Project. Our firm has a long and successful history of providing similar
services to communities throughout Southern California. We are very familiar with the
project from our previous work at the site.
Over the past 10 years ASL has been involved in the design and construction of hundreds of
water storage facilities. These projects include not only new construction but also the retrofit
of numerous existing facilities. Our staff is familiar with the latest CAL/OSHA, AWWA and
State Health requirements.
We have assigned a team of waterworks specialists who have extensive experience in
reservoir design and rehabilitation. In addition~ they have all worked previously with the City
of Santa Ana. The team includes Tom Epperson as Project Manager and Dale Wah as
Structural Engineer. Both of these individuals have over 20 years of waterworks design
experience.
Our team has carefully reviewed the existing report and has developed a comprehensive
approach and work plan to complete the project. Our goal is to provide the City with a set of
contract documents, which will be used to complete the reservoir improvements on time and
within budget.
As requested in the Request for Proposal, we have included our fee proposal in a separate
sealed envelope. Our team is available and is ready to begin work immediately upon receipt
of authorization. We look forward to once again service the City of Santa Ana.

UNDERSTANDING THE PROJECT
Our team has thoroughly reviewed the request for proposal and April 21, 1998 Report by
Tank Industry Consultants, Inc. (TIC). We are also familiar with the site from our past work
on the Elevated Tank.
The TIC report clearly lays out the recommended OSHA Safety-Related Deficiencies along
with the AWWA and Operational Deficiencies. The proposed Elevated Tank Improvements
include:
· Improvements to ladder rungs, safety climb devices and cages.
· Improvements to balcony and walkway safety railings.
· Improvements to roof manhole size.
· Improvements to drainage inside foundation ring.
· Improvements to roof vents, cathodic protection hand hole covers, and overflow
pipe.
· Upgrade existing inlet/outlet pipe and valve vault. ·
The TIC report clearly identifies the required improvements. This project will entail
preparation of plans and specifications required to clearly define the required improvements
and provide the design documents needed to bid the project.
Special care and attention is required to complete this type of rehabilitation project. The
following sections provide an overview of the general steps required and the anticipated
problems which must be properly dealt with.
Revie~v Existing Data - An accurate plan of the existing facility is critical for this
type of project. Our team will need to verify the existing conditions and insure
that our proposed improvements can be completed cost efficiently at the site. This
will require several site visits and field verifications. This type of project cannot
be correctly completed using only "as-built" drawings. Field verification will be
critical.
Review all Current Codes and Requirements - While the TIC report is an excellent
document it is over t~vo years old and could possibly need some revisions due to
recent code changes. As part of our services, we plan to accompany both a
CAL/OSHA inspector and a representative from State Health to the site to verify
current conditions and code requirements. In this way we can assure the City that
the complete project will meet all current code requirements.

UNDERSTANDING THE PROJECT
Construction Costs - Specialized projects of this type can have a wide fluctuation
in construction costs. The budget numbers in the TIC report look reasonable on an
item by item basis. However, in the current extremely busy construction market it
may be difficult to find contractors who are interested in this size of specialized
projecL
One of our challenges will be to obtain input from contractors and develop interest
in the project from several specialized contractors. This will help to insure that
competitive bids are receiVed and the project can be completed under budget.
In the next section we outline our detailed work plan and technical scope of services.

WORK PLAN
ASL Consulting Engineers proposes to provide the following detailed scope of work:
1. Preliminar7 Design
During preliminary design ASL will collect and review all "as-built" drawirfgs, reports
and calculations. Our team will visit the site and verify the existing conditions.
In addition, our team will accompany representatives from CAL/OSHA and State
Health to the site to determine existing conditions and to identify any applicable code
changes since the 1998 TIC report.
Preliminary plans will be prepared and reviewed with City staff and local specialty
contractors. Prior to the start of detailed final design drawings our team will evaluate
all comments and verify the construction cost estimate. This will help to ensure that
the project can be completed under budget.
2. Construction Plans
Plans and specifications will be completed in MicroStation format. The design will
meet the requirements of AWWA, City of Santa Ana, and Title 8 of California Code
of Regulations (CAL/OSHA).

WORK PLAN
3. Specifications
ASL will provide the technical specification portion of the special provisions and a list
of bid items. It is our understanding that the City will provide the contract documents
and "boiler plate" portion of the specifications.
Specifications will be prepared using Microsoft Word 97 format. The final submittal
to the City will include a hard copy and a computer disc of the specifications.
Construction Phase Support
ASL will provide construction phase support to the City during the bidding,
construction and final start-up phases of the project.

if required. We have assumed one 4 to 6 week bidding period.

ASL will respond in writing to all Requests for Information (RFIs) and provide
clarifications of the plans and specifications. We have assumed that
approximately 10 to 15 RFIs will be generated on this type of project. In
addition, we have assumed that two (2) RFIs could result in plan revisions.

ASL will evaluate and respond to contractor's request for change orders. We
have assumed that 2 to 3 change orders could be required on this project.
ASL will provide periodic site visits during construction to review progress
and attend construction meetings. We estimate that the total contract time will
be approximately seven (7) months broken down as follows:
· Submittals and Reviews 2 months
· Material Procurement 2 months
· Installation 2 months
· Touch Up and Final Acceptance 1 month

PROJECT TEAM
ASL Consulting Engineers has assembled a highly qualified project team. Our team has
extensive experience in the design and retrofitting of ~vater storage facilities.
Tom Epperson will be the Project Manager on the project. He will be responsible for all
day- to-day contact between the City and the Project Team. Tom has over 20 years of
experience and recently completed several projects for the City of Santa Ana. He processes
not only good technical, skills but also excellent communications and management skills.
Structural details will be prepared by our Chief Structural Engineer, Dale Wah. Dale has
over 25 years of experience in the design and retrofit of water storage tanks. He designed the
seismic upgrades to the Santa Ana Elevated Tank several years ago. He has also been
involved in over 50 water storage projects since joining ASL.
Mark Bush will serve as the lead design engineer and Steve Tedesco will provide overall
assistance, quality control and quality assurance.
All of our team members have previous experience working for the City of Santa Ana.
Resumes of our key team members are included. We do not plan on using any subconsultants
on the project.

reservoirs, having been involved in the design of over three dozen

reservoirs, the largest of which was over I0 MG. He has been a
featured speaker on the subject of the seismic retrofitting of circular

· Bristol Reservoir, Santa Aha -- This 25.5 MG reservoir project is
being constructed in two phases. The slab, walls, and vertical
buttresses were of post-tensioned concrete construction. The roof
is a two-way flat concrete slab.
· Seismic Retrofitting of Seven Steel Water Storage Tanks, City
of San Buenaventura -- Served as the Project Manager to perform
seismic retrofit design for both the tank structure and piping for
seven steel water storage tanks. Retrofit improvements included
installation of seismic uplift anchors and concrete ring beam
footings, wall shell reinforcing bands, and installation of flexible
pipe couplings and isolation of drain piping and overflow piping
from buried piping.
· Twin Oak Reservoirs, North San Diego County -- Principal
Structural Engineer for the design of two 33.0 MG concrete
prestressed circular strand wrapped reservoirs. The diameter of
both reservoirs is 388 feet.. The two-way concrete roof slab was
designed to support 3 feet of soil fill. When completed, they will
be the largest in capacity &their type in the United States.
· San Carlos Reservoir Rehabilitation, City of San Diego --
Prepared preliminary and final design for the rehabilitation and
seismic upgrade of this 30-year old 5.0 MG above grade,
prestressed concrete reservoir. Analysis included exterior and
interior concrete investigations to evaluate condition of prestressing
wires and concrete &lamination; structural analysis for seismic and
gra~iity loads; geotechnical investigations; and corrosivity
investigation. Recommended improvements included an interior
ring wall, chemical injection piping, recirculation pump, value
vault, reservoir access, site improvements, landscaping and tank
coating.

Preparation of plans, specifications and estimates for the structural
seismic and piping rehabilitation for two existing prestressed 1.3
MG circular concrete reservoirs, constructed in 1967. In addition,
ASL's workscope included design upgrade of the interior and
exterior access ladders and access hatches for current OSHA
requirements.
· Rowland Water District, Rowland Heights -- Prepared plans and
specifications for the construction of this 1.4 MG tank. The tank
design required the use of anchor chairs to secure the tank during a
seismic event. The tank has a horizontal design ground
acceleration of0.56g and vertical acceleration of 0.69g.
· Topanga Forks Reservoirs, Los Angeles County -- Principal
Structural Engineer of deep foundations for two identical 0.5 MG
circular piles. The systems were designed for a horizontal ground
acceleration of 0.56g.
· Structural Assessment of Water Storage Reservoirs and
Settling Basins, City of Monterey Park -- Structural assessment
of five circular concrete reservoirs and two circular concrete
settling basins, utilizing either concrete or wood framed roofs.
· Two 2.6 MG Signal Peak Reservoirs, Irvine Ranch Water
District -- Design of two prestressed circular concrete reservoirs:
one for reclaimed and one for domestic water. Both of these tanks
were completely buried.
· 3.7 MG Reservoir No. 2A, Pomona -- The design included two

· 5.2 MG Shopping Center II Reservoir, California-American
Water Company, Thousand Oaks -- This circular concrete
reservoir consists of post-tensioned floor, wire wound walls, and
conventional concrete roof and is partially buried.
· Potrero II, a 6.0 biG Reservoir, California-American Water
Company -- The 37-feet high walls' in this prestressed circular
reservoir are tensioned with grouted thread bars, vertically, and '
wire wound and shot created, horizontally.
· 5.0 big Reservoir No. 11, Rowland Water District -- This
prestressed circular reservoir is partially buried and due to the
unusual site, geology, and proximity of active faults, a special
seismic design has been performed.
· 1.0 MG San Simeon Reservoir, Office of Project Development,
State of California, Located near Hearst Castle -- This circular
resei-voir is completely buried. The walls have been tensioned with
seven wire, conventional strands anchored at the pilasters. The roof
consists of a two-way slab and is thoroughly waterproofed to carry
three feet of overburden.

This project included the construction of a new 750,000 gallon steel
reservoir and the demolition of an earthquake damaged 0.5 MG steel
tank reservoir. The new tank was constructed at the same location as
the existing tank, on a concrete footing ring and included seismic
holddowns anchors to reduce the chance of future earthquake damages.
This project was FEMA funded.
Developed seismic rehabilitation/repair program for the City's water
facilities damaged as a result of the Whittier Narrows earthquake of
October 1987. This included eleven concrete and steel reservoirs of
various configurations and types and five booster station buildings and
pumping plants. Our services included field investigation, design
analysis, and repair/rehabilitation recommendations.
ASL performed on-site seismic damage assessments for several steel
water reservoirs affected by the Landers earthquake of June 28, 1992.
These included the following:
