hert-,,ina.fter called "CARDEN GROVE" and the City of Santa .An,, a, municipal
corporation, hereinafter caileci "SAPI'A 10A".
WITINESSETH THA.'I':
WHEREAS no official agreement was Riade betweei.-.i the parties concerning the
improvement,, modification, operation and inaintenance of existing trRffLc
signal and laghting systeri at the intersertion of Westminster Avenue and
I-laarbor Bou-1evard after pnrtion of' the intersec.tic)n had been annexed by Santa Ana;
WHEREAS, a study has been com-pleted and canclusion drawn thaL traffic
conditions at the said intersection justifies the replacement of the eDcistinfr,
pre -timed traffic signal and iighting system by a modern, traffic -responsive
Lype traffic si_g,nal and a brighter lighting sys-terl 1,)Ius
overhead street name signs for the proper and orderly movement of traffic;
WHEREAS, partions of said pro.t..ier-Ity tire wiLhin the CiLy bou3-idaIj.E:,,S C)f

WHE,KFAS, it is the desi-re of the parties hereto to set out their
respective rights and obligations concerning the improvement, modit"i c ati oil,

performed and to be performed, the parties herein agree as follows:

estimiated not to exceed $34,500.00 and shall initially be borne by
SANTA ANA.
Fol-lowing com.p-LeLion of construction, GARDEIN GROVE shaLL, upo.n rece].pt
of proper demand, r(--I.xiburse SPd%]TA ANA in an amount, c-,qual to twel'Ity-
five percent (2,)%) of the total cost. GAITEN GROVE also
plans, to finance,, their share of the costs with 'TOPTCS funds.
4 After completion of the signal replacement project, the sa-ld tr,,),IT,Ic

ANA. Any modi.f.'ication to the said traffic signai and lighting system
shall. first 'be approved by GARDEN GROVE.
5. ThJs, agreement shall cover all. improvements and madifications of this
traffic signal and 1.1 ght 1. ng system in the fi-iture un.-Less notified
otherwise by either party,
6. SANTA ANA shall have jurisdiction of the construction area within, the

costs as the munber of legs under GARDEN GROVE's jurisdiction entering

*2 3 1. The parties hereto agree to share the engineering, admin.i.stration,
24 construction and inspection costs of' tiic installation of internally-
25 il.Lirninated overhead street, name signs in -the same ratio as the
26 nunl)er of legs under each I raxty's jurisd-lction entering the
27 intersection are to the total number of iegs entering the inLersection.
28 The total cost of said signing project, -is pi-esently estimated r[r,)t
29 to exceed $3,000.00 and shall initially be borne by SPINTA AEA,

plans to finance their share of the costs with TOPICS funds.
4. SANTA ANA shall have jurisdiction of the construction area within
the project limits.
5. At all times during the progress of the construction of the project,
GARDEN GROVE shall have access to the work for the purpose of inspectio
thereof and should GARDEN GROVE deem any remedial measures to be
necessary, GARDEN GROVE shall notify SANTA ANA thereof.
6. After completion of the signing project, the recommended signs,
traffic signals and lighting shall be maintained or modified by
GARDEN GROVE. Any modification to the illuminated signs, traffic
signal and lighting system shall first be approved by SANTA ANA.
7. This agreement shall cover all improvements and modifications of
illuminated signs, traffic signal and lighting system at the
intersection of Westminster Avenue and Euclid Street in the future
unless notified otherwise by either party.
8. Upon annual submission by GARDEN GROVE of maintenance, modification
and energy costs, SANTA ANA shall pay to GARDEN GROVE its proper
share of said costs which shall be in the same ratio to the total
costs as the number of legs under SANTA A7W s. jurisdiction entering
the intersection are to the total number of legs entering the
intersection, said ratio presently being 25%.
9. Costs for right of way and road construction work on any leg shall
be borne by the agency which has jurisdiction over that leg.
