PARTIES: The parties to this Memorandum of Understanding (MOU) are Lutheran Social Services of Southern California ("Subrecipient") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California through its Community Development Agency ("City" or "Community Development Agency"). Community Development Agency and Subrecipient shall hereinafter singularly be referred to as "Party" and collectively as "Parties." PURPOSE: The Community Development Agency Staff, in conjunction with the Subrecipient, endeavors to establish a cooperative working relationship between the Parties in order to provide program beneficiaries with low -barrier -to -entry domestic violence victim services in Orange County through the Victim Intervention Program (VIP). The MOU establishes the relationship framework between the City of Santa Ana and Lutheran Social Services of Southern California, specifically in the service delivery of the VIP program. The program will provide services that directly assist victims of domestic/victims of intimate partner violence and their children by increasing access to and retaining safe, permanent housing, financial stability, and tailored supportive services to ensure they achieve safety, recovery, and self-sufficiency. The goal is to ensure that all program beneficiaries have access to and benefit from screening and needs assessments, emergency assistance and housing stabilization services, behavioral health counseling, intensive case management, independent living skills, victim advocacy, comprehensive supportive services, and follow- up and evaluation. 3. RESPONSIBILITIES: A) The Community Development Agency Staff will perform the following: 1) Provide referrals from inquiries from the public to Subrecipient for possible participation in the VIP, as an applicable resource to the public, within the discretion of the Community Development Agency. B) Subrecipient will perform the following: 1) Provide intake of referrals from the Community Development Agency and administer the VIP, including but not limited to the following tasks a) Provide screening and needs assessments to identify danger, medical needs, legal and law enforcement needs. b) Provide emergency assistance to meet physical needs, such as food, hygiene, clothing, and transportation. c) Provide free -of -cost in -person and telehealth behavioral health counseling services. d) Provide one-on-one case management sessions to provide direct service referrals and resource linkages. e) Provide independent living skills through case management, counseling, and support groups. Services are focused on assisting participants to develop critical life skills and coping skills that are essential functions to regaining their confidence, safety, and self-sufficiency. f) Provide support and education to participants regarding victim rights, legal systems and processes, medical processes, and law enforcement functions. g) Refer participants in need of additional community support services and resources to the City of Santa Ana and to other participating organizations in the CDBG cohort. 4. DURATION: This MOU shall commence on September 1, 2024, and shall remain in effect through June 30, 2025, with the option for the City to grant up to two 1-year renewals, exercisable by a writing by the City Manager and City Attorney, unless terminated earlier in accordance with Section 10 below. 5. AMENDMENTS: Either Party may propose amendments to this MOU at any time by providing written notice to the other Party. However, this MOU may not be modified except by written instrument signed by the City and authorized representative of Subrecipient. . 6. CONFIDENTIALITY: If Subrecipient receives information, which due to the nature of such information is reasonably understood to be confidential and/or proprietary, such information shall not be used or disclosed except in the performance of this MOU, and Subrecipient agrees to exercise the same degree of care it uses to protect its own information of like importance, but in no event less than reasonable care. "Confidential Information" shall include all non-public information. Confidential information includes not only written information, but also information transferred orally, visually, electronically, or by other means. Confidential information disclosed to either Party by any subsidiary and/or agent of the other Party is covered by this MOU. The foregoing obligations of non-use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of Subrecipient disclosed in a publicly available source; (c) is in rightful possession of Subrecipient without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e) is independently developed by Subrecipient without reference to information disclosed by the City of Santa Ana. 7. ACCESSABILITY: Subrecipient will assure that its services and premises are accessible to persons with disabilities pursuant to the requirements of the Americans with Disabilities Act. 8. HOLD HARMLESS CLAUSE: None of the Parties hereto shall be liable for any bodily injury, death or damage to property proximately resulting from the negligent, wrongful or willful acts or omission of any other Party's employees in the performance of this MOU. Each Party shall be responsible for the acts, errors or omissions and conduct of its own employees. 9. DISCRIMINATION: Subrecipient shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, gender identity, gender expression, gender medical conditions, genetic information, military and veteran status, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities. Subrecipient affirms that it is an equal opportunity employer and shall comply with all applicable federal, state and local laws and regulations. 10. TERMINATION: Any Party may terminate this MOU, with or without cause, upon 30 days' written notice given to the other Party. 11. SEVERABILITY: If any part of this MOU is found to be null and void, unenforceable, or is otherwise stricken, the rest of this MOU shall remain in force and effect. 12. JURISDICTION: Both Parties agree that Orange County, California shall be the venue for any dispute in connection with this MOU. . 13. AUTHORITY AND SIGNATURES: The individuals signing this MOU have the authority to commit the Party they represent to the terms of this MOU, and do so commit by signing.
