THIS AGREEMENT, made this day of I
198p, by and between FIRST BAPTIST CHURCH OF SANTA ANA, a
California non-profit corporation, hereinafter referred to
as "Grantor", and the CITY OF SANTA ANA, a municipal corpo-
ration of the State of California, hereinafter referred to
as "Grantee",
W I T N E S S E T H:
Recitals:

commonly known as 1010 West 17th Street, city of Santa 7Ma,
Orange County, State of California, hereinafter referred to
as the "servient tenement", and described as follows:
See attached Exhibit "A"
B. Grantee desires to acquire certain rights in the
servient tenement.
NOW, THEREFORE, it is agreed as follows*.
1. For valuable consideration, Grantor hereby grants
to Grantee an easement as hereinafter described.
2. The easement granted herein is an easement in
gross.
3. The easement granted herein is a right-of-way for
access purposes.
4. The easement granted herein is located as follows:
See attached Exhibit "B"
5. The easement granted herein is non-exclusive.
6. The easement granted herein is limited to use by
Grantee's emergency vehicles and may be used by such vehicles

whether or not they are responding to an emergency.
7. Grantee covenants to Grantor that Grantee will
cooperate with Grantor to extinguish this easement at such
time as the use, or anticipated use, of the adjacent property
for office -office condominium purposes is terminated or
discontinued.
3. This instrument contains the entire agreement
between the parties relating to the rights herein granted,
and the obligations herein assumed. Any oral representations
or modifications concerning this instrument shall be of no
force and effect excepting a subsequent modification in
writing, signed by the party to be charged-
9. In the event of any controversy, claim, or dispute
relating to this instrument or the breach thereof, the
prevailing party shall be entitled to recover from the
losing party reasonable expenses, attorney's fees and costs.
10. This instrument shall bind and inure to the benefit
of the respective heirs, personal representatives and successors
of the parties hereto.
IN WITNESS WHEREOF, the parties hereto have executed
this instrument the day and year first above written.

EXHIBIT "A"
LEGAL DESCRIPTION
All that certain improved real property in the City of Santa
Ana, County of Orange, State of California, described as:
Commencing at a point on the North line of Section 12, in
Township 5 South, Range 10 West, San Bernardino Base and
Meridian, 45.88 chains West from the Northeast corner
thereof; running thence South 7.773 chains to the North line
of the land conveyed by Sarah A. Ross to David E. Ross by
deed recorded in Book 119, at Page 69, of Deeds, records of
said Orange County; thence West along the North line of the
land conveyed to said David E. Ross, 3.86 chains; thence
North 7.773 chains; thence East 3.86 chains to the point of
beginning;
EXCEPTING THEREFROM the portion occupied by Seventeenth
Street.
EXHIBIT "B"
LEGAL DESCRIPTION
A twenty (20)'foot wide unobstructed easement lying within
that certain parcel described in a Deed recorded in Book
2261, Page 638 of Deeds, official Records of Orange County,
California, the center line of which is described as follows:
Commencing at a point on the North line of Section 12,
Township 5 South, Range 10 East, San Bernardino Base and
Meridian, 45.88 chains West from the Northeast corner thereof;
thence South 6.523 chains to the true point of beginning,
said point being the beginning of a non -tangent 0.606 chain
radius curve, concave Northeasterly, said point also lies on
the westerly line of Parcel 1 as shown on the Parcel Map
recorded in Book 148, Pages 1 and 2 of Parcel Maps in the
Office of the County Recorder of orange County, California,
and proceeding thence 0.952 chains along the arc of said
non -tangent curve, through a central angle of 900 00' 00",
to a point on a tangent line; thence North 5.129 chains
along a line parallel and 0.606 chains Westerly of the
Easterly line of said certain parcel and the Westerly line
of said Parcel l to a point on�the southerly line of Seventeenth
Street, fifty-two (52) half width, said point being a point
of termination. -
