1 THIS AGREEMENT, made and entered into this llay of Azlr : zJ
2 19 �1� by and 'between the CITY OF SANTA ANA , a municipal
3tcorporation, hereinafter referred to as the "CITY." and the COUNTY OF ORANGE, a
olitic � p 41 subdivision of the State of California hereinafter referred to as the "COUNTY."
51 WITNESSETH:
61 WHEREAS, the Board of Supervisors by Resolution No. 74-369 dates March 20,
711974, adopted Amendment No. 4 to the Master Plan•of Countywide Bikeways to serve the

glentire COUNTY including the incorporated cities thereof, end
9 WHEREAS, the Board of Supervisors has by appropriate action, provided in the
i d budget for the Fiscal Year 74-75 funds for the construction of bikeways within the
11 1incorporated cities of -the COUNTY, which bikeways are a part of the COUNTY'S Master
12 Plan of Countywide Bikeways, and
13� WHEREAS, the Board of Supervisors by Resolution No. 74-139 adopted the formal
1¢procedure for the administration of the Countywide Bikeway Financing Program, which
15 procedure is outlined in a document on file with the County Clerk, formally known as
16 the.County of Orange Countywide Cooperative Bikeway Financing Program Procedure Manual,
17 and

18 �� WHEREAS, it is mutually agreed between the parties that a portion Of the
19�1 Talbert -Southern Pacific Bike Route from the Santa Ana River to
20111 Flower Street in the City of Santa Ana (Phase T)
221included in the Orange County Master Plan of Countywide Bikeways is a ui.k wayjs of

eneral COUNTY interest and should be constructed in accordance with the policies,
24Iprocedures and standards of the Countywide Cooperative Bikeway Financing Program.

25llSaid work of such construction shall be referred to hereinafter as Project/s.

INOW, THEREFORE, IT IS AGREED by the parties hereto as follows:

27+ 1:. CITY shall adopt a Master Plan of Bikeways within its boundaries in sub-
23jstantial conformance with the Master Plan of Countywide Bikeways.
2911 2, CITY at its expense shall acquire necessary rights -of -way.

30, 3. CITY shall plan, engineer and administer project?
3I!' 4. COUNTY assistance on a 50-50 matching basis shall be

)il 5. CITY shall notify the Harbors, Beaches and Parks District of the award
2�Io€ contract and furnish a cost breakdown of the major items of expense.
6. Any necessary or desirable changes of the plans and specifications after

,d a contract has been awarded shall be effected by the CITY. Costs associated with j
;41these changes shall qualify for matching assistance as long as the contract amount and
Q,1change orders are within the limits -of the COUNTY'S participation in the project.
-i; 7. COUNTY shall transfer to CITY 90 percent (90%) of the COUNTY'S share of

g;ithe construction contract or 90 percent (90%) of the project/s allocation, whichever

c ' is less, upon notification of the award of contract and submittal of an invoice.
8. Upon completion of construction, CITY shall.submit copies of hills,

11lauditor warrants and other documents substantiating expenditures, along with its request'

2 Ij for payment of the balance due.

2510. After completion of construction, CITY shall maintain the structures and

27 'j 11. The policies, procedures and standards outlined in the Countywide Bikeway
28 !'IFinancing Program Procedure Manual herein referred to are made a part heresy as fully
-)9�1 as if set out here at length and the parties hereto agree to be bound thereby.
j0 IN WITNESS WHEREOF, CITY has caused this agreement to be executed by its
