a municipal corporation hereinafter designated
as "CITY", and
COUNTY OF ORWGE,
a political subdivision of the State of
California, hereinafter designated as "CO72TZY"
WFMESSETH:
WHEREAS, considerable traffic presently exists and is progressively in-
creasing on Red Hill Avenue between Barranca Road (Dyer Road) and Warner Avenue; and
WHEREAS, traffic conditions warrant the addition of interconnect and other
equipment at existing traffic signals to provide a system of coordinated intersections
for the benefit of traffic progression hereafter referred to as the "System"; and
WHEREAS, traffic conditions at the intersection of Red Hill Avenue and Warner
Avenue -viarrant the installation of traffic control signals and highway intersection
lighting to facilitate the safe and orderly movement of traffic; and
WHEREAS, CITY is willing to cooperate with CCTL7_1TTY for the construction of
said System 9-nd the traffic signal and highway intersection lighting installation
hcroina�4't-cr referred -to as the "Pf-oject".
NOW, THE RTEFORE, IT IS AGREED by the parties hereto as follows:
1. The Project shall include:
A. Said System, which encompasses installation of telephone inter-
connect equipment and all traffic signal modifications listed on
Exhibit "A" attached and made a part hereof.
B. Said traffic signal and highway lighting system at the intersection
of Red Hill Avenue with Warner Avenue, which shall include a three
phase type 90 controller with two (2) volume density modules, one (1)
left turn mod -,ale, one (1) standard :module with integrated pedestrian
timing, and three dial coordination unit.
11. COUNTY SHALL:
A. Prepare the detailed plans, specifications and estimate for the
Project.
B. Have Jurisdiction of the construction area on the project within CI7.7

Be and is hereby designated as the contracting and construction

agent for the parties to do and perform all acts necessary or

repaired in order to construct the Project in accordance with the
4
plans and specifications, including material control, inspection
5
of the construction work, and to execute and deliver aU documents
6
necessary or required in connection with the construction and
7
completion of said Project, including certificate of day labor,
equipment and material cost and certification of completion of the
9
Project.

III. CITY
SHALL:

A.
Approve plans and specifications as to design and construction

features affecting the construction operation and maintenance of

the portion of the Project within CITY.

B.
At all time during the progress of construction of the Project

have access to the work for the purpose of inspection thereof and
16
should CITY deem any remedial measure; to be necessary, CITY shall
17
notify the Road Commissioner of CO-WTY thereof.

III, Upon
completion of the Project, CITY's share of the cost of sa4d-

A.
System, -shall be based on the contract lump sum bid price for
20
said portion of the contract, and be in the ratio of the number of
21
traffic legs of highways under its jurisdiction to the total. number
22
of legs entering all of the signalized intersections within the
23
System limits, all as shoian more particularly on Exhibit "A", as
24
the city limits exist at the time the Board of Supervisors advertise
25
the contract for the Project.

B.
Traffic signal and intersection lighting at Red Hill Avenue and
27
Warner Avenue shall be based on the contract lump seam bid price
28
for said portion of the contract, and be in the ratio of the num'oer
29
of traffic legs of the intersection lying within its jurisdiction to

the total nurcoer of legs entering the intersection, all as more
31
particularly sho-w*n. on Exhibit "A", as the city limits exist at the
32
time the Board of Supervisors advertise the contract for the Project.

V. CITY's share of design, survey and construct�.on '�rgineering costs
shall be the actual costs accrued to the CIT, portion based on the
percentage of the total contract unit costs billed to CITY.
VI. Upon completion of the Project, COUNTY agrees to submit full, true
and correct copies of documents, certificates and itemized bills to
CITY and CITY shall reirnburse COTJWFf within ninety (90) days upon
submission of startement of such costs for the CITY portion of the
construction as defined by paragraphs IV, V, and VI hereof. Such
bills shall be based on the actual quantities of construction and
the contract bid prices, and shall include a charge for overhead on
the engineering and inspection performed by COUNTY.
VII. It is mutually understood that Project will be financed with TOPICS
funds. CITY hereby authorizes transfer of $5,140 more or less in
CITY TOPICS funds to COUNTY for 'CITY's TOPICS portion of Project.
VIII. The total cost to CITY is presently estimated to be $7,130 and the
total cost to CO-ONTY is presently estimated to be $27,370.
IX. It is mutually agreed by the parties hereto that:
A. COUT11TY shall maintain said System and P-11 traffic signls therein.
B. The maintenance and operational costs for said System and traffic
signal and intersection lighting installation shall be borne by
the parties hereto in accordance with the terms of the traffic
signal and highway lighting maintenance agreement No. 369-313.
C. That neither COUNTY nor any officer or employee thereof shall be
responsible for any damage or liability occurring by reason of
any -thing done or omitted to be done by CITY under or in connection
with any work, authority or jurisdiction delegated to CITY under
this agreement. It is also understood and agreed that, pursuant
to Government Code Section 895.4, CITY shall fully indemnity and
hold COUNTY harmless from any liability imposed for injury (as
defined by Government Code Section 810.8), occurring by reason
of any -thing done or omitted to be done by CITY under or in connectic

with any work, authority or jurisdiction delegated to CITY under this
agreement.
D. That neither CITY nor any officer or employee thereof shall be

work, authority or jurisdiction not delegated to CITY under this
agreement. It is also understood and agreed that, pursuant to
