~-,2 - THIS FIRST AMENDMENT TO CONSULTANT AG~EMENT, is entered
into this [~ day of ~ , 2003, by and between Rainm&er Thi~ing, Inc., a
Co~ecticut co~oration ("Consult~t") ~d the City of S~ta Ana, a cha~er city and
municipal co~ormion of the Stme of California ("City").
Recitals:
A. The parties entered into Agreement No. N-2003-006, dated January 31, 2003,
(hereinafter "said Agreement") by which Consultant has presented a staff workshop
related to training in management development, particularly "managing the
generation mix".
B. In accordance with the terms and conditions of said Agreement, the parties wish to
amend the Scope of Services and Compensation to provide additional training.
Wherefore, in consideration of the covenants contained in said Agreement, and subject
to all the terms and conditions of said Agreement, except those amended in this First
Amendment to Consultant Agreement, the parties agree as follows:
1. Section 1, SCOPE OF SERVICES, shall be amended to read as follows:
"Consultant shall perform those services as set forth in Exhibit A to said Agreement.
Additionally, Consultant shall present a session that expands on the original
"Managing the Generation Mix" presentation and another session of the original
presentation, as set forth in Exhibit A-l, attached hereto."
2. Section 2 a., COMPENSATION, shall be amended to read as follows:
"City agrees to pay, and Consultant agrees to accept as total payment for its services,
the rates and charges identified in Exhibit A to said Agreement and Exhibit A~ 1,
hereto. Consultant's compensation under said Agreement and this First Amendment
shall not exceed $3,500.00 per day for the presentation, plus those reasonable
incidental expenses explicitly referenced in Exhibit A and A-I. The total sum to be
expended during the term of said Agreement shall not exceed $10,000.00, including
expenses."
3. Section 9, NOTICE, shall be amended to add the following recipient for courtesy
copy:

4. Except as amended herein, the terms and conditions of said Agreement shall remain
in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Consultant Agreement on the date and year first written above.

LETTER OF INTENT
By this letter, RainmaketThinking, Inc. of New Haven~ Connecticut CRainmakerThinking*) sets
forth its intent to provide services as here described for the City of Santa Aha ("Client"):
On June 6, 2003, in Santa Aha, CA, from ~0:00am to 12:00noon, Heather Ncely will lead a session
with approximately fifteen people from Executive Management that expands on the Managing the
Generation MixTM presentation that Heather delivered on March 19, 2003. Then, following lunch,
from l:00pm to 3:00pm, Heather will deliver her Managing the Generation MixTM presentation for
managers and supervisors who were unable to see her on March 19, and for anyone else interested in
the topic.
Client will t~av RainmakerThinkin~ a fee 0£$3500, 100% payable by June 7. 2003. plu~all related
travel (includine fully refundable airfare~, lodgin~ and other incidental expenses, pa~,able by June 7,
2003.
Client acknowledges that this fee reflects a substantial discount from RainmakerThinking's ordinary
fee and, in consideration for that discount, Client promises and agrees to hold confidential all of the
terms and conditions &this letter agreement.
