RECITALS 1. The CITY and CONTRACTOR entered into that certain agreement entitled "Professional Services Agreement," dated as of July 1, 2001, hereinafter referred to as "said Agreement', for the provision of shopping -cart retrieval services. 2. Said Agreement provided for a one-year agreement with 2 one-year options to renew for an amount not to exceed $84,000.00. 3. The Parties hereto now desire to amend Section 2, Compensation, and Section 3, Term, of said Agreement in order to provide continuous uninterrupted services to the City under the Agreement. WHEREFORE, in consideration of the mutual and respective covenants hereinafter set forth, and subject to the terms and conditions hereof, the parties hereto do hereby agree as follows: A. Section 3, the "Term" of said Agreement is amended to extend for a period of / Y_&W , beginning ✓d / 2002, and ending on or before ✓uc/6 30, 2003 with a one-year option to renew. B. Section 4, the "Compensation" term of said Agreement is hereby amended to reflect an increase in compensation of $84,000.00 in order to provide continuous uninterrupted service. C.
