INSURANCE NOT REQUIRED 'WORK MAY PROCEED CLERK OF COUNCIL DAm ;).- .:;-4--Df- N-2004-012 ~~ 1.J~IW"'I"':i.J'.:J""<I:/C.J;j;j[<I~:~ Site License Ålrreement This agreement is made the ..l ~;J,D/O'/- by and between Cop Ware, Inc., a corporation organized and existing under the laws oft e State of CalIfornia with Its registered office at 4565 Industnal St., Umt 7B, City ofSimi Valley, County of Ventura, State of California, hereafter referred to as Cop Ware, and City of Santa Ana, 60 Ciyic Center Plaza, Santa Ana, CA 92702, a charter city and municipal corporation duly organized and existing under the constitution and laws of the State of California. Recitals CopWare is authorized by the Department of Justice, State of California, to produce, market, and distribute the California Peace Officers Legal Sourcebook (CPOLS) in a computerized format. Further Cop Ware reproduces in electronic format the California Penal and Vehicle Codes, herein referred to as Codes. City of Santa Ana. Santa Ana Police Department, a department consisting of approximately 400 sworn officers, is desirous of obtaining a Site License which would permit unlimited usage of the CPOLS and Codes software by the department and all it's persounel during the annual subscription period or any part thereof, without maintaining and reporting to Cop Ware the total individual or department usage of the software. Therefore, in consideration of the above, and the mutual covenants contained in this agreement, and other good and valuable considerations, it is agreed as follows. Agreement In exchange for payment by City of Santa Ana, per exhibit A attached hereto and incorporated herein by reference, Cop W are hereby waives the single user license agreement and grants a Site License to City of Santa Ana, Santa Ana Police Department, wherein Cop Ware authorizes City of Santa Ana, Santa Ana Police Department to use the software on all computers utilized by City of Santa Ana, Santa Ana Police Department, whether owned, leased, or rented, including any and all mobile computer units during the annual subscription period. This Site License also allows personal use by all department personnel and is subject to the same terms and conditions of the single user license agreement as provided in the CopWare Quick Start ManuaL "-'. City of Santa Ana, Santa Ana Police Department agrees to duplicate all disks, instructions, and the Cop Ware Quick Start Manual as provided by CopWare to meet their department requirements, including disks required for personal use by department personneL Except as provided therein, City of Santa Ana, Santa Ana Police Department and its employees agree to abide by the tcrnlS of the Single User License agreement as provided in the Cop Ware Quick Starr ManuaL ATTEST:) A ~- k4~ P A TRICL<\ E.
