FIRST AMENDMENT TO AGREEMENT BETWEEN THE CITY
OF SANTA ANA AND GROUP W CABLE, INC.

("Grantor"), and Group W Cable, Inc., a corporation organized
under the laws of the State of New York ("Grantee"),

Recitals:
1.
The City of Santa Ana and Group W Cable,
Inc., previously entered into that certain franchise agreement
for the operation of a cable television system on June 21,
1982, hereinafter referred to as "said agreement."
2.
The parties desire to amend said agreement to
provide clarification regarding satellite earth stations and
service, rates and charges.
3.
The parties desire to amend said agreement to
include a deposit charge for converter placement under certain
conditions.
WHEREFORE, in consideration of the respective and
mutual covenants and promises hereinafter contained and
made, and subject to all of the terms and conditions hereof,
the parties hereto do hereby agree as follows:

A.
Subsection 5.3, "Satellite Earth Stations,"
of Section 5 of said agreement is hereby amended to read as
follows:
"5.3
Satellite Earth Stations.
Ini tially,
Grantee shall provide signal from no less than three (3)
satellites. Grantee shall reasonably provide a sufficient
number of earth stations or other systems to receive signals
from all operational communication satellites that generally
carry programs available to cable systems throughout the
life of the franchise."
B.
Subsection 8.2, "Basic Service - Residential
Subscribers", of Section 8 of said agreement is hereby amended
to read as follows:
"8.2 Basic Service
Residential Subscribers.
The initial rates and charges for basic service to residential
subscribers shall not exceed the following:

C.
Section 8 of said agreement is hereby amended
to add a new subsection 8.8, which shall read as follows:

"8.8 Program Guides and Remote Control.
Grantee may offer program guides and remote control devices
at reasonable rates during the term of their franchise."
D.
As amended hereby, all of the terms covenants
and conditions of said Agreement shall remain in full force
and effect, and the parties shall continue to benefit from
and be bound thereby.
IN WITNESS WHEREOF, the parties hereto have executed
this Agreement on the day and year first above written.
