THIS AGREEMENT, made and entered into as of the ~

, 1989, by and between the City of
Santa Ana, a municipal corporation of the State of California
(hereinafter referred to as "Ci ty" or "Grantor"), and COMCAST
Cablevision of Santa Ana, Inc., (hereinafter referred to as
"COMCAST" or "Grantee"),

Recitals:
A.
Grantor and Group W Cable, Inc., previously entered
into that certain franchise agreement for the operation of a~
cable television system on June 21, 1982, as amended on
February 7, 1983 and December 28, 1984, hereinafter collectively
referred to as "said agreement."
B.
COMCAST has purchased all rights, title and interest
of Group W Cable, Inc. to said agreement.
C.
Grantor and COMCAST now desire to amend further said
agreement in settlement of all disputes between the parties
regarding the franchise agreement.
WHEREFORE, in consideration of the respective and
mutual covenants hereinafter contained and made, and subject to
all the terms and conditions hereof, the parties hereto do hereby

agree as follows:
1.
Subsection 4.9 of said agreement is hereby amended to
read as follows:
"4.9 System Interconnection
"(a) Grantee agrees to interconnect with the cable
system serving the City of Garden Grove with at least
one channel each way between the Garden Grove system and
the Santa Ana system, provided that the cable system
serving Garden Grove agrees to pay the actual cost of such
interconnection.
"(b) Grantee agrees to interconnect with California
State University at Fullerton with at least one channel
each way; provided that California State University at
Fullerton agrees to pay the actual cost of such inter-
connection.
"(c) Grantee, at its sole cost and expense, agrees
to interconnect with Rancho Santiago Community College Dis-
trict, Santa Ana, with at least one channel each way (Orange
Canyon, Garden Grove, Santa Ana), provided Rancho Santiago
Community College District first obtains prior approval from
any and all agencies having power of approval for such
interconnection and all usage contemplated by the college.
"The parties agree that moneys expended pursuant to this
section shall not be included as part of any franchise fee to
which Grantor is entitled."

2.
Section 5.5 of said agreement is hereby amended to read
as follows:
"5.5 Cablecasting Facilities
"(a) Grantor and Grantee acknowledge that cablecasting
facilities have been installed pursuant to the franchise
agreement, which are identified on Exhibit 'A,' attached
hereto and incorporated herein by reference.
Such cablecas-
ting facilities are and shall remain the property of Grpntor.
Grantor hereby agrees to free access and use of cablecasting
facilities located in the Council Chambers of City Hall to
Grantee's personnel for programming for as long as Grantee
is providing programming on KCTY; provided, however, Grantee
shall be solely responsible for operation, repair, and
maintenance of such cablecasting facilities used to produce
and cablecast City programming.
Grantee will provide the
same service to restore programming for municipal programming
as it does for other programming.
"Grantor's personnel may use said cable casting facili-
ties if, and only if, such personnel have been prequalified
by Grantee in the proper use of such facilities.
Such quali-
fication shall not unreasonably be withheld.
"( b) Grantee agrees to purchase from Grantor up to
$200,000 worth of equipment of its choice from the list of
equipment attached hereto as 'Exhibit B.'
Said equipment
shall be sold 'as is' with no warranties, including, but
not limited to, fitness or merchantability.
Grantee
agrees to pay thirty percent (30%) of the listed value for

equipment transferred to Grantor as a result of the December
28, 1984 amendment to this agreement, and forty percent
(40%) of the listed value for equipment acquired by Grantor
after the December 28, 1984 amendment.

shall be purchased and paid for no later than ninety (90)
days after the date of this agreement.
In the event
Grantor desires to prepare programming for its own purposes,
Grantee agrees to rent to Grantor some or all of the
equipment purchased by Grantee from equipment listed on
'Exhibit B' at reasonable rental rates to be established
by Grantee.
Said rental amount may be credited against the
special programming grant specified in subsection 7.3.
Grantor's personnel may use said cable casting facilities
if, and only if, such personnel have been prequalified by
Grantee in the proper use of such facilities.
Grantee
shall not unreasonably withhold such qualification."

Subsection 6.4 is hereby added to said agreement to
read as follows:
"6.4 Subscriber Credit
"Grantee shall credit all active subscribers as set
forth below who have been charged with the so-called 'City
charge' of $4.45 per month implemented in 1988 and shall
not hereafter attribute any rate increase to Grantor.
Any
active subscriber who paid the $4.45 charge shall be credited
the total sum of such payments against that subscriber's
future statements.
Any active subscriber who was charged
but did not pay the $4.45 charge shall be credited the
sum of said charges plus associated late charges against

said subscriber's existing statement.
For the purposes
of this subparagraph, the term 'active subscribers' means
those subscribers who are taking Grantee's service on
the date of this Agreement or those who reinstate service
with Grantee within ninety (90) days of the date of this
Agreement."
"Any subscriber whose service was discontinued as a re-
sult of that subscriber's failure to pay the 'City charge'
of $4.45 shall be permitted to request that cable service
be reinstated with no installation charge being levied against
such subscriber, provided, however, such subscriber shall
only be entitled to reinstatement without an installation
charge if the request for reinstatement is made to Grantee
within ninety (90) days after the date of this Agreement
and provided further that such subscriber's account is
current for all charges except the 'City charge' when such
request is made.
Any amounts owing to members of Grantor's City Council,
City Manager, or City Attorney as a result of this subsection
shall be paid to the City of Santa Ana's special fund for
the Santa Ana Zoo."
4.
Subsection 6.8 is hereby added to said agreement to
read as follows:
"6.8 Standard Channel Lineup
"Grantor agrees that KCTY, Channel 3, may be located
on another channel for purposes of standardizing channels
for publication of guides if the cable operators who repre-
sent ninety percent (90%) of all subscribers to Cable

services in Los Angeles County and Orange County agree
to a standard channel lineup.
Further, if Grantee provides
to Grantor a bona fide or justifiable reason for locating
KCTY, Channel 3, on another channel, and such bona fide or
justifiable reason is in the best interests of Grantor and
Grantee, then Grantor shall not unreasonably withhold consent
for relocating KCTY to another channel."
5.
Subsection 7.1 of said agreement is hereby amended to
read as fo llows :
"7.1 Local Programming
"Grantee shall provide the minimum local origination
programming as shown on 'Exhibit C,' attached hereto
and incorporated herein by reference, to substantially
the same or better quality as provided by Grantor during
the period January 1, 1987 to February 1,1988.
If at
any time during the term of this franchise Grantor
determines that the quality or minimum programming is
less than the required standard as set forth above,
Grantor shall provide written notice of its determination
to Grantee and the reasons for such determination.
In
the event Grantee fails to cure or correct the deficiency
within ninety (90) days of the date of written notice as
provided above, the parties agree to submit the matter
to the Judicial Arbitration and Mediation services,
Inc., or its successor corporation, for arbitration.
In
the event the arbitrator stated herein ceases to do business,

the parties agree to submit to arbitration before a mutually
agreed upon retired Superior Court judge.
The cost of
arbitration shall be borne equally by Grantor and Grantee.
In the event the arbitrator determines that quality of
programming or minimum programming is less than the required
standard, a determination shall be made as to the percentage
of difference between the required standard and the actual
quality or quantity of programming on a per-month basis.
Grantor shall be awarded damages calculated at the rate of
$8,000 times the percentage difference for each month that
the required standard has not been met since the date the
notice was given.
Any decision of the arbitrator shall be
final.
In the event the arbitrator awards judgment for
Grantor, Grantee shall pay to Grantor the amount of the
judgment within thirty (30) days of the date of judgment.
In the event Grantee fails to pay the amount of the judgment
within said thirty (30) days, Grantor's City Manager shall
have the unconditional right to draw the amount of the
judgment from the letter of credit provided by Grantee
under section 8 of this Agreement (adding subsection 7.7
to said Agreement) upon certification that Grantee has
failed to pay the amount of the arbitration award.

forthwith reinstate said letter of credit to its full
amount as required by section 8 of this Agreement.
Grantor
and Grantee agree that the value of the service for local
origination programming shall not be included as part of any

franchise fee to which Grantor is entitled.
"Grantee shall only generate local origination, public
access and government access programming on KCTY (Channel 3)
of the type and kind traditionally provided on government
and local origination cable channels in the County of Orange,
State of California.
Any deviation from the foregoing
standard shall only be with the written approval of Grantor's
City Manager or his or her delegate, which approval shall
not unreasonably be withheld."
6.
Subsection 7.3 of said agreement is hereby amended to
read as follows:
"7.3 Special Programming
"Grantee, at its own cost and expense, shall provide
special programming at Grantor's request in the aggregate
cost of $52,000 between the date of this agreement and
expiring four (4) years thereafter.
As used herein,
"special programming" includes, but is not limited to,
equipment set-up, duplication, and/or event coverage.
Upon
exhaustion of the $52,000 grant herein, Grantee shall pro-
vide special programming at Grantor's sole cost and expense.
Such special programming shall be provided at the rates
then in effect which Grantee charges its most favored
commercial customer.
Grantor shall provide written notice
to Grantee at least fifteen (15) working days prior to
special programming desired by Grantor.
Grantee agrees
that the cost of such special programming shall not be
included as part of any franchise fee to which Grantor is

entitled."
7.
Subsection 7.6 of said agreement is hereby amended to
read as follows:
"7.6 Public Access Assistance
"Grantee shall in good faith attempt to reach reasonable
agreements with Rancho Santiago Community College for the
provision of public access production during the term of the
franchise agreement.
Grantee agrees that the Second Amend-
ment to this Agreement, section 7.l, dated September 28, 1984,
included, in part, a grant used for public access that was
exclusive of franchise fees in conformance with the grand-
fathering provisions of the Cable Communications Policy Act of
1984, and it is the intent of the parties that said grand-
fathering provisions continue to be applicable in this Amend-
ment to Agreement.
In the event that Grantee and Rancho Santiago Community
College are unable to reach, in good faith, a reasonable agree-
ment for public access production, then Grantee shall provide
such public access support as provided in that Agreement dated
March~, 1989 between Grantee and Rancho Santiago
Community College to any other entity mutually agreeable to
Grantor and Grantee during the term of this Agreement.
8.
Subsection 7.7 is hereby added to said agreement to
read as follows:
"7.7 Local Programming Letter of Credit
"Grantee shall provide to Grantor an irrevocable and
unconditional letter of credit in the amount of Nine Hundred

Fifteen Thousand Dollars ($9l5,000), issued by a banking
institution authorized to do business in the State of Cali-
fornia, for a five (5) year period for the purpose of fund-
ing the local programming commitment pursuant to subsection
7.1 in the event, and only in the event, Grantee fails com-
pletely to perform such commitment.
As used herein, the
term 'completely fails to perform such commitment' shall
not include matters which are or can be submitted to
arbitration pursuant to section 7.1 hereinabove.

letter of credit shall provide that Grantor's City Manager
shall have the unconditional right to draw upon the letter
of credit upon certification that Grantee has completely
failed to perfom its local programming obligation; provided,
however, Grantor must first provide Grantee with written
notice of its determination that Grantee has completely
failed to perform its local programming obligation and Grantee
has failed to cure or correct that deficiency within forty-
five (45) days from the date of such written notice.
The
form and substance of said letter of credit shall be
subject to reasonable approval by Grantor's City Attorney.
After three (3) years, if the City Manager of Grantor, in
his or her sole discretion, determines that Grantee has
faithfully and in good faith performed its local programming
commitment, said City Manager may permit the amount of the
letter of credit to be reduced to Seven Hundred Twenty-Eight
Thousand Dollars ($728,000) for the fourth year and Five
Hundred Forty-One Thousand Dollars ($54l,000) for the
fifth year, "which permission shall not be unreasonably

withheld."
9.
Subsection 7.8 is hereby added to said agreement to
read as follows:
"7.8 Prior Local programming Cost
"Grantor and Grantee agree that Grantor expended
$628,602 of Grantor's general fund money for local program-
ming in anticipation of receiving grant funds for such
purposes from Grantee under the second amendment to this
agreement.
Upon execution of this agreement, Grantee shall
reimburse Grantor the amount of $628,602 previously expended
by Grantor for local programming."
10.
Subsection 8.4 of said agreement is hereby amended to
read as follows:
"8.4 Institutional Connection.
"Grantee shall connect institutional service free of
charge to those locations listed in 'Exhibit C' to the Second
Amendment of this Agreement.
Grantee shall provide institu-
tional service connections free of charge to the following
new and future school sites within the Santa Ana Unified
School District:
Century High School, 1401 S. Grand Avenue;
Kennedy Elementary, 1300 E. McFadden; Sepulveda Elementary,
1801 S. Poplar; Heninger Elementary, 417 W. Walnut; Garfield
Elementary, 850 E. Brown; Carver Elementary, 1401 W. Santa
Ana; and Walker Elementary, 811 E. Bishop.
Grantee further
agrees to provide one (l) free institutional service for
any new school site built by Santa Ana Unified School Dis-
trict during the term of this agreement.
Grantee shall

have no obligation to pay for or provide trenches for any
cable necessary to comply with the requirements of this
section to provide institutional service for the new and
future school sites in recognition of the fact that the
cable may be placed in utility trenches opened by Santa Ana
Unified School District CONTRACTORS during the course of
construction.
Grantee shall only be required to provide one
free cable drop to such school sites in the following dis-
tances: not to exceed two thousand feet (2,000') if overhead,
five hundred feet (500') if underground.
In the event any
school site exceeds the foregoing limitations and the school
district is not agreeable to the added cost of installing
the institutional network, then Grantee shall provide
one (1) residential service for such school site free of
charge.
Grantee shall also provide nine (9) institutional
service connections free of charge to the County of
Orange at locations within the City of Santa Ana designated
by the appropriate County official."
ll.
Subsection 8.5 is hereby added to said agreement to
read as follows:
"8.5 Maintenance of Institutional service
"Grantee shall maintain the institutional network
("I-Net") to the standards specified in Exhibit 'D,'
attached hereto and incorporated herein by reference,
so long as Grantor continues active use of the I-Net.
In the event Grantor determines the I-NET is not being
maintained to the performance standards for video and
audio transmissions set forth in Exhibit 'D,' Grantor

shall provide a written notice of such deficiency to
Grantee with a request that the deficiency be cured
within thirty (30) days of the date of the notice.
If
Grantor determines such deficiency is not cured at the
end of the time period, Grantor may in writing demand a
meeting between representatives of Grantor and Grantee
to be held within thirty (30) days of the date of the
written demand to discuss such deficiency.
In the event
the deficiency is not cured within fifteen (l5) days
after the date of the meeting, the parties agree to
submit the matter to the judicial Arbitration and Medi-
ation services, Inc., or its successor corporation, for
arbitration.
In the event the arbitrator stated herein
ceases to do business, the parties agree to submit to
arbitration before a mutually agreed upon retired Superior
Court judge.
The cost of arbitration shall be borne
equally by Grantor and Grantee.
If the arbitrator determines that a deficiency
exists, the arbitrator shall set a penalty for each day
from the date of original notice of deficiency in the amount
of Two Hundred Fifty Dollars ($250) per day until such date
the arbitrator determines the deficiency is cured.
The te rID
"deficiency" means a failure to maintain the performance
standards for video and audio transmissions set forth in
Exhibit 'D' that is affecting quality and is perceptible
to those utilizing the I-NET.
In the event Grantee fails to pay any penalty

that is awarded by the arbitrator within thirty (30)
days after the penalty is due and owing to Grantor,
Grantor's City Manager shall have the unconditional
right to draw such amount from the letter of credit
provided by Grantee under Section 8 of this Agreement
(adding Subsection 7.7 to said agreement) upon certi-
fication that Grantee has failed to pay the amount of
the penalty awarded.

said letter of credit to its full amount as required
by Section 8 of this Agreement.

Subsection 13.5 of said agreement is hereby amended to
read as follows:
"13.5 Institutional Network Grant
Grantor and Grantee acknowledge that certain equipment
and wiring has been purchased and installed at various public
agencies from funding provided by Grantee pursuant to its
obligation to develop a comprehensive plan for utilization
of the Institutional Network.
Such equipment and wiring
installed pursuant to said plan for the Institutional Net-
work are and shall remain the property of Grantor.
Grantee
is hereby relieved of any further obligation to provide
funding of the Institutional Network grant as required by
subsection 13.5 as it read prior to this Agreement.
Grantor
shall be solely responsible for operation and maintenance of
such equipment.
l3.
COMPROMISE AND RELEASE
COMCAST filed a complaint against City in Federal Court

on December 3, 1987, case number 87-08057, alleging a violation
of civil rights.
City filed a complaint in the Superior Court,
County of Orange, on March l5, 1988, case number 551617, entitled
City of Santa Ana v. Group W Cable, Inc., alleging causes of
action arising out of a contract dispute.
COMCAST and City
intend to and does hereby compromise and settle the above lawsuits
by the amendments to franchise agreement hereinabove set forth
and the covenants hereinafter set forth.
a.
Upon execution of this agreement, COMCAST shall pay
City the sum of Six Hundred Three Thousand Nine Hundred Thirty-
Four Dollars ($603,934) which shall not be included as any part
of the franchise fee to which Grantor is entitled under the
franchise agreement.
b.
section 1300 of the Charter of the City of Santa Ana
provides in part:
"No grant of any franchise may be transferred or
assigned by the grantee except by consent in writing
of the City Council and unless the transferee or
designee thereof shall covenant and agree to perform
and be bound by each and all of the terms and con-
ditions imposed in the grant or by procedural ordi-
nance and by this Charter."
c.
COMCAST, as the transferee of the franchise issued
to Group W Cable, Inc., by the City of Santa Ana on June 21,
1982, hereby covenants and agrees to be bound by each and all
of the terms and conditions of the franchise agreement, as
heretofore and hereby amended.
d.
Upon execution of this agreement, the City Council

of the City of Santa Ana hereby consents to the transfer of
the franchise from Group W Cable, Inc., to COMCAST.
e.
COMCAST and City agrees to dismiss with prejudice
the complaints listed in the first paragraph of this section.
f.
COM CAST and City agree that this compromise and
settlement shall constitute a bar to all past, present and
future claims arising out of the subject matter described in
the lawsuits hereinabove described, including, without limi-
tation, any claim that the City purportedly has for the fines
that it imposed against Group W Cable, Inc. and/or COMCAST
prior to the date of this Agreement.
Both parties hereby
covenant and agree not to sue the other party regarding any
term, condition or limitation of the franchise agreement
other than for any anticipated or actual breach of the fran-
chise agreement.
Nothing herein is to be deemed a waiver
of Grantee's constitutional rights.
g.
City represents and warrants, that as of the date
of this Third Amendment, it knows of no violations of the
Franchise Agreement by Grantee or its predecessors and that
Grantee and its predecessors are in full compliance with the
Franchise Agreement, as amended.
14.
Grantee recognizes the special needs of senior citizens
residing within the City of Santa Ana and will give serious con-
sideration to providing a senior citizen discount of at least
the first month of basic services free of charge and free
installation of cable service.
This provision shall not be

construed as any attempt to regulate rates in violation of
the Cable Communications Policy Act of 1984.
IN WITNESS WHEREOF, the parties hereto have executed
this Agreement as of the date and year first above written.

LOCAL PROGRAMMING FOR SANTA ANA' S
CABLE CHANNEL KCTY
I.
PRODUCTIONS
COMCAST shall produce the following minimum productions
each year for City of Santa Ana's cable channel KCTY (Channel 3):
A.
24 City Council Meetings.
City Council meetings are cablecast live on the first
and third Mondays of each month.
These meetings are replayed three
times for maximum availability to the community.
No cabling shall
be laid on the floor of the Chambers during the Council meetings
except in an emergency.
Automated camera controls shall be used
for recording of live broadcasts.
B.
24 Santa Ana Updates.
KCTY UPDATES promotes upcoming City functions and features
local events in a newsbrief format.
Each production shall be at
least fifteen minutes.
UPDATE features an average of 10 stories per
show, 3 of which are accompanied by video footage taken within the
community, and others illustrated with graphics or archive footage.
C.
5 Major Events.
These major events, such as "Golden City Days, "Black His-
tory Parade," "Golden City Days Bike Race," "Cinco de Mayo Celebra-
tion," or "July 4th Celebration at Stadium," will be determined in
cooperation with the City Manager of the City.
D.
12 Special Programs.
These special programs will be determined in cooperation
with the City Manager of the City, which will be no less than 30

minutes each, and may include: Mayor's Call-In, Cable TV Forum,
Bower's Museum Exhibits, Library Services, Police and Public
safety, Fire safety, Recreation Agency Services, Redevelopment,
Election Returns or Census Information.
E.
12 Special Events.
Special events or programs will be produced on Santa Ana
events or organization to be determined in cooperation with such
organizations as the Chamber of Commerce installation, Tournament
of Champions, YMCA, BoyS and Girls Clubs, Christmas Parade, YWCA,
senior Citizen Dedication or City Employee Talent Show.
F.
26 Sports and Activities Shows.
Twenty-one of the Sports and Activities Shows will feature
children and seniors who participate in activities such as little
league, Pop Warner, senior citizen crafts, ,pre-school, volleyball,
basketball, etc., and five of which may be other sporting events.
G.
Alphanumeric
One hundred pages minimum per day of alphanumeric text
in English and spanish with background music announcing City and
County employment opportunities, City parks and recreation activ-
ities, agendas of the City Council and Planning Commission, other
municipal public information topics, and daily and weekly program
schedule information, sequenced to appear at 10 minute intervals
when no video programming appears.
City shall be responsible for
providing text for the above alphanumeric.
II.
SPECIAL CONDITIONS
A.
COM CAST will send monthly programming guides to City's
Recreation and Community Services Agency for public dissemination.
B.
COMCAST will maintain daily programming logs and will

to authorized City personnel upon request at reasonable times dur-
ing the normal business day.
E.

the Operator for I-NET transmissions of video or audio from any
origination point on the I-NET to any delivery point on the 1-
NET. For the purposes of this section, the terms "origination
point," "delivery point," and "termination" shall include an
interconnection point with the subscriber cable network in Santa
Ana, designated by franchise as the "AI" cable. If not specifi-
cally mentioned to the contrary, performance standards apply in
both the forward and reverse direction. When not specifically
mentioned and modified below, all other State, and Federal tech-
nical standards governing the operation of cable television
systems shall apply.
Forward minimum signal level at subscriber terminal input
connector shall be no less than 3dB greater than the minimum
input level specified by the subscriber terminal equipment
manufacturer, but shall in no case be less than the minimum video
signal level required at the subscriber terminals, referenced to
a 75 ohm termination, as may be defined by the FCC in 47 CFR 76
Subpart K.
Reverse minimum signal level from the output of the subscriber
terminal, if any, shall comply with the following minimum
requirements:

The subscriber terminal carrier output level to the
input of the Operator's plant shall be adjusted to
operate within the subscriber terminal manufacturer's
recommended operating window, and
2.
The subscriber terminal carrier output level shall be
sufficient to produce the minimum input level required
by the manufacturer of the Operator's amplifier
manufacturer as defined in the amplifier manufacturer's
specification sheet(s).

Audio frequency response, 50 Hz. to 15 KHz. shall not vary more

will only be required when the City determines that an audio
problem may exist on a specified channel.
Method of Testing
The following methods are to be used to test the performance
standards for Video transmissions as outlined above.

Carrier-to-Noise
A suitable system analyzer is to be connected to a
bridger port via lOO foot calibrated test jumper.
System carrier-to-noise is recorded. System will be
tested in both directions. Measurements are to be made
in accordance with test equipment manufacturer's
standard procedure.
2.
Third Order Beats
A suitable system analyzer with a band pass filter tuned
to the channel being tested, is to be connected to a
bridger port via 100 foot calibrated test jumper.
System Third Order Beats ratio, expressed in dB, of the
peak level of the RF signal to the peak of the average
level of the cluster of distortion components centered
around the carrier tested is recorded. System will be
tested in both directions. Measurements are to be made
in accordance with test equipment manufacturer's standard
procedure.
3.
Hum Modulation
A suitable frequency selective voltmeter is connected to
bridger port via lOO foot calibrated test jumper.
System hum modulation is recorded. System tested in
downstream direction only. Measurements are to be made
in accordance with test equipment manufacturer's
standard procedure.

4.
Peak to Valley
A sweep recovery system transmitter is installed at the
headend with a receiver in the field connected to a
bidger port via 100 foot calibrated test jumper.
System peak-to-valley is recorded after compensating 5
dB for allowance for system tilt. Both upstream and
downstream directions are to be tested. Measurements
are to be made in accordance with test equipment manu-
facturer's standard procedure.
PERFORMANCE STANDARD FOR NON-VIDEO DATA TRANSMISSIONS
It is the responsibility of the City of Santa Ana to obtain
written approval from the California Public Utilities Commission
if such approval is necessary for the transmission of non-video
data.
The following specification shall be considered an interim stan-
dard and reviewed on a yearly basis and modified, if necessary,
as agreed upon by representatives of Operator and the City.
The representatives shall meet during the first week in February
each year, or more often as necessary.
The Operator shall have the sole responsibility to develop,
maintain, and, update a one year written implementation plan, for
the testing, and maintenance of non-vieo data transmissions, and
to carry out the provisions of the written implementation plan.
During such time the Operator shall become knowledgeable and
experienced in the area of data transmissions. The plan shall be
developed by the Operator, and a copy filed with the City, within
6 months of acceptance of this agreement.
The following minimum performance standards shall be achieved by
the Operator for I-NET transmissions of non-video from any origi-
nation point on the I-NET to any delivery point on the I-NET.
For the purposes of this section, the terms "origination point,"
"delivery point," and "termination" shall include an interconnec-
tion point with the subscriber cable network in Santa Ana,
designated by franchise as the "AI" cable. The operator is not
specifically required to have subscriber network facilities at the
same locations as I-NET user locations.
Bit error rate end-to-end, including data moderns (encrypting or
clear at any speed): less than «) 1 in 10-7 bits
MAINTENANCE REQUIREMENTS
Routine Maintenance
The Operator shall provide fully trained and properly equipped
maintenance staffing sufficient to insure achievement of the
minimum performance specifications listed above.

On no less than a monthly basis, the Operator shall verify
achievement of the minimum performance specifications listed
above at no less than lB points in the system. Any monthly
maintenance test records will be maintained and available to the
City for review on a monthly basis between normal business hours.
Any monthly maintenance test records will be retained for 2
years. During every yearly performance demonstration required
under this section, the Operator shall demonstrate compliance at
the furthest ends of each of the 4 major cascades and at no less
than B other points selected by the City.
PREVENTIVE MAINTENANCE
The Operator shall have the sole responsibility to develop,
maintain, and, update a written I-NET preventive maintenance
plan, and to carry out the provisions of the written preventive
maintenance plan. The plan shall be developed by the operator,
and a copy filed with the City, within 3 months of acceptance
of this agreement. The preventive maintenance shall be deemed
acceptable to the City if, by the system testing described above,
the Operator demonstrates compliance with the performance stand-
ards listed above.
DEMAND MAINTENANCE
In the event that the I-NET system, or any portion thereof, shall
fail to be operational, the Operator will provide the same
service to restore the I-NET as it does for the subscriber network,
except as follows: In the event City indicates and has an immedi-
ate need for I-NET system operation for scheduled police or fire
training and the I-NET fails to operate, the Operator will respond
for service within two (2) hours of Notice if Notice is given
during normal business hours. In such event, the Operator shall
take all reasonable measures to restore operation within four (4)
hours of notice of nonoperation unless it is physically impossible
to repair within the stated time period.
The Operator will be solely responsible for the technical perform-
ance and required repairs of the I-NET system, as set forth below,
hereafter referred to as the point of demarcation:
Prior to installing any new I-NET service and consistent with
the next two paragraphs below, City and Operator will jointly
identify and agree on the point of demarcation for such new service.
Downstream - From the point of transmission, inclusive of
all Operator owned processing equipment, to the end of the users
coaxial feed cable, and/or the output of the operator owned
terminal device.
Upstream - From the coaxial feed point connection between
the users transmission device excluding the said device itself to
the termination point.

SERVICE CALL PROCEDURES
In the event that any given I-NET user is faced with an operational
failure, the I-NET user will have the sole responsibility to
identify and correct all I-NET user owned equipment from the point
of demarcation, and the Operator will take the same responsibility
for its side of the demarcation point.
The Operator will provide a qualified Technician to any I-NET
users location upon request for interrupted service. In the event
that the I-NET users equipment is the sole source of the problem,
an appropriate service fee may, at the Operator's option be charged
to the user.
The Operator will not be responsible for the repair and operation
of any user owned transmission and/or reception device used on the
I-NET system.
COORDINATION MEETINGS
Representatives for the Operator and the City shall meet no less
than once yearly for I-NET technical and system planning and
coordination purposes. Either the City or the Operator, upon
seven (7) days written notice to the other, may call a meet-
ing of representatives for the above purposes.
