WITNESSETH Recitals: A. The City requested proposals for independent audit services by its "Request for Proposal, Annual Independent Audit, City of Santa Ana for Fiscal Years 1998-99 through 2002-03," a public record on file in the office of the City's Executive Director of Finance & Management Services Agency, hereinafter referred to as the IIRFP". B. Auditor responded to the RFP with its "Proposal of Audit Services to the City of Santa Ana, February 24, 1999," a public record on file in the office of the City's Executive Director of Finance & Management Services Agency, hereinafter referred to as the "Proposal". A copy of the Proposal is attached hereto as Exhibit A, and is incorporated herein by this reference. ". C. City desires to retain Auditor to perform audit services consistent with the RFP and the Proposal. . . WHEREFORE, in consideration of their mutual and respective covenants and promises hereinafter contained and made, and subject to all the terms and conditions hereof, the parties hereto do hereby agree as follows: 1. SCOPE OF SERVICES Auditor agrees to provide audit services to City as described in the RFP and Exhibit A for the term of this Agreement in accordance with the directions of City's Executive Director of Finance & Management Services Agency. All terms and conditions more fully set forth in the RFP and Exhibit A shall have full force and effect in this Agreement. 2. COMPENSATION The City agrees to compensate Auditor for services rendered subject to the maximum annual payments specified in the Proposal and outlined below: FY 98-99 FY 99-00 FY 00-01 FY 01-02 FY 02-03 $ 54,600 55,965 57,364 58,798 60,268 Payment shaIl be made at such times and in such manner as is mutually agreeable to Auditor and City's Executive Director of Finance & Management Services Agency. 3. TERM/TERMINATlON (a) This Agreement shall be for a term offive years, extending to City's fiscal years 1998-99, 1999-00, 2000-01, 2001-02, and 2002-03, unless sooner terminated pursuant to this section. . . (b) Either party may terminate this Agreement by service of 120-day advance written notice of termination on the other party. 4. INSURANCE Auditor shall provide City with an insurance policy evidencing that it carries Errors and Omissions insurance and that such policy shaIl not be cancelled, nor the coverage reduced except upon thirty (30) days written notice to the City. 5. INDEPENDENT CONTRACTOR Auditor is an independent contractor and not an employee of the City, and all of Auditor's personnel shaIl be employees or subcontractors of Auditor, and not employees of the City. Auditor shaIl pay all salaries and wages, employer's Social Security taxes, unemployment insurance and similar taxes relating to employees, and shall be responsible for all applicable withholding. 6. INDEMNIFICATION Auditor shaIl defend, indemnify and save harmless the City of Santa Ana, and its officers, agents and employees, ttom claims of any kind or nature (including Worker's Compensation claims), for damages to physical property and/or physical injury or death to persons resulting ttom or arising out of acts, errors or omissions of Auditor, its agents, employees or subcontractors, in the performance of work pursuant to this Agreement. . . .
