INSURANCE ON FILE WORK MAY PROCEED UNTIL INSURANCE EXPIRES i --- 10' Ö(P CLERK OF COUNCIL CONSUL T ANT AGREEMENT DATE: °,- lo- D4 THIS AGREEMENT made and entered into this /~.,.. day of Li-ð. ,2004 by ~: Cbfr and between the Bainbridge Group, Inc., a California corporation (hereinafter Consultant"), and (e..~ the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). N-2004-081 RECIT ALS A. The City desires to retain a consultant having special skill and knowledge in the field of asbestos, lead based paint and microbial consulting services. B. Consultant represents that Consultant is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall perform those services as set forth in Exhibit A to this Agreement. 2. COMPENSATION a. City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A. The total sum to be expended under this Agreement shall not exceed $ 10,000.00 during the term of this Agreement. b. Payment by City shall be made within thirty (30) days following receipt of proper invoice evidencing work performed, subject to City accounting procedures. Payment need not be made for work which fails to meet the standards of performance set forth in the Recitals which may reasonably be expected by City. 3. TERM This Agreement shall commence on the date first written above and terminate on June 30, 2005, unless terminated earlier in accordance with Section 12, below. The term of this Agreement may be extended upon a writing executed by the Executive Director of the Community Development Agency and the City Attorney. 4. INDEPENDENT CONTRACTOR Consultant shall, during the entire term of this Agreement, be construed to be an independent contractor and not an employee of the City. This Agreement is not intended nor shall it be construed to create an employer-employee relationship, a joint venture relationship, or to allow the City to exercise discretion or control over the professional manner in which Consultant performs the services which are the subject matter of this Agreement; however, the services to be provided by Consultant shall be provided in a manner consistent with all applicable standards and regulations governing such services. Consultant shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 5. INSURANCE Prior to undertaking performance of work under this Agreement, Consultant shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance as described below: a. Commercial General Liability Insurance. Consultant shall maintain commercial general liability insurance naming the City, its officers, agents, volunteers, and employees as additional insured(s) and shall include, but not be limited to protection against claims arising from bodily and personal injury, including death resulting therefrom and damage to property, resulting from any act or occurrence arising out of Consultant's operations in the performance of this Agreement, including, without limitation, acts involving vehicles. The amounts of insurance shall be not less than the following: single limit coverage applying to bodily and personal injury, including death resulting therefrom, and property damage, in the total amount of $1 ,000,000 per occurrence. Consultant shall supply City with a fully executed additional insured endorsement in substantially the form attached hereto as Exhibit B upon execution of this Agreement and shall be approved in form by the City Attorney. b. Business automobile liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non-owned automobiles. c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300 of the Labor Code, Consultant, if Consultant has any employees, is required to be insured against liability for worker's compensation or to undertake self-insurance. Prior to commencing the performance of the work under this Agreement, Consultant agrees to obtain and maintain any employer's liability insurance with limits not less than $1,000,000 per accident. d. Professional liability (errors and omissions) insurance, with a combined single limit of not less than $1,000,000 per claim. 2 e. The following requirements apply to the insurance to be provided by Consultant pursuant to this section: (ii) Consultant shall maintain all insurance required above in full force and effect for the entire period covered by this Agreement. Certificates of insurance shall be furnished to the City upon execution of this Agreement and shall be approved in form by the City Attorney. Certificates and policies shall state that the policies shall not be canceled or reduced in coverage or changed in any other material aspect without thirty (30) days prior written notice to the City. (i) (iii) f. If Consultant fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the City with required proof that insurance has been procured and is in force and paid for, the City shall have the right, at the City's election, to forthwith terminate this Agreement. Such termination shall not effect Consultant's right to be paid for its time and materials expended prior to notification of termination. Consultant waives the right to receive compensation and agrees to indemnify the City for any work performed prior to approval of insurance by the City. 6. INDEMNIFICATION Consultant agrees to and shall indemnify and hold harmless the City, its officers, agents, employees, consultants, special counsel, and representatives from liability: (1) for personal injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including health, and claims for property damage, which may arise from the direct or indirect operations of the Consultant or its contractors, subcontractors, agents, employees, or other persons acting on their behalf which relates to the services described in section 1 of this Agreement; and (2) from any claim that personal injury, damages, just compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects arising from this Agreement. This indemnity and hold harmless agreement applies to all claims for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to have been suffered, by reason of the events referred to in this Section or by reason of the terms of, or effects, arising from this Agreement. The Consultant further agrees to indemnify, hold harmless, and pay all costs for the defense of the City, including fees and costs for special counsel to be selected by the City, regarding any action by a third party challenging the validity of this Agreement, or asserting that personal injury, damages, just compensation, restitution, judicial or equitable relief due to personal or property rights arises by reason of the terms of, or effects arising from this Agreement. City may make all reasonable decisions with respect to its representation in any legal proceeding. 7. CONFIDENTIALITY If Consultant receives from the City information which due to the nature of such information is reasonably understood to be confidential and/or proprietary, Consultant agrees that it shall not use or disclose such information except in the performance of this Agreement, and further agrees to exercise the same degree of care it uses to protect its own information of 3 like importance, but in no event less than reasonable care. "Confidential Information" shall include all nonpublic information. Confidential information includes not only written information, but also information transferred orally, visually, electronically, or by other means. Confidential information disclosed to either party by any subsidiary and/or agent of the other party is covered by this Agreement. The foregoing obligations of non-use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the Consultant disclosed in a publicly available source; (c) is in rightful possession of the Consultant without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e) is independently developed by the Consultant without reference to information disclosed by the City. 8. CONFLICT OF INTEREST CLAUSE Consultant covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 9. NOTICE Any notice, tender, demand, delivery, or other communication pursuant to this Agreement shall be in writing and shall be deemed to be properly given if delivered in person or mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other telegraphic communication in the manner provided in this Section, to the following persons: To City: Clerk of the City Council City of Santa Ana 20 Civic Center Plaza (M-30) P.O. Moreno, Principal-Project Manager A party may change its address by giving notice in writing to the other party. Thereafter, any notice, tender, demand, delivery, or other communication shall be addressed and transmitted to the new address. If sent by mail, any notice, tender, demand, delivery, or other communication shall be effective or deemed to have been given three (3) days after it has been deposited in the United States mail, duly registered or certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile, any notice, tender, demand, delivery, or other communication shall be effective or deemed to have been given twenty-four (24) hours after the time set forth on the transmission report issued by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends, federal, state, County or City holidays shall be excluded. 10. EXCLUSIVITY AND AMENDMENT This Agreement represents the complete and exclusive statement between the City and Consultant, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the City and by an authorized representative of Consultant. The parties agree that any terms or conditions of any purchase order or other instrument that are inconsistent with, or in addition to, that terms and conditions hereof, shall not bind or obligate Consultant nor the City. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any party, which are not embodied herein. 11. ASSIGNMENT Inasmuch as this Agreement is intended to secure the specialized services of Consultant, Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the City and any such assignment, transfer, delegation or subcontract without the City's prior written consent shall be considered null and void. Nothing in this Agreement shall be construed to limit the City's ability to have any of the services which are the subject to this Agreement performed by City personnel or by other consultants retained by City. 12. TERMINATION This Agreement may be terminated by the City upon thirty (30) days written notice of termination. In such event, Consultant shall be entitled to receive and the City shall pay Consultant compensation for all services performed by Consultant prior to receipt of such notice of termination, subject to the following conditions: 5 a. As a condition of such payment, the Executive Director may require Consultant to deliver to the City all work product completed as of such date, and in such case such work product shall be the property of the City unless prohibited by law, and Consultant consents to the City's use thereof for such purposes as the City deems appropriate. b. Payment need not be made for work which fails to meet the standard of performance specified in the Recitals of this Agreement. 13. DISCRIMINATION Consultant shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities. Consultant affirms that it is an equal opportunity employer and shall comply with all applicable federal, state and local laws and regulations. 14. JURISDICTION - VENUE This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. 15. PROFESSIONAL LICENSES Consultant shall, throughout the term of this Agreement, maintain all necessary licenses, permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder and required by the laws and regulations of the United States, the State of California, the City of Santa Ana and all other governmental agencies. Consultant shall notify the City immediately and in writing of her inability to obtain or maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be cause for termination ofthis Agreement. 16. MISCELLANEOUS PROVISIONS a. Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Agreement. 6 IN WITNESS WHEREOF, the parties hereto have executed this Agreement the date and year first above written. Dear Ms. Leifkes: We are pleased to submit updated qualifications and fees in response to the Community Development Commission-City of Santa Ana's request for the services mentioned above. The Bainbridge Group, Inc. has performed these services to the City for the past two years and other government agencies throughout Southern California for the past eleven years. The Bainbridge Group has diligently assisted these clients by performing asbestos and lead paint surveys, design of specifications for abatement and has provided clearance/monitoring services of abatement in support of the various housing and facility environmental programs. In addition, The Bainbridge Group provides mold/microbial investigation/testing and remediation consulting services for residential and commercial properties. For this contract, The Bainbridge Group is also available and qualified to provide survey/testing, abatement specifications, bidding assistance, and air clearance and monitoring in accordance with the requirements of the Community Development Commission-City of Santa Ana standards, as well as OSHA, AHERA standards and other government requirements therein. Phase 1 - Survey and Testing Inspections will be conducted by first reviewing available blueprints, plans and other data that describe the property layout, construction materials and dates of construction and renovations. A walk-through of the property will then be conducted to identify the areas of concern. Asbestos - Collect samples as warranted and assess existing condition of areas identified to contain asbestos. Our services will be performed by in-house State of California certified consultants, trained under the AHERA programs for inspector, designer, management planner and project supervisor. All asbestos sampling will be performed in accordance with regulatory and state of the arts standards and practices. EXHIBIT A CDC-Santa Ana - Co. Oualifications The Bainbridoe Group, Inc, 05/17/04 Paoe 2 Phase 2 - Abatement Specifications The Bainbrídge Group proposes that project specification documents be written in accordance with strict-level health and safety procedures and in accordance with asbestos regulations. The nature of the abatement requires that certain engineering controls be specified in the project documents so that asbestos fiber/concentration levels are minimized to prevent re-entrainment of the materials into the ventilation system and other surfaces. The specifications/work plan will be designed in accordance with federal, state and local regulatory requirements in the ASTM and CSI contract format. At the conclusion of this phase, a Project Manager will assist the CDC in the coordination and attendance of the contractor's pre-bid conference and will also assist in the review of the contractors' bid documents prior to contract award. Phase 3 - Asbestos Abatement Monitoring Prior to the start of the abatement, The Bainbridge Group will assign a senior level Project Manager to attend a pre-con meeting with all parties involved so that all issues and field coordination are discussed and resolved prior to the abatement work. The Project Manager will then review the awarded abatement contractor's submittal package to assure that all required contractor's documents are satisfied and in compliance with the requirements in the project specifications and the work plan. Once the contractor's submittals are approved, a notice to proceed to abate is given to the abatement contractor. At this time, The Bainbridge Group assigns one (1) full time personnel as required to monitor the contractor's abatement performance in respect to the safety and compliance to pertinent asbestos regulations and work practices. Monitoring services will be conducted for the duration of the projected abatement work. Periodic air sampling will be conducted before (background), during and after (clearance) to ensure and record the contractor's performance and general personnel protection inside and outside the abatement work areas. The monitor will also maintain daily observation logs as well as other documents generated during the abatement project. These documents will then be compiled into a book form and will ultimately be forwarded to the CDC at the conclusion of the project along with the waste manifests. Description of Standard Operating Procedures The Bainbridge Group is committed to provide the quality of services required to ensure that the job is done well within all regulatory guidelines and standards, and that the job is performed safely, effectively, within budget and within schedule. a. Overview The City of Santa Ana owns and manages numerous houses and low market rate dwellings throughout the City of Santa Ana. Many of those dwellings were built over thirty years ago, therefore, lead-based paint materials are present and may be impacted through daily use activities as well as renovation and demolition activities. The objective of this (consulting) program is to support and assist the City in their endeavors to protect the residents and all personnel alike from potential exposure to lead-based paint building materials. This can be accomplished by executing a good sound technical approach to the many facets of maintenance, modernization, construction and demolition related jobs that the City anticipates, and in some instances may respond to as an emergency. Compliance with regulations and guidelines combined with the support of a competent and experienced consulting group will undoubtedly strengthen the City's in-house environmental program. This can be accomplished by hiring a competent and experienced consulting firm to ensure that the City complies with all applicable regulations, guidelines and state of the art techniques. All work proposed herein shall be performed in full compliance with the City's requirements. In addition to our in-house XRF capabilities, we propose to use the services of two independent laboratories for the analysis of samples collected during the course of this contract, They are: LA Testing Laboratories of Los Angeles, California and Environmental Management Consultants of Scottsdale, Arizona. Both laboratories are fully certified to perform analysis of lead-based paint samples. b. Technical Work Plan There are numerous scenarios that involve planned and emergency projects where lead-based paint is present: LEAD-BASED PAINT MATERIALS The Bainbridge Group has been performing lead-based paint related consulting services for rehabilitation engineering/renovation projects in accordance with acceptable state of the art engineering practices. These services are tailored to meet the needs and requirements of the City, whether in a HUD setting, or under OSHA guidelines. Visual Assessment, Paint Inspection/Paint Testing and Risk Assessment for Lead-Based Paint Materials Prior to any sampling activity, The Bainbridge Group management personnel will coordinate and review any previous (if available) surveys and plans for the subject properties in order to determine and perform an inspection/sampling plan. As warranted, a renovation-engineering type of survey will be conducted whereby suspect lead paint materials will be sampled in order to obtain a definitive account for lead painted materials prior to any work. A site inspection/visual assessment will be performed by a certified inspector experienced in conducting lead paint surveys. The inspection will be conducted by first reviewing available blueprints, plans and other data that describe the facility layout, construction materials and dates of construction and renovations. A walk-through of all buildings will then be conducted to identify the areas of concern. Unless otherwise requested, all projects will be tested with the use of an X-ray fluorescence (XRF) Niton device. All work will be performed in accordance with the United States Department of Housing and Urban Development's guidance documents entitled "Guidelines for the Evaluation and Control of Lead-Based Paint Hazards in Housing". Materials suspected of containing lead paint once tested, will be identified, and the location, extent and characteristics of each color or type of painted material will be recorded. When bulk chip sampling is performed, two standards will be used to assess and sample painted/coated building materials: ASTM EI729-95--This standard addresses acceptable procedures for the collection of dried paint samples or other suspect coatings from buildings and related structures, whether by heat gun, cold scraping or coring methods. The use of a heat gun will require the use of a proper respirator, presence of a fire extinguisher, and cannot be used in occupied areas. The cold scraping method of collection is most advantageous in that it can be used on a wide variety of surfaces and both lead area and lead concentration determinations can be performed on the collected sample. Environmental Consultants MBElDBE Page 8 of 14 The HUD Guidelines for the Evaluation and Control of Lead-Based Paint Hazards in Housing (July 1995), chapter 7- These guidelines address paint chip collection in housing units and laboratory analysis. It also addresses commonly encountered interior painted components that should be tested. It is anticipated that a blend of these noted guidance documents will provide the basis for sampling strategy, testing and reporting. As a result of the testing, a risk assessment or EBL related testing may be warranted to address the conditions and steps necessary to mitigate any damaged painted surfaces found. Dust wipe sampling and soil sampling will be performed in accordance with HUD Guidelines, Sections 13.1 and 13.3 respectively. Recommendations Cost Effective Treatments and Specifications for Lead-Based Paint Materials. As part of the process or during various milestones of the different projects, The Bainbridge Group tracks all on-going projects for construction cost as well as design elements affecting the cost of the project. The Bainbridge Group has developed realistic budgetary estimates within the City's needs and monetary outlay. The Bainbridge Group maintains and updates a database of construction costs for all in-house and other public projects for future reference. The database has been instrumental in the performance of cost estimation and budgeting of projects. During these reviews, The Bainbridge Group is able to identify the areas where costs can be saved. This process allows both the designer and the City to identify the pros and cons of any potential changes that may warrant other recommendations or modifications. Also, in order to avoid high costs, cost overruns or unnecessary change orders - different treatments may be recommended depending on the existing condition and make-up composition of the finish materials, building components and/or substrate materials. There are several cost effective methods that are recommended as interim controls in housing components where total paint removal is not required of is not cost effective. They are the following: Paint Film Stabilization Eliminate any exterior leaks in the building envelope (e.g., roofing leaks, gutter or downspout problems, missing or damaged doors, roof flashing, missing trim, missing glass in windows, defective or missing caulk and glazing, et.) Eliminate any interior water leaks (e.g., plumbing leaks, inadequately ventilated attic spaces, windows that won't close completely, missing grout or caulking, etc.) Select and implement an appropriate work site preparation level. Prepare surface by wet scraping or wet sanding all loose and peeling paint. Clean, de-gloss, and neutralize all surfaces After all surfaces are dry, apply encapsulant designed for lead-based paint as a primer coat. Impact and Friction surface treatments: Windows: Select and implement an appropriate work site preparation level. Remove stop bead and parting strip. Stabilize all deteriorated lead-based paint. Eliminate all paint from friction and surface impact. Repair all operating systems of windows. Replace stop bead and parting strip. Repaint all surfaces as outlined in Paint Film Stabilization. Conduct final cleanup. Doors: Select and implement an appropriate work site preparation level. Remove doorstop. Remove door. Stabilize all deteriorated lead-based paint. Eliminate all paint from friction and surface impact. Repair all operating systems Replace doorstop. Repaint all surfaces as outlined in Paint Film Stabilization. Conduct final cleanup. Stairs: Select and implement an appropriate work site preparation level. Install a hard covering on treads or remove all paint from tread surfaces. Stabilize all deteriorated lead-based paint. Eliminate all paint from friction and surface impact. Make any necessary repairs. Repaint all surfaces as outlined in Paint Film Stabilization. Conduct final cleanup. As a recommended option to the City - When the report phase is completed and approved by the City, a remediation plan will be developed, addressing the necessary recommendations for containment and abatement of lead-based paint materials found in the subject property. The Bainbridge Group has been developing and preparing specifications for various types of architecture, engineering and lead abatement related projects for the past nine years, including historically preserved housing projects. The type of projects include renovation, remodel, tenant improvement and lead abatement. Monitoring of Abatement and Clearance Testing in Relation to Lead-Based Paint Contamination. Once the abatement contract is awarded to a certified lead paint abatement contractor, the project will be managed by a Project Manager in charge of the certified project monitor for the duration of the abatement work. The personnel will, on the City's behalf, conduct the meetings required for: . Pre-construction . Abatement construction progress . Project closeout The Personnel will secure the Owner's advance approval of date and time for the meeting(s). Records: The Personnel will maintain a complete and legible file in chronological order, containing a copy of each of the following: meeting minutes, field report, submittals, hazardous waste manifest, air, bulk and core sample monitoring results, state agency notifications (DHS form 8551) and correspondence, employee and visitor attendance log and other communications received relative to the Work of this section. Upon completion of the Work, deliver one (1) copy of the documentation job book to the Owner. The book shall include all records of the Work, project specifications, contracts, certificate of worker's release, employee medical report, contractor work procedures, employee training certification, product and equipment data, project record documents and all other documents, correspondence and information relative to the Work. Observation During Abatement: Visually observe progress of Work including, but not necessarily limited to the following: Verify contained work area, isolated work area and decontamination enclosure system design and installation. Verify that abatement engineering controls, methods and procedures specified by these Contract Documents are being followed. Call the attention of the Contractor's representative on the job to unacceptable engineering controls, methods and procedures or unacceptable results. Report to the City or City's Representative if the Contractor fails to correct unacceptable methods and procedures or unacceptable results. Conduct periodic review of isolation and containment barriers to determine if they are in compliance with the requirements of the contract documents/specifications. Thereafter, provide area monitoring at least once every work shift for the duration designated in the contract documents. Monitoring shall be conducted outside the building, inside the Work area and at critical locations adjacent to the Work area, including the negative air pressure equipment exhaust. At the discretion of the monitor, more frequent area monitoring may be provided. Conduct "clearance testing" in the form of lead wipes and/or soil sampling as required. Stopping the Work: If at any time the City, City's Representative or the Monitoring Personnel decides that work practices are violating pertinent regulations or in its opinion endangering residents and other personnel, it will immediately notify the Contractor (followed up in writing) that operations shall cease until corrective action is taken by the Contractor. The Contractor shall take such corrective action before proceeding with the Work. Loss or damage due to the stop work order shall be the Contractor's responsibility and expense. Reports: Make daily written reports of observation activities for the City's use. Issue "Certificate of Completion" or "Certificate of Substantial Completion" upon correction of the punch list items, per 24 CFR Part 35. Upon completion of the Work, compile a documentation report book covering activities performed under this section and the contract requirements and deliver one (1) copy of the book to the City.
