RECIIALS A. The Parties entered into that certain agreement entitled" AGREEMENT BETWEEN THE CITY OF SANTA ANA AND SYMCO Group, Incorporated" dated September 18, 2001, hereinafter referred to as "said Agreement", to provide mainframe computer maintenance and equipment products and technical services. B. On July 16, 2002, Parties entered into an amendment to said Agreement numbered for reference A-2002-144 to provide continuous uninterrupted service under said Agreement. C. On July 17, 2003, Parties entered into a Second Amendment to said Agreement numbered for reference A-2003-112 to provide continuous uninterrupted service under said Agreement. D. The Parties now desire to amend Exhibit A, Compensation and the Term of said Agreement in order to provide continuous uninterrupted service under the Agreement. WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree as follows: 1. Section 1, of said Agreement, pertaining to Terms and Conditions, Exhibit A (Equipment and Maintenance Agreement reo No. 18980724 Revision Two) of said Agreement is hereby amended by replacing the terms of Revision Two with the terms of Revision Three and to extend the term until June 1, 2005 (Revision Three of said agreement is attached hereto incorporated herein by reference). 2. Section 1, of said Agreement, pertaining to Terms and Conditions of said Agreement is hereby amended to extend the term until June 1, 2005. 3. Section 1, of said Agreement pertaining to Terms and Conditions, Exhibit A (Equipment and Maintenance Agreement reo No. 18980724 Revision Two) of said Agreement is hereby amended to delete Exhibit D. 4. Section 3, of said Agreement, pertaining to "Compensation" of said Agreement is hereby amended to reflect an increase in compensation not to exceed $70,000, (terms of increased compensation are set forth in Revision Three, Exhibit A), due to the increase in the City's need for the Consultant's services and equipment under said Agreement. 5. Except as hereinabove modified, the terms and conditions of said Agreement remain unchanged and in full force and effect. SYMCO shall not be liable for toss or damage to CUSTOMER resulting therefrom, and CUSTOMER shall be liable 10 SYMCO for any service costs incurred by SYMCO as a consequence thereof. 4. SUPPLIES Maintenance charges do nol include ltle furnishing of supplies (such as ribbons, cards, paper tape, paper ferms, or magnetic tape). Only supplies which meel Unisys specifications shall be used by CUSTOMER when tt":e performance or maintenance of lhe equipment may be affected 5. SHIPMENT OF EQUIPMENT (IF DEPOT MAINTENANCE) a The parties agree lttat the method of eGuipment packaging and shipment both to and from the Service Depot. shall be in accordal"'.ce with commercially reascnable standards, consistent wilh' the nature of the equipment and the Mazards of L-ansportation and handling. CUSTOMER agrees to package L~e equipment along with Hs service log in an authorized SYMCO container for shipmet"lt to the Service Depot SYMCO agrees to relurn t"le serv~ced equipment to the CUSTO,"tER in an authorized SYMCO container. b All transporta~on ex;;-enses ....ill be tome by CUSTOMER 6. GENERAL CONDITIONS a. The equipment must be in good operating condition on the Effective Date of this Agreement b. SYMCO Is not obligated under the terms of this Agreement to repair damage to equipment caused directty or incirectly as a result ot accident, neg:liger.,~, or abuse of or by CUSTOMER or third parties. failure of CUSTOMER to maintain required environmentai cor.ditions; causes external to the system such as electrical power l'luctuatioo or fa~ures; lire, windstorm, the elements, or acts of God.
