FIRST AMENDMENT TO
COOPERATIVE AGREEMENT
THIS FIRST AMEND~~~lCO,OPERA TIVE AGREEMENT is made and entered
into this ~ day of L 2004, by and between the City of Santa Ana, a
charter city and municipal corporation of the State of California, ("City") and the County
of Orange ("County").
RECITALS:
A. The City on behalf of all jurisdictions in Orange County, has been designated to
receive grant funding provided by the U.S. Department of Housing and Urban
Development (HUD) pursuant to the Housing Opportunities for Persons With
AIDS (HOPW A) program; and
B. City has entered into a HOPW A grant agreement with HUD; and
C. The City has contracted with the County since 1993 to provide supportive housing
services for persons living with HIV/ AIDS. During the City's last HOPW A
funding cycle the City changed the contract year to coincide with the City's fiscal
year and changed the agreement term to one year, with the stipwation that any
unused funds be returned to the City for reallocation.
D. Due to the transitional period with only four months for the County to contract
and expend funds, the County was unable to expend all of its funds.
E. The City recommends that the Cooperative Agreement with the County (A-2004-
085) be amended to include the $190,000 that was deobligated from the County
contract of budget year 2003-2004.
WHEREFORE, in consideration of the mutual and respective covenants and promises
contained in the Agreement, and subject to all the terms and conditions of the Agreement,
City and the Project Sponsors agree as follows: .

The Cooperative Agreement (A-2004-085) shall be amended to include in the
grant amount an additional One Hundred Ninety Thousand Dollars ($190,000), so
that the total maximum obligation set forth in subsection A. of section II. Budget
shall be Seven Hundred Sixty Five Thousand Dollars ($765,000).

Except as hereinabove modified, the terms and conditions of the Agreement
remain in full force and effect.

IN WITNESS WHEREOF, City and the County have executed this First Amendment to
Cooperative Agreement on the date first set forth above.
