RESOLUTION NO. 98- 15
A RESOLUTION OF THE COMMUNITY REDEVELOPMENT
AGENCY OF THE CITY OF SANTA ANA APPROVING AN
AGREEMENT BETWEEN THE AGENCY AND SSF, INC. FOR THE
SALE AND DEVELOPMENT OF CERTAIN PROPERTY IN THE
SOUTH MAIN STREET REDEVELOPMENTPROJECT
WHEREAS, the. Community Redevelopment Agency of the City of Santa Ana (hereinafter
referred to as the "Agency") is engaged in activities necessary to execute and. implement the
Redevelopment Plan for the Santa Ana South Main Street Redevelopment Project (the "Project Area");
and
WHEREAS, in order to implement the Redevelopment Plan, the Agency proposes to sell certain
real property in the Project Area, pursuant to the terms and conditions of that certain Disposition and
DevelopmentAgreement (hereinafter referred to as the "Agreement") between the Agency and SSF, INC.
(the "Developer"), which is on file in the office of the Executive Director of the Agency, in which said
real property (hereinafterreferred to as the "Site") is described; and
WHEREAS, the Developer bas submitted to the Agency a written offer to purchase the Site in the
form of the Agreement; and
WHEREAS, the Agreement contains all of the provisions, terms, conditions and obligations
required by the state and local laws; and
WHEREAS, pursuant to the provisions of the California RedevelopmentLaw, the Agency and the
City Council have held a duly noticed joint public hearing on the proposed sale of the Site pursuant to the
Agreement; and
WHEREAS, the Agency has reviewed and considered the information contained in the initial
study and the negative declaration prepared with respect to the Agreement, and as a result of its
consideration, and the evidence presented at the hearings on this matter, determined that, as required
pursuant to the California Environmental Quality Act ("CEQA") and the State CEQA Guidelines, a
negative declaration adequately addresses the expected environmental impacts of the Agreement, such
that, the Agency finds that there is no evidence from which it can be fairly argued that the project will
have a significant adverse effect on the environment;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMUNITY REDEVELOPMENT
AGENCY OF THE CITY OF SANTA ANA, AS FOLLOWS:
I. The Agency hereby certifies and approves the negative declaration prepared in conjunction
with the Agreement and directs that the Notice of Determination be prepared and filed with the County
Clerk of the County of Orange in the manner required by law.
2. The Agency bas considered all terms and conditions of the proposed sale and the Summary
Report, and hereby finds and determines that the redevelopment of the Site pursuant to the Agreement is
in the best interests of the City of Santa Ana and the health, safety and welfare of its residents, and is in
accord with the public purpose and provisions of the applicable state and local laws.
3. The Agreement is hereby approved, and the Chairman of the Agency is hereby authorized to .
execute the Agreement and the Grant Deed pertaining hereto and conditions governing the sale, with such
non-substantial changes as may be deemed necessary by the Executive Director and Agency Council to
carry out the intent of this resolution.
4. The Executive Director of the Agency is hereby authorized to take all steps, and to sign all
documents and instruments necessary to implement and carry out the Agreement on behalf of the
Agency.
5. The approval of the Agreement by the Agency, as hereinabove set forth, is conditional upon
the approval of the sale of the Site upon the terms and conditions contained therein by the City Council of
the City of Santa Ana.
