A RESOLUTION OF THE COMMUNITY REDEVELOPMENT
AGENCY OF THE CITY OF SANTA ANA APPROVING AND
AUTHORIZING THE EXECUTION OF AN AGREEMENT FOR
APPRAISAL SERVICES WITH BAIR AND WEBB, CON-
SULTING APPRAISERS
BE IT RESOLVED that the Community Redevelopment
Agency of the City of Santa Ana hereby approves the Agreement
for Appraisal Services with Bair and Webb, Consulting Apprai-
sers, which Agreement is attached hereto and referred to as
Exhibit "A", and authorize!;! the chairman of the Agency to
execute said Agreement on behalf of the Agency.
PASSED AND ADOPTED by the Community Redevelopment
Agency of the City of Santa Ana at its regular
meeting held on the 12th day of November , 1975.

AGREEMENT FOR APPRAISAL SERVICES WITH
BAIR AND WEBB,
CONSULTING APPRAISERS
THIS AGREEMENT, entered into this 30th day of October,
1975, by and between the COMMUNITY REDEVELOPMENT AGENCY OF THE CITY
OF SANTA ANA, a municipal corporation, (hereinafter referred to as
the "Agency"), and BAIR AND WEBB, CONSULTING APPRAISERS, a sole
proprietorship, whose address is 1450 East 17th Street, Suite 212,
Santa Ana, California, 92701, (hereinafter referred to as the
"Contractor") .

WHEREAS, the Agency desires to retain the services of
the Contractor to prepare appraisals for the Redevelopment Project
within the boundaries of the Project Area which are described on
the map attached hereto as Exhibit "I", and which boundaries are
hereinafter referred to as the "Project Area"; and
WHEREAS, the Contractor represents that he is authorized
and qualified to provide such services for the Agency.
NOW, THEREFORE, it is mutually agreed between the parties
as follows:

SCOPE OF SERVICES
(a)
The Contractor agrees to prepare a fair market
value appraisal for acquisition purposes for those parcels of
property identified as Assessors Parcels numbered:

Parcels along First Street should be evaluated in
accordance with the improvement of First Street as shown on a
map which shall be furnished to the Contractor by the Agency.
(c)
The Contractor shall submit a written appraisal re-
port in an original and three copies on each parcel appraised.
Each
such report shall include the following:

Analysis of comparable sales (Market Data Approach).
5.
Analysis of income and expenses, if applicable
(Income Approach).

Summary of depreciated replacement cost, if

Value conclusion with supporting analysis; value
conclusions to be allocated between land and
improvements.
8.
One or more photographs of the subject parcel,
all photographs to be properly captioned.

PUBLIC PRESENTATIONS
The Contractor shall be available for meetings with the
staff, Redevelopment Commission and Redevelopment Agency, provided
that the Contractor shall not be required to be available for more
than five (5) such meetings.
III
CONTRACTOR PERSONNEL
The Contractor agrees to assign personnel to the perfor-
mance of this contract as specified in this section.
The appraisal
will be performed under the supervision and direction of Clifton
M. Webb, Jr., M.A.I.

TIME OF PERFORMANCE
All services required pursuant to Section I of this
Agreement shall commence when and as directed by the Agency and
shall be completed no later than 90 calendar days thereafter.
V
COMPENSATION
The Agency agrees to pay the Contractor, as total com-
pensation for all services performed and benefits provided pur-
suant to this Agreement, the sum of $14,800 (Fourteen thousand
eight hundred dollars).
There shall be no additional reimburse-
ment over and above such $14,800 figure for travel, subsistence
or other incidental expenses incurred by the Contractor.

VI
METHOD OF PAYMENT
Payment shall be either in lump sum upon the completion
of performance by the Coptractor or, at the option of theContrac-
tor, in installments for work actually performed on the basis of a
prorated adjustment of the total fee.
Upon completion, delivery,
and acceptance of the services, Contractor shall submit a requisition
to the Agency specifying the amount due for services performed
by the Contractor's staff and describe the services performed.
Such requisition for payment shall contain a certification by Mr.
Herbert N. Bair or Mr. Clifton R. Webb, Jr. specifying that the
payment requested is for work performed in accordance with the provi-
sions of this Agreement.
The Agency shall make payment on an approved
requisition on or about the 15th of a given month if the requisition
is submitted to the Agency no later than the 1st of said given month.

OWNERSHIP OF MATERIALS AND DOCUMENTS
Any and all sketches, drawings, tracings, field survey
notes, computations, detail and other materials and documents pre-
pared by the Contractor shall be the property of the Agency from
the moment of their preparation and the Contractor shall deliver
such materials and documents to the Agency whenever requested to
do so by the Agency.
However, the Contractor shall have the right
to make duplicate copies of such materials and documents for his
own file, or other purposes as may be authorized in writing by
the Agency.

consent associate the Contractor's name with any material not the
exclusive produce of the Contractor.
VIII
NON-DISCLOSURE
The designs, plans, reports, investigations, materials
and documents prepared or acquired by the Contractor pursuant to
this Contract (including any duplicate copies kept by the Con-
tractor) shall not be shown to any other public or private per-
son or entity except as authorized in writing by the Agency.
The Contractòr shall not disclose to any other public or. private
person or entity any information regarding the activities of the
Agency, except as authorized in writing by the Agency.
IX
CONFLICT OF INTEREST
For the duration of this Contract, the Contractor will
not act as consultant or perform services of any kind for any per-
son or entity other than the Agency or the City of Santa Ana in
regard to the Project Area without the prior written consent of
the Agency.

CONTRACTOR'S LIABILITY
The Contractor shall be responsible for all physical
injuries to persons and for all physical damage to property of the
Agency or others caused by or resulting from the negligence of
~tself, its employees, or its agents during the progress of or
coimected with the rendition of services hereunder, and shall de-
fend and hold harmless and indemnify the Agency, the City. of Santa
Ana, and all officers and employees of both public agencies from

all costs and claiI:1s for physical damages or injuries, however
caused arising out of the Contra~tor's performance of work under
this Contract.
XI
CORRECTION OF WORK
The performance of services by the Contractor shall not
relieve the Contractor from any obligation to correct any incom-
plete, inaccurate, or defective work at no further cost to the
Agency, when such inaccuracies are due to the negligence of the
Contractor provided such work has not been accepted in writing
by the Agency.
XII
EQUAL ElœLOYI~NT OPPORTUNITY
During the performance of this Contract, the Contractor
agrees as follows:
(a)
The Contractor will not discriminate against any
employee or applicant for employment because of race, color, reli-
gion, sex, or national origin.
The Contractor will take affirma-
tive action to ensure that applicants are employed, and that em-
ployees are treated during employment, without regard to their
race, color, religion, sex, or national origin.
Such action shall
include, but not be limited to the following:
employment, upgrading,
demotion, or transfer; recruitment or recruitment of compensation;
and selection for training, including apprenticeship.
The Con-
tractor agrees to post in conspicuous places, available to employees
and applicants for,employment, notices to be provided by the ,Agency
setting forth the provisions of, this non-discrimination clause.
(b)
The Contractor will, in all solicitations or adver-
tisements for a~ployees placed by or on behalf of the Contractor

state that all qualified applicants will receive consideration for
emplo~aent without regard to race, color, religion or sex, or
national origin.
(c)
The Contractor will cause the foregoing provisions
to be inserted in all subcontracts for any work covered by this
Contract so that such provisions will be binding upon each subcon-
tractor, provided that the foregoing provisions shall not apply to
contracts or subcontracts for standard commercial supplies or raw
materials.
XIII
El1PLOYMENT OF RESIDENTS
The Contractor is encouraged by the Agency to employ
qualified people, when available, from the Project Area to assist
in providing the services contracted for in this Agreement.
XIV
COST RECORDS
In accordance with generally accepted accounting prin-
ciples, the Contractor shall maintain full and complete records
of the cost of services performed under this Agreement.
Such
records shall be open to the inspection of the Agency and its
employees at all reasonable times.

SUBCONTRACTING
None of the services covered by this Contract shall be
subcontracted without the prior written consent of the Agency.
The Contractor shall be as fully responsible to the Agency for
the acts and omissions of his subcontractors, and of persons.

acts and omissions of persons directly employed by him.
The Con-
tractor shall insert in each subcontract appropriate provisions
requiring compliance with the labor standards provisions of this
Contract.
XVI
ASSIGNABILITY
The Contractor shall not assign any interest in this
Contract, and shall not transfer any interest in the same (whether
by assignment or novation) without prior written approval of the
Agency; provided however, that claims for money due or ~o become
due the Contractor from the Agency under this Contract may be
assigned to a bank, trust company, or other financial institutions,
or to a Trustee in Bankruptcy, without such approval.
Notice of
any such assignment or transfer shall be furnished promptly to
the Agency.
XVII
NOTICES
Notices to the parties shall, unless otherwise requested
in writing, be sent to the Agency at 20 Civic Center Plaza, Santa
Ana, California, 92701, and to the Contractor at 1450 East 17th
Street, Suite 212, Santa Ana, California, 92701.
XVII I
CHANGES
The Agency may, from time to time, request changes in the
Scope of Services of the Contract to be performed hereunder.
Such
changes, including any increase or decrease in the amount of the
Contractor's coDpensation, which are mutually agreed upon. by and
between the Agency and the Contractor shall be incorporated in

written amendments to this Contract.
XIX
TERMINATION
This Agreement may be terminated by the Agency upon
written notice to the Contractor.
In the event of such termination
the Agency shall pay the Contractor for work actually performed on
the basis of a prorated adjustment of the total fee set forth in
Section V of this Agreement.
As a condition to such payment, the
Agency may at its option require the delivery of work completed to
the date of such termination.
IN WITNESS WHEREOF the parties hereto have executed
this Agreement in duplicate on the day and year first above writ-
ten.
