Recitals: A. The parties entered into Agreement N-2004-045, dated May 5, 2004, (hereinafter "said Agreement") by which Consultant has instructed Hip Hop I Jazz dance classes through the City's leisure class program. B. In accordance with the terms and conditions of said Agreement, the parties wish to renew said Agreement for an additional one-year period. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: I. Section I, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Consultant shall perform those services as set forth in Exhibit A- I, attached to this First Amendment to Agreement, and incorporated to said Agreement by this reference. " 2. Section 3, TERM shall be amended to extend the term through December 31, 2005. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. '<- EANNi¥~'æCCI-HERRON , . . EXHIBIT A-I SCOPE OF SERVICES Consultant shall provide beginning Hip-Hop I Jazz dance instruction for youth, ages II to 18, as follows: FEES . Consultant shall instruct a one-hour beginner class, once a week during separate six-week sessions. The classes will be held at the Sandpointe Recreation Center, or at another facility as agreed between Consultant and City. Consultant has determined that classes will be held on Friday's, from 6:30- 7:30pm. Consultant may adjust the schedule, based on the availability of rooms in the City's facility. Each class shall have a minimum of 8 and a maximum of 25, registered and paid participants. If the minimum registration has not been reached by the first class, the class may be cancelled by mutual agreement of Consultant and City, with no compensation owed Consultant for any cancelled class session. . . . . . Each participant shall pay a $45.00 class registration fee per six-week session of one-hour class. No refunds will be made to participants after the first week of class unless the class is cancelled by the Parks, Recreation and Community Services Agency. City shall collect registration fees from each participant. Consultant shall refer interested students to City for registration. Consultant shall receive seventy percent (70%) of total fees collected for the classes within fifteen (15) working days after completion of each class session. City shall retain thirty percent (30%) of the fees collected. Consultant agrees that City shall be entitled to audit Consultant's records and classes to ensure compliance with this Agreement and that all participants are registered. Consultant may not waive class participation/registration fees. City shall prepare class rosters and provide a copy to Consultant. Only registered participants, listed on roster, may participate in class. . . . . . .
