Recitals: A. The parties entered into Agreement N- 2004 -053, dated July 26, 2004, (hereinafter "said Agreement ") by which Consultant has instructed children's music classes through the City's leisure class program. B. In accordance with the terms and conditions of said Agreement, the parties wish to renew said Agreement for an additional one -year period. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Consultant shall perform those services as set forth in Exhibit A -1, attached to this First Amendment to Agreement, and incorporated to said Agreement by this reference." 2. Section 3, TERM shall be amended to extend the term through December 31, 2005. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. REAM City Manager CONSULTANT EXHIBIT A -1 SCOPE OF SERVICES Consultant shall provide "Kids Love Music" workshops for children to enjoy a variety of musical experiences as follows: Consultant shall instruct classes for children 4 -14 months with their parents, children 1 -4 years with their parents, and another class for children 5 -7 years old. Each class shall meet once a week during 4 to 6 week sessions. The classes will be held at the Lawn Bowling Club House. Classes will be held on Monday's, as follows: • Age 1 -4 years 1:45 — 2:30 pm • Age 4 — 14 months 2:40 - 3:10 pm • Age 5 -7 years 3:20 — 4:05pm Consultant may adjust the schedule, based on the availability of rooms in the City's facility. Each class shall have a minimum of 5 and a maximum of 20, registered and paid participants. If the minimum registration has not been reached by the first class, the class may be cancelled by mutual agreement of Consultant and City, with no compensation owed Consultant for any cancelled class session. FEES • Each participant shall pay a $28.00 class registration fee for four -week sessions and a $42.00 fee for six -week sessions. • No refunds will be made to participants after the first week of class unless the class is cancelled by the Parks, Recreation and Community Services Agency. • City shall collect registration fees from each participant. Consultant shall refer interested students to City for registration. • Consultant shall receive seventy percent (70 %) of total fees collected for the classes within fifteen (15) working days after completion of each class session. City shall retain thirty percent (30 %) of the fees collected. • Consultant agrees that City shall be entitled to audit Consultant's records and classes to ensure compliance with this Agreement and that all participants are registered. • Consultant may not waive class participation/registration fees. • City shall prepare class rosters and provide a copy to Consultant.
