AMENDMENT NO.2 TO AGREEMENT
This AMENDMENT NO. 2 TO AGREEMENT ("Amendment 2"), entered into effective on
Feb. II!, 2005, is between the STATE OF CALIFORNIA, acting by and through its
Department of Transportation, referred to herein as "STATE", and
CITY OF SANTA ANA, a charter city
existing and organized under the
laws of the State of California, referred to
herein as "CITY".

L The parties hereto entered into an Agreement (Document No. 015491) on March 25, 2003.
Said Agreement defined the terms and conditions of a project consisting of acquiring and
financing right of way and developing and constructing a Scenic Enhancement near
Interstate 5 on Patricia Lane in the City of Santa Ana, referred to herein as "PROJECT",
2. The parties hereto also entered into an Amendment No.1 to Agreement (Document No.
015491) on May 3, 2004, to acknowledge STATE's PROPERTY VALUE CONTRIBUTION of
69% proportionate interest in PROPERTlES, a value of $259,985, to CITY, and to decrease
the STATE-managed TEA fund amount for PROJECT from $533,000 to $439,000,
3. The purpose of this Amendment 2 is to acknowledge STATE's PROPERTY VALUE
CONTRIBUTION of the entire fair market value in PROPERTIES, a value of $376,790, to
CITY, and to decrease the STATE -managed TEA fund amount for PROJECT from $439,000
to $349,000 as shown in revised Exhibit B, dated October 28, 2004, attached to and made
a part of this Amendment, superseding Exhibit B, dated January 30, 2004, shown in the
amended Agreement.
IT IS THEREFORE MUTUALLY AGREED:
L Article 4 of Recitals section of the amended Agreement (Document No. 015491) is hereby
amended to read as follows:
"4, STATE desires to provide STATE-managed TEA funds, up to 75.2% of the eligible
PROJECT costs, as described in Exhibit B, not to exceed the amount of $349,000 to CITY for
PROJECT. Said amount of TEA-managed Funds to be provided by STATE to CITY does not
include STATE's PROPERTY VALUE CONTRIBUTION to CITY for PROJECT."
2. Article 2 of Section 1 of the amended Agreement (Document No. 015491) is hereby amended
to read as follows:
"2. To bear all actual cost of PROJECT, including all capital and support costs, in excess of
STATE-managed TEA funds of $349,000 and STATE's PROPERTY VALUE CONTRlBUTION.
Estimated costs of PROJECT are shown in Exhibit B."

3. Article 3 of Section I of the amended Agreement (Document No. 015491) is hereby amended to
read as follows:
"3, To submit invoices to STATE for reimbursement of PROJECT expense incurred by CITY.
In no event shall STATE's share toward PROJECT costs, excluding STATE's PROPERTY
VALUE CONTRIBUTION, exceed 75.2% of the eligible PROJECT costs or $349,000, whichever
is less, Invoices shall be submitted on CITY letterhead to STATE Project Manager. Invoices
will be prepared in the manner as described in Chapter 5, Accounting/Invoices, of the Local
Assistance Procedures Manual."
4. Article I of Section II of the amended Agreement (Document No. 015491) is hereby amended
to read as follows:
"1. Upon receipt of detailed invoices from CITY, to reimburse CITY for eligible PROJECT
costs incurred under this Agreement, up to the amount of $349,000, which figures
represents solely STATE-managed TEA fund contribution, excluding STATE's PROPERTY
VALUATION CONTRIBUTION."
5. Article 2 of Section II of the amended Agreement (Document No. 015491) is hereby amended
to read as follows:
"2, STATE-managed TEA fund contribution for eligible PROJECT costs, excluding STATE's
PROPERTY VALUE CONTRIBUTION, shall be up to 75.2% of the eligible PROJECT costs,
not to exceed $349,000 for right of way acquisition, design and construction costs, as
shown on Exhibit B."
6. Article 7.1 of Section III of the amended Agreement (Document No. 015491) IS hereby
amended to read as follows:
7. "7.1 STATE and CITY agree that the total fair market value of PROPERTIES was
determined to be $376,790 on November 14, 2003. STATE and CITY acknowledge and
agree that STATE's PROPERTY VALUE CONTRIBUTION to CITY for PROJECT is above and
beyond the $349,000 of STATE -managed TEA funds described in this Agreement."

8. All other terms and conditions of said Agreement (Document No. 015491) shall remain in
full force and effect.
9. This Amendment 2 is hereby deemed to be a part of the original Agreement (Document No.
015491).

PURCHASE AND SALE AGREEMENT - REAL PROPERTY

"Hazardous Substance" shall mean any substance whose nature and/or quantity of existence, use,
manufacture, disposal of effect, render it subject to federal, state or local regulation, investigation,
remediation or removal as potentially injurious to public health or welfare, including the comprehensive
Environmental Response Compensation and Liability Act or Resource Conservation and Recovery Acts as
now in effect. Hazardous Substance Condition shall mean the existence on or under, said property of a
hazardous substance that requires remediation and/or removal and/or to be otherwise mitigated pursuant to
applicable law.
The tenns and conditions of the above agreement are hereby accepted, subject to the approval of the
California Transportation Commission.

PURCHASE AND SALE AGREEMENT-REAL PROPERTY
DD-073891-01-01 & DD-073898-01-01
In this Agreement dated. . by and between the City Of Santa Ana, a charter
city and-municipal corporation, duly organized under the constitution and law of the State of California,
hereinafter known as "Buyer" and State Of CalifQrnia, Department Of'fransportation, hereinafter.known
as "Seller", the parties agree as foiJows:
Buyer hereby agrees to purchase, and Seller hereby agrees to sell, without monetary consideration, Zero
Dollar ($0.00), that eight (8) vacant and unimproved real property located in the City of Santa Ana, County
of Orange, California, and legally described on Director's Deed Numbers DD 073891-01-01 and DD
073898-01-01 (hereinafter referred to as the "properties"). The Buyer and the Seller further understand,
agree and accept that the Fair Market Value is 1bree Hundred Seventy Six Thousand, Seven Hundred Ninety
Dollars, ($376,790.00).
Subiect to the following conditions:

All sales made subject to the approval of the California Transportation Commission, (CTC) or the
Commision's designee. In the event that the CTC or its designee fails to approve this sale, all monies if any
heretofore paid by the Buyer will be refimded without interest.

The properties referenced above are subject to Transportation Enhancement Activities (TEA) Program
Agreement Declaring Restrictive Covenants, nmning with the land in perpetuity, separately recorded, and
hereto for reference as exhibit "ADRC".

The sale of the properties are to close and the deeds recorded, within thirty days after the final execution of
the contribution agreement.
IV
The Seller is willing to process this sale at no charge to the Buyer, except for the items set forth in paragraph
V below. Buyer, at its option, may open an escrow at its own expense. The Seller will pay no escrow fees.
V
The Buyer agrees to pay any and all recording fees, documentary stamp tax and monumentation fees
chargeable by the County Recorder. At a later date, the Seller will request that these fees are forwarded, and
. buyer shall subrnit to the seller upon demand.
VI
The Buyer expressly understands that the right, title and interest in the properties to be conveyed shall not
exceed that vested in the State of California and that the Seller will furnish no policy of title insurance, If a
policy oftille insurance is desired, the Seller will obtain one, upon request, at the Buyer's expense.

The properties are .being sold "as is" and are being conveyed subject to any special assessments, restrictions,
reservations or easements of record and subject to any reservations contained in the Director's Deed. Buyer
may examme any intormation the Seller has relative to these matterS.

In the event suit is brought by either party to enforce the terms and provisions of this Agreement or to secure
the perfonnance hereof, each party shall bear its own attorney's fees.

This Agreement Declaring Restrictive Covenants (ADRC), hereinafter referred to as
. "AGREEMENT', is entered into effective this day of , 2 , by and between City
of Santa Ana, including their assigns and successors in interest with respect to all duties and obligations
assumed herein, hereinafter referred to collectively as "APPliCANT," and the State of California, acting by
and through the Department of Transportation (Caltrans), hereinafter referred to as "STAlE."
WHEREAS, APPliCANT will become the owner of certain'real property, hereinafter referred to as
"REAL PROPERTY", described in Exhibit ADRC-A, attached hereto and incorporated herein by this
reference; and
WHEREAS, APPliCANT will acquire this REAL PROPERTY described in ADRC-A for the
purpose of preserving, improving and enhancing the REAL PROPERTY for public use as described in the
Transportation Enhancement Activities Application Form, hereinafter referred to as "APPliCATION",
attached hereto as Exhibit ADRC-B and incorporated herein by reference; and
WHEREAS, STATE has allocated federal funds to APPliCANT for REAL PROPERTY and
improvements thereto as provided in section 133( d)(2) of 23 United States Code Annotated; and
WHEREAS, both APPliCANT and. STATE desire and intend to permanently restrict the REAL
PROPERTY uses now and in perpetuity to the transportation enhancement purposes, as set forth in the
APPliCATION, specifically for scenic value and scenic enhancement purposes through landscaping and
maintenance, so that both the State of California and each successive owner of all or part of said REAL
PROPERTY shall be benefited by the preservation of REAL PROPERTY for that purpose, herein after
referred to as "lRANSPOlITATION ENHANCEMENT PURPOS~". '--
NOW THEREFoRE, in consideration of the mutual prornises of the parties hereto, each to the other
as covenantors and covenantees, and expressly for the substantial benefits to be derived therefrom, and to
bind, their successors. in interest, the said parties agree as follows:
Management and Maintenance of Property
1. Although not an exhaustive list, none of the prohibited uses described in Exhibit ADRC _ C,
attached hereto and incorporated herein by this reference, shall be made of the REAL PROPERTY.
2, APPliCANT will use, IBanag6-and maintain, now and in the future, the REAL PKOPERTY
acquired, developed, landscaped,' rehabilitated,or restored with federal Transportation Enhancement
Activities funds (TEA Funds) allocated to APPliCANT, pursuant to tenns and conditions of the COOperative
Agreement, dated . attached hereto as Exhibit ADRC - D and incorporated herein by this
reference, the approved APPliCATION, and this AGREEMENT. If there is any conflict between the
documents, this AGREEMENT shall control first, the Cooperative Agreement second and the approved
APPliCATION last If APPliCANT fails to use, manage and maintain the REAL PROPERTY pursuant to
the tenns of this AGREEMENT, APPliCANT will be required to cure said noticed violation within thirty
(30) calendar days of awareness of that violation. If APPliCANT fails to cure the violation within thirty (30)
calendar days of awareness, or where the violation cannot reasonably be cured within thirty (30) calendar
days, fails to begin curing such violation within that thirty (30) calendar day period, or fails to continue
diligently to cure such violation until finally cured, such failure will be deemed as a default of this
AGREEMENT. If a default occurs, the lRANSPORTATION ENHANCEMENT PURPOSES 'fill have been
deemed violated and APPliCANT must comply with the requirements set forth in section 4 below.
3. All of the REAL PROPERTY, including all of the improvements made thereto, shall be
subject to this AGREEMENT. APPliCANT shall notify STATE of any proposed sale, transfer, trade or
taking by an exercise of the power of eminent domain of REAL PROPERTY by sending written notice to:

4. A. In the event of a default or a non-approved sale, transfer, or trade, APPliCANT shall
reimburse STATE an amount either equal to (i) STATE'S total funding participation for the REAL
PROPERTY including improvements made thereto, specifically Five Hundred Eighty. Four Thousand Dollars
($584,000.00) or (ii) STATE'S pro rata participation (detennined to be 80.11%) in the acquisition of said
REAL PROPERTY, including the improvements made thereto, measured by the subsequent fair market value
at the time of default or non-approved sale, trade, or transfer, whichever is higher; or
B. If REAL PROPERTY is sold pursuant to a threat of or taken by an exercise of the power
of eminent domain, in whole or in part, APPliCANT shall then reimburse STATE for REAL PROPERTY
that is taken or sold, based upon STATE's pro rata participation (detennined to be 80,11%) in the acquisition
of said REAL PROPERTY, including the improvements made thereto, measured by the subsequent fair
market value at the time of that sale or talcing. Said sum shall'pe paid from the net property acquisitioo
proceeds received by APPliCANT from any sale1O>r taking of REAL,PROPERTY.

TEA - ADRC
Transportation Facilities
. 5. It is agreed between the parties that there is at least one STATE transportation facility
located next to or adjacent to the REAL PROPERTY. As such, it is foreseeable that the STATE
transportation facility may be expanded in the future into the REAL PROPERTY. Therefore, both
parties agree that this AGREEMENT as it is applied to the REAL PROPERTY needed for STATE
transportation purposes, will be extinguished and that section of REAL PROPERTY will be sold to the
Department or other responsible transportation authority. Said monies shall be distributed as set forth in
Paragr"ph4R above. ___. .,
Term
6. These covenants are to run with the land and shall be binding on all parties and all
persons claiming under them until revoked or amended pursuant to the Amendment and Revocation
provisions of this AGREEMENT.
Amendment and Revocation
7. With STATE's prior written approval, APPliCANT may sell, transfer, trade, or modify
the ownership, use, management, and maintenance responsibilities of the REAL PROPERTY.
8. This AGREEMENT and any amendments to it may be amended in any respect by the
joint execution by STATE and APPliCANT of any instrument amending or revoking this
AGREEMENT. The amending or revoking instrument shall make appropriate reference to this
AGREEMENT and its amendments and shall be acknowledged and recorded in the office of the County
Recorder of the counties in which the property is located
Enforcement
9. Enforcement shall be by proceedings at law or in equity against any person or persons
violating or attempting to violate any covenant either to restrain violation or to recover damages.
Indemnification
10. Neither STATE nor any officer or employee thereof is responsible for any damage
or liability occumng by reason of anything done or omitted to be done by APPliCANT under or in
connection with any work, authority or jurisdiction delegated to APPliCANT under this
AGEEEMENT. It is understood and agreed that, pursuant to Government Code Section 895.4,
APPUCANT shall fully defend, indemnify and save harmless STATE and all of its officers and
employees from all claims, suits or actions of every name, kind and description brought for or on
acconnt of injury (as defined in Government Code Section 810,8) occuning by reason of anything done
or omitted to be done by APPUCANT under or in connection with any work, authority or jurisdiction

Purpose of Agreement
11. This AGREEMENT is for the purpose of protecting and maintaining the present and
future use of the REAL PROPERTY for the TRANSPORTATION ENHANCEMENT PURPOSES for
which this REAL PROPERTY was acquired and improved for.

12. Invalidation of anyone of these covenants by judgment or court order shall in no way
affect any of the other provisions which shall remain in full force and effect.

PROHIBITED USES OF THE PROPERTY
Though not an exhaustive list of prohibited uses, none of the uses described below shall be made of the REAL
. PROPERTY. The following are set forth both to list specific prohibited activities and to provide guidance in
, determining whether other activities are inconsistent with the TRANSPORTATION ENHANCEMENT
" PURPOSES of this AGREEMENT:
1. Inconsistent or Adverse Actions: The change, disturbance, alteration or impairment of the
TRANSPORTATION ENHANCEMENT PURPOSES expressed within this AGREEMENT.
2. No use or transfer of development rights: Except as expressly perrnitted by the terms the
AGREEMENT, the exercise of any of the following development rights associated with the
REAL PROPERTY is prohibited, including, without limitation, the construction, reconstruction,
or placement of any commercial, residential or other buildings, bridges, camping
accommodations, house-trailers, permanent tent facilities, quonset huts or similar structures, golf
courses, recreation or exercise equipment, ball fields, soccer fields, tennis courts, basketball
courts or other recreational, entertaining or performance facilities, underground tanks, billboards,
signs, or other advertising, and/or other structures or improvements, In addition, street lights,
utility structures or power lines, sewer systems or sewer line, water system or water lines are
prohibited unless used solely for the benefit of the TRANSPORTATION ENHANCEMENT
PURPOSES.
Except as expressly perrnitted by the terms of this AGREEMENT, all development rights that are
now or hereafter allocated to, implied, reserved, or inherent in the REAL PROPERTY are
terminated and extinguished and may not be hereafter exercised or transferred,
3, Subdivision: The legal or de facto division, subdivision, or partitioning of the REAL
PROPERTY is prohibited. Notwithstanding the fact that, as of the date this AGREEMENT is
entered into, the REAL PROPERTY might be comprised of separate legal parcels, the terms and
conditions of this AGREEMENT shall apply to the REAL PROPERTY as a whole, and that
REAL PROPERTY shall not be sold, transferred, or otherwise conveyed except as a whole,
intact, single piece of real estate; it being expressly agreed that neither APPUCANT, their
representatives, heirs, successors, or assigns shall sell, transfer, or otherwise convey any portion
of the REAL PROPERTY that constitutes less than the entire REAL PROPERTY. The existence
of any separate legal parcels, if any, as of the effective date of this AGREEMENT shall not be
interpreted to permit any use or activity on an individual legal parcel that would not have been
perrnitted on such individual legal parcel under the terms and conditions of this AGREEMENT
as applied to the REAL PROPERTY as a whole.
4, Vehicles: The use of any motorized vehicles off designated roadways is prohibited, except for
"'purposes to solely effectuate the TRANSPORT A TION,.ENHANCEMENT PURPOSES of the
AGREEMENT. The use of motorized vehicles for recreational purposes is prohibited,

5, Hazardous Material: The use, dumping, storage, or other disposal of refuse, trash, soil, bio-
solids, ash, sewer sludge or unsightly or toxic or Hazardous Materials or agricultural chemical is
prohibited,
6. No Commercial Uses: The establishment of any commercial or industrial uses including, but not
limited to, intermittent, mobile or stationary facilities, is prohibited.

7. No Natural Resource Development: Except as expressly required or permitted by the terms of
this AGREEMENT, the filling, dumping, excavating, draining, dredging, mining, drilling,
removing or exploring for or extracting of minerals, oil, gas, coal and other hydrocarbons, soils,
sands, gravels, rocks or any other material on or below the surface of the REAL PROPERTY is
prohibited.
8. Development of Water: Except as necessary to effectuate the TRANSPORTATION
ENHANCEMENT PURPOSES of this AGREEMENT, the development of any water on the
REAL PROPERTY is prohibited,
9. Junk Yards: The storage or disassembly of inoperable automobiles, machinery, equipment and
trucks for purposes of storage, sale, or rental of space for any such purpose is prohibited,
10. Roads: The construction, reconstruction or replacement of any roadways or parking areas is
prohibited except as necessary to effectuate the 1RANSPORTATION ENHANCEMENT
PURPOSES of this AGREEMENT,
11. Inconsistent or Adverse Activities: Any action or practice that is or becomes
inconsistent with, diminishes or impairs the 1RANSPORTATION ENHANCEMENT
PURPOSES is strictly prohibited.

RECITALS
1. Pursuant to Section 14526.5 of the Government Code, and pursuant to the California
Transportation Commission Resolution # G-98-20, STATE. has an approved State
Highway Operation and Protection Program (SHOPP) for the expenditure of
transportation funds for major capital improvements. Included inihis SHOPP is the
Transportation Enhancement Activities (TEA) Program consistipg of transportation
improvement projects.

2. One of these TEA projects proposes the acquisition and construction of Patricia Lane
Scenic Enhancements, near Interstate 5 in the City of Santa Ana that is outside of State
right of way, referred to herein as "PROJECT", see Exhibit A, attached to and made a part
ofthis Agreement.
3. CITY desires to perform the right of way acquisition and prepare the contract documents,
advertise, award and administer the construction contract for PROJECT.

4. STATE desires to prc)vide funds up to 88.53% of the eligible PROJECT costs, not to
exceed the amount of $533,000 to CITY from the STATE-managed TEA funds, see
Exhibit B.
5. PROJECT is included in the approved Orange County Transportation Authority Federal
Transportation Improvement Plan (FTIP).
6. The parties hereto intend to define herein the terms and conditions under which PROJECT
is to be constructed, financed, and maintained,
SECTION I
CITY AGREES:
1. To perform all, including but not limited to preliminary engineering, envirorunental
documentation and certification (both CEQA and NEPA, if applicable), plans and
specifications preparation, utility identification and location, engineering and
documentation necessary to advertise and award the construction PROJECT, and aU
necessary construction engineering services for PROJECT.
2, To bear all actual costs of PROJECT, including all capital and support costs, in excess of
STATE's $533,000 contribution. Estimated costs ofPROJECTare'Sbown on Exhibit B,
attached and made a part ofthis Agreement. '
3. To submit invoices to STATE for reimbursement of PROJECT expenses incurred by
CITY. In no event shall .STATE's share toward PROJECT exceed the amount of
$533,000, including land acquisition. Invoices shall be submitted on CITY letterhead to

STATE Project Manager, Invoices will be prepared in the manner as described in Chapter
5, AccountinglInvoices, of the Local Assistance Procedures Manual.
4. To retain or cause to be retained for audit by STATE or other government auditors for a
period of three (3) years from date of Federal Highway Administration (FHW A) payment
of final voucher, or four (4) years from date offmal payment under the contract,
whichever is longer, all records and accounts relating to PROJECT.-
5. Upon completion of PROJECT, to assume ownership, maintenance and liability
responsibility for all portions of PROJECT.

6. That this PROJECT includes the acquisition of STATE right of way and an Agreement
Declaring Restrictive Covenants approved by STATE will be recorded against the title of
all Real Property purchased with or paid for by any type of Federal or State Funds.
SECTION II
STATE AGREES:
1. Upon receipt of detailed invoices from CITY, to reimburse CITY for eligible costs
incurred under this Agreement up to the amount of $533,000, which figure represents
STATE's sole and only contribution towards costs of PROJECT. Invoices will be paid
within 60 days of receipt.
2. STATE's contribution of the PROJECT expense shall be up to 88.53% of eligible
PROJECT costs, not to exceed $533,000 for right of way acquisition, design and
construction cost, as shown on Exhibit B, attached to and made a part of this Agreement.
SECTION ill
IT IS MUTUALLY AGREED:
1. All obligations of STATE under the terms of this Agreement are subject to the ap-
propriation of the resources by the Legislature and the allocation of resources by the
California Transportation Commission. .
2, Should CITY acquire property for PROJECT or perform any work or advertise a contract
for PROJECT prior to the allocation of resources by the California Transportation
Commission and prior t~deral Highway Administration approval for Federal
participation, there is no guarantee of STATE's and/or Federal participation aild--cITY
shall assume all risks thereof,
3. All applicable procedures and policies relating to the use of Federal Funds or STATE gas
tax funds shall apply notwithstanding other provisions ofthis Agreement.

4. Federal Funding wiII be used to finance. this project. Therefore, all documentation,
environmental documentation, right of way certification, design and construction shall
follow the Federal guidelines as established in current Local Assistance procedures,
5. Prior to award of the construction contract for PROJECT, STATE may terminate this
Agreement by providing the CITY \vith thirty (30) days written notice, provided that
STATE pays CITY for all PROJECT-related costs incurred by CITY:prior to termination.
6. Prior to award of the construction contract for PROJECT, CITY may terminate this
Agreement by written notice. If CITY terminates this Agreement, CITY shall bear all
PROJECT-related costs incurred by CITY prior to termination and reimburse to STATE,
within 90 days, any funds which may have been advanced or paid to CITY.

7. Nothing in the provisions of this Agreement is intended to create duties or obligations to
or.rights in third parties to this Agreement or affect the legal liability of either party to the
Agreement by imposing any standard of care with respect to the maintenance of State
highways different from the standard care imposed by law.
8, Any changes to PROJECT, before, during or after PROJECT acquisition and/or
construction, that does not comply with or is in conflict with the TEA Program
requirements may result in CITY being required to reimburse STATE the entire amount of
TEA funds contributed to the project or the value of the TEA fund contribution, based
upon the fair market value of the acquisition and/or construction, at the time the conflict
and/or non-compliance is determined, whichever is greater.

9. Neither STATE nor any officer or employee thereof is responsible for any damage or
liability occurring by reason of anything done or omitted to be done by CITY under or in
connection with any work, authority or jurisdiction delegated to CITY under this
Agreement. It is understood and agreed that, pursuant to Government Code Section 895.4,
CITY shall fully defend, indemnify and save harmless STATE and all its officers and
employees from all claims, suits or actions of every name, kind and description brought
for or on account of injury (as defined in Government Code Section 810.8) occurring by
reason of anything done or omitted to be done by CITY under or in connection with any
work, authority or jurisdiction delegated to CITY under this Agreement.
10. Neither CITY nor any officer or employee thereof is responsible for any damage or
liability occurring by reason of anything done or omitted to be done by STATE under or in
connection with any work, authority or jurisdiction delegated to STATE under this
Agreement. It is understood and agreed that, pursuant to Government Code Section 895.4,
STATE shall fully defend, indemnify and save harmless CITY from all claims, suits or
actions of every name, kind and description brought for or on account ofinjury (as defined
in Government Code Section 810.8) occurringl2)' reason of anything done or omitted to be

12. No alteration or variation of the terms of this Agreement shall be valid unless made in
writing and signed by the parties hereto, and no oral understanding or agreement not
incorporated herein shall be binding on any of the parties hereto.
13. This Agreement shall terminate upon completion of construction of PROJECT and upon
final payment to CITY by STATE, pursuant to Section II, Article 2 of this Agreement, or
on December 31, 2005, whichever is earlier in time; however the oWnership, maintenance,
liability, claims and Section ill, Provision 8 shall remain in effect until terminated or
modified in writing bymutual agreement.
